AmeriCheer, AmeriDance and Eastern Cheer and Dance have contracted over 60 cheerleading and dance competitions for the upcoming season. We offer event exhibitors at all our competitions and the following packet of information explains the rules and guidelines. Check mark events for RESERVATION and email/fax 2012-2013 Vendor Application to Jeannine Kranchick at [email protected] or fax 614-898-4040 along with a non-refundable deposit of $50.00 PER EVENT. This amount will be deducted from each event when full payment is due. This is based on FIRST COME, FIRST SERVE! 2. You will be notified via an email confirmation that you are reserved for the requested events. If a similar vendor has reserved prior to your reservation, this will state this in the confirmation. 3. FULL Payment Due 30 Days Prior to Scheduled Event, less $50.00 deposit. Marketing will contact you for credit card! If we do not receive credit card payment OR Cashier Check THAT DAY...Your space will be forfeited! No exceptions. We look forward to growing a great relationship at multiple competitions! 1. Contract Acceptance This contract shall become binding and effective when it has been signed. 2. Assumption of Risks; Releases Vendor expressly assumes all risks associated with, resulting from or arising in connection with Vendor's participation or presence at the Event, including, without limitation, all risks of theft, harm, damage or injury to the person (including death), property, business or profits of Vendor, whether caused by negligence, intentional act, accident, act of God or otherwise. Vendor has responsibility for its property or any theft, damage or other loss to such property (whether or not stored in any courtesy storage area, including without limitation any subrogation claims by its insurer). Neither Organizer nor the Exhibit Facility accepts responsibility, nor is a bailment created, for property delivered by or to Vendor. Neither Organizer nor the Exhibit Facility shall be liable and Vendor hereby fully and forever releases and discharges the Organizer and the Exhibit Facility, individually and collectively, and their present and former officers, directors, shareholders, partners, affiliates, employees, agents, representatives and attorneys, and predecessors, assignees and successors of each of them, from all claims, actions, causes of action, demands, cross claims, counter-claims, obligations, contracts, indemnities, contributions, suits, debts, sums, accounts, controversies, rights, damages, costs, attorneys' fees, losses, expenses and liabilities whatsoever, in law, equity or otherwise (collectively "Claims") which either may now have or have had or which may hereafter accrue, individually, collectively or otherwise in connection with, relating to or arising out of Vendor's participation or presence in the Event. Vendor acknowledges that there possibility that subsequent to the execution of this contract, it will discover facts or incur or suffer claims that were unknown or unsuspected at the time this contract was executed, and which if known by it at that time may have materially affected its decision to execute this contract. Vendor acknowledges and agrees that by reason of this contract, and the releases contained in this, it is assuming any risk of such unknown facts and such unknown and unsuspected claims. 3. Indemnification. Vendor shall on a current basis, indemnify, defend (with legal counsel satisfactory to AmeriCheer in sole discretion) and hold Organizer and the Exhibit Facility harmless from any and all claims, demands, suits, liabilities, damages, losses, costs, reasonable attorneys' fees and expenses, result from or arise out of or in connection with (a) Vendors' participation or presence at the Event; (b) any breach by Vendor of any agreements, covenants, promises or other obligations under contract; (c) any matter for which Vendor is otherwise responsible under the terms of this contract; (d) any violation or infringement (or claim or violation or infringement) of any law or ordinance rights of any party under any patent, copyright, trademark, trade secret or other proprietary right; any libel, slander, defamation or similar claims resulting from the actions of Vendor; (f) harm injury (including death) to Vendor; and (g) loss or damage to property or the business or profits Vendor, whether caused by negligence, intentional act, accident, act of God, theft, mysterious disappearance or otherwise. Vendor shall not settle or compromise any claims against AmeriCheer without prior written consent. 4. Limitation of Liability. Under no circumstances shall AmeriCheer or the Exhibit Facility be liable for any lost profits or any incidental, special, indirect, punitive or consequential damages whatsoever for any of the acts omissions whether or not apprised of the possibility of any such lost profits or damages. In no shall AmeriCheer’s maximum liability under any circumstance exceed the amount actually paid to AmeriCheer by Vendor for exhibit space rental pursuant to this contract. Organizer makes no representations or warranties, express or implied, regarding the number of persons who will attend the Event or regarding any other matters. 5. Qualifications of Exhibitor AmeriCheer and their family of brands, in its sole discretion, shall have the right to determine whether a prospective Vendor is eligible to participate in the Event. Applicants who have not previously exhibited at a prior event held by Organizer may be required to submit a description of the nature of their business and items intended to be exhibited. AmeriCheer reserves the right to restrict or remove any exhibit, which AmeriCheer, in its sole discretion, believes, is objectionable, inappropriate or illegal.

6. Assignment of Space Exhibit. Vendor space shall be assigned by AmeriCheer in its sole discretion for the Event and for the Event only. Any such assignment does not imply that similar space will be assigned for future events by Organizer. AmeriCheer reserves the right to change the floor plan or to move a Vendor to another booth location prior to or during the Event if AmeriCheer in its sole discretion determines that to do so is in the best interest of the Event. 7. Cancellation by Vendor. Vendors who cancel vendor space after 30 day payment is received will not receive a refund. Payments are NONREFUNDABLE. 8. Cancellation by AmeriCheer. If Vendor fails to make a payment required by this contract in a timely manner, AmeriCheer may terminate this contract immediately (and Vendor's participation in the Event) without further notice and without obligation to refund monies previously paid. AmeriCheer reserves the right at its discretion to refuse Vendor permission to move in and set up an exhibit if Vendor is in arrears of any payment due to AmeriCheer. AmeriCheer is expressly authorized (but has no obligation, expressed or implied) to occupy or dispose of any space vacated or made available by reason of action taken under this paragraph in such manner as it may deem best, and without releasing Vendor from any liability hereunder. AmeriCheer may also terminate this contract effective upon written notice of termination if Vendor breaches any of its obligations under the contract without any obligations, expressed or implied, on AmeriCheer’s part to refund any payments previously made and without releasing Vendor from any liability arising as a result of or in connection with such breach. If AmeriCheer removes or restricts an exhibit which AmeriCheer considers to be objectionable or inappropriate, no refund will be due Vendor. 9. Cancellation of the Event. If AmeriCheer cancels the Event due to circumstances beyond the reasonable control of AmeriCheer (such as acts of God, acts of war, governmental emergency, labor strike or unavailability of the Exhibit Facility) AmeriCheer shall refund to each Vendor its exhibit space rental payment previously paid. If AmeriCheer cancels the event due to participation numbers, Vendor will be notified within 7 days of scheduled event to choose a similar event and deposit will be assigned to new event. 10. Vendor Space Occupancy. Hours and dates for installing, occupying and dismantling exhibits shall be those expressly specified by AmeriCheer. All exhibits must be open for business during theEvent hours. Vendor may not dismantle the display until the Event is officially ended by AmeriCheer. 11. Care of Exhibit Facility. Vendor shall promptly pay for any and all damages to the Exhibit Facility or associated facilities, booth equipment or the property of others caused by Vendor. 12. Additional Terms and Conditions. AmeriCheer has sole control over attendance policies. Except as provided to the contrary in this contract; all monies paid by Vendor shall be deemed fully earned and nonrefundable at the time of payment. Vendor shall conduct itself at all times in accordance with normal standards of decorum and good taste. In addition to its right to close an exhibit and withdraw acceptance of the contract, AmeriCheer in its sole judgment may refuse to consider for participation in future events held by AmeriCheer with Vendor who violates or fails to abide by the contract and any of the accompanying rules and regulations. Any amendment or modification to this contract must be in writing and signed by an authorized representative of AmeriCheer. Vendor may not assign this contract or any right hereunder nor may Vendor sublet or license all or any portion of its exhibit space without the prior written consent of AmeriCheer, which consent shall be in AmeriCheer’s sole discretion.

13. Character of Displays: Use of Aisles and Common Areas Distribution of samples and printed matter of any kind, and any promotional material is restricted to the vendor booth. All exhibits shall display products or services in a tasteful manner as determined in AmeriCheer’s sole discretion. The aisles, passageways and overhead spaces remain strictly under control of AmeriCheer and no signs, decorations, banners, advertising material or special exhibits will be permitted in any of these spaces except by written permission of AmeriCheer. Uniformed attendants, models and other employees must remain within the booths occupied by their employers. Any and all advertising distribution must be made from Vendor only from within his or her booth. Equipment must be arranged so that visitors do not stand in the aisle while examining equipment or watching demonstrations.

21. Vendor Space Spirit Series/Dance Classics/Extremes/Championships will receive one (1) table and two(2) chairs, electric, and event announcements.

14. Sound Advertisements. The use of devices for mechanical reproduction of sound or music is permitted, but must be controlled. Sound of any kind must not be projected outside of the vendor booth. Vendors are specifically prohibited from employing any carnival-type attraction, animal or human, or from operating such noise-creating devices as bells, horns or megaphones. AmeriCheer reserves the right to determine sound Interference with others and Vendor shall comply with any request by AmeriCheer to discontinue any such sound or music.

Internet Access is ADDITIONAL and cost varies upon venue.

15. Fire and Safety Laws. Federal, state and city laws must be strictly observed. 16. Additional Event Information. AmeriCheer will be providing to you from time to time additional materials that will specify additional terms and conditions for your participation and/or presence at scheduled Events. Such additional terms and conditions (including without limitation those specified in the document entitled "General Terms and Conditions For Exhibitors at AmeriCheer sanctioned events") are hereby fully incorporated herein by reference and shall have the full force and effect as if such terms and conditions are fully and expressly set forth herein. You hereby agree that all information containing terms and conditions provided to you by AmeriCheer shall be deemed fully read and understood by you and that you shall be bound by all the terms and conditions contained herein and therein. 17. Vendor & Parking Passes. The Vendor shall receive a total of two (2) passes (badges) and (1) parking pass good for the run of the Event for booth space purchased. AmeriCheer will not be responsible for any issuance of vouchers or parking passes if lost, stolen or damaged. 18. Items Restricted. Vendors may NOT sell or distribute the following at any AmeriCheer, AmeriDance or Eastern Cheer & Dance: Apparel (T-shirts, Shorts, Sweatshirts, Sweatpants, Hats, Shoes, and Uniforms), Food & Beverages, Video and Action Photography. 19. Certificate of Insurance Each vendor must provide AmeriCheer, AmeriDance and/or Eastern with a current Certificate of Insurance with coverage for each event. This covers any theft, damage or other loss to such property.

Nationals and InterNationals will receive two (2) tables and two (2) chairs with table linens and skirts, electric and event announcements. Vendors are permitted to bring additional tables providing their use does not increase the allotted booth space. All single spaces are not to exceed 10’x10’. Double spaces are available upon request for an additional charge. Double spaces are not to exceed 10’x20’.

Additional electrical is ADDITIONAL and costs varies upon venue. 22. Reservation, Application & Payments. The Registration Form along with all applicable Deposits must be emailed or faxed to AmeriCheer, Inc., to secure booth space. Space will be made available on a first-come, first-served basis. Space selection priority will be given to vendors that participated the previous year OR date of vendor payments received in full. All balances must be received by the balance due deadline or space will be forfeited. 23. Payments. Deposit of $50.00 per event with application either by credit card or cashier check. The $50.00 deposit is NON-REFUNDABLE and will reserve specified events on a FIRST COME, FIRST SERVE basis. The deposit of $50.00 will be deducted from final payment of event requested. Final payments are due 30 days prior to scheduled event with credit card, or cashier check ONLY. No personal checks will be accepted. If payment is NOT received by deadline, your booth space will be forfeited. *Some venues require a percentage of sales paid to the venue These amounts are due to the Venue within 30 days of scheduled event. You will receive a receipt via email for your records. InterNationals. 50% of payment is due 60 days prior (January 15, 2013) and remaining balance due within 30 days of InterNationals (February 15, 2013). Additional advertising and marketing will be included. 24. Optional Coaches Presentation. Only applicable at National events, vendors have the option to present to coaches at the Coaches VIP Hospitality Room. This is direct contact with coaches to merchandise products. Products/samples may be present in the Hospitality room for the duration of the event. Cost of this option is an additional $300 and due within 2 weeks of scheduled event. Some events may have multiple presentations due to the size of the event.

20. Dress Code. Vendor and employees agree to dress in a professional and appropriate fashion at scheduled events. No revealing or obscene apparel.
