NOTICE TO BIDDERS: PROJECT LABOR AGREEMENT: This contract is subject to a Project Labor Agreement ("PLA") enteredinto betweenthe City and the Building and Construction Trades Council of Greater New York ("BCTC") affitiated Local Unions. By submitting a bidothe Contractor agreesthat the PLA is binding on the Contractor and all subcontractorsof all tiers. The bidder to be awarded the contract will be required to executea "Letter of Assent" prior to award.

The Bidder is advisedto review the following: (1) Notice regarding the PLA' (2) the PLA' and (3) the Letter of Assent,all of which are set forth at the beginningof Volume2 of the Contract Documents. SINGLE CONTRACT: As stated above,this contract is subject to a PLA. The requirementsof the Wicks Law for separateprime contractors DO NOT APPLY to any project that is coveredby a PLA. Accordingly, the requirements of the Wicks Law for separateprime contractors do not apply to this Project. The Project consistsof a singlecontract, the Contract for General Construction Work. The Bidder is advisedto review the Notice set forth at the beginning of Volume 2 of the Contract Documents. The Notice specifiesrevisionsto the Contract Documentsto provide that the Project consistsof a single contract and to deleteany and all referencesto separateprime contractors.

SPECIAL NOTICE TO BIDDERS

The New York City Department of Small BusinessServices(SBS), in conjunction with the New York BusinessDevelopmentCorporation (NYBDC), have establisheda NYC Construction Loan pilot program to provide prime contractorsand subcontractors financing for mobilization costson certain City construction projects. Under this initiative, loans are available for early stagemobilization needssuch as insurancer labor, supplies and equipment. Bidders are strongly encouragedto visit "Growing Your Businessttat www.nyc.gov/nvcbusinessto learn more about the loan or contact [email protected] (212) 513-6444to obtain details and to determine preliminary eligibilify. A successfulloan applicant will be required to make an assignmentof its contract (or subcontract) payments to the lender NYBDC until the loan is repaid. A prime contractor may not discriminate againsta subcontractoror potential subcontractorby reasonof the subcontractor'sparticipation, or nonparticipation,in the NYC Construction Loan program.

- Proprietary Special Noticeto Bidders ltems A. General:A proprietary item required for the Project is specified below. The confractor is required to provide and install such proprietary item. The Contractor must provide the specified item from the designatedmanufacturer. Substitutionsare not permissible and will not be approved. MANBE Program Requirements: The requirementsfor the M/WBE Programare set forth on the following pagesof this Bid Booklet,in the sectionentitled"Notice to All Prospective Contractors". ScheduleB: M/WBE Utilization Plan: ScheduleB: M/WBE UtilizationPlan for tlris Contractis setforth in this Bid Booklet on the pagesfollowing the sectionentitled 'Notice to All ProspectiveContractors".The M/WBE Utilization Plan (Part I) indicateswhether ParticipationGoalshave beenestablishedfor this Contract. If ParlicipationGoalshavebeenestablished for this Contract,the biddermust submitan M/WBE UtilizationPlan (Part II) with its bid. M/WBE PROGRAM

Local LawNo. 129 of 2005 addedand Local Law I of 2013 amendedSection6-129of theAdministrativeCodeof the City of New York (hereinafter"Section 6-129"). Section6-129 establishesthe programfor participationin Cify procurement("M/WBE Program")by minority- owned businessenterprises("MBEs") and women-ownedbusinessenterprises("WBEs"), cerlified in accordancewith Section 1304 of the New York City Charter. As statedin Section6--129, the intent of the program is to addressthe impact of discriminationon the City's procurementprocess,and to promotethe public interestin avoiding fi'audand favoritism in the procurementprocess,increasingcompetitionfor City business,and lowering contractcosts. The contractprovisionscontainedhereinare pursuantto Section6-129, andthe rules of the Departmentof Small BusinessServices("DSBS") promulgatedthereunder. If this Contract is subject to the M/WBE Program establishedby Section 6-129,the specific requirements of MBE and/or WBE participation for this Contract are set forth in ScheduleB of the Contract (entitledthe "MAilBE Utilization Plan"), and are detailedbelow. The Contractor must comply with all applicableMBE and WBE requirementsfor this Contract. The MBE and/or WBE Participation Goals establishedfor this Contractor Task Ordersissuedpursuantto this Contract, ("PafticipationGoals"), as applicable,are set fofth on ScheduleB, Part I to this Contract(seePage l, line I Total ParticipationGoals)or will be set forth on ScheduleB, Part I to Task Orders issuedpursuantto this Contract,as applicable. The Participation Goals representa percentageof the total dollar value of the Contractor Task Order, as applicable,that may be achievedby awardingsubcontractsto firms ceftified with New York City Depaftmentof Small BusinessServicesas MBEs and/or WBEs, and/orby crediting the participationof prime contractorsand/or qualifiedjoint venturesas provided in Section3 below, unless the goalshave beenwaived or modified by Agency in accordancewith Section6--129 and Pan A, Sections10 and I I below, respectively. 2. If Participation Goals have beenestablishedfor this Contractor Task Ordersissuedpursuantto this Contract,Contractor agreesor shall agreeas a materialterm of the Contractthat Contractorshall be subjectto the Participation Goals, unlessthe goals are waived or modified by Agency in accordancewith Section6-129 and Paft A, SectionsI 0 and I I below, respectively. 3. If Participation Goals havebeenestablished for this Contractor Task Order issuedpursuantto this Contract,a Contractor that is an MBE and/or WBE shall be permittedto count its own participationtoward fulfillment of the relevantParticipation Goal, provided that in accordancewith Section 6-129 rhe value of Contractor'sparticipationshall be determinedby subtractingfrom the total value ofthe Contractor Task Order, as applicable,any amountsthat the Contractorpaysto direct subcontractors (as defined in Section6I 29(cXI 3)), and providedfurtherthat a Contractorthat is cenifiedas both an MBE and a WBE may countits own parricipation either toward the goal for MBEs or the goal for WBEs, but not both. A Contractorthatis a qualifiedjoint venture(as definedin Section6-129(c)(30))shallbe permittedto counta percentage of its own parlicipationtowardfulfillmentof the relevantParticipation Coal. PLEASE NOTE: If this Contractis a public works project subjectto GML $101(5) (i.e., a contractvalued at or befow $3M for projectsin New York City) or if the Contractis subjectto a project labor agreementin accordancewith Labor Law $222, and the bidder is requiredto identifz at the time of bid submissionits intendedsubcontractorsfor the Wicks trades(plumbing and gas fitting; steamheating,hot water heating,ventilatingand air conditioning(HVAC); and electricwiring), the Contractormay requesta Modification of its M/WBE Utilization Plan as part of its bid submission.The Agency may grant a requestfor Modification of a Contractor'sM/WBE Utilization Plan if it determinesthat the Contractorhas established,with appropriatedocumentaryand other evidence,that it made reasonable,good faith efforts to meet the ParticipationGoals.In making suchdetermination,Agency shall considerevidenceof the following efforts.as applicable.alons with anv other relevantfactors: (i) The Contractoradveftisedopportunitiesto participatein the Contract,where appropriate,in generalcirculationmedia,trade and professionalassociationpublicationsand small businessmedia,and publicationsof minority and women's businessorganizations; (ii) The Contractorprovided notice of specific opportunitiesto participatein the Contract,in a timely manner,to minority and women's businessorganizations; (iii) The Contractorsentwritten notices,by certifiedmail or facsimile,in a timely manner,to adviseMBEs or WBEs that their interestin the Contractwas solicited; (iv) The Contractormade efforts to identif, portions of the work that could be substitutedfor portions originally designatedfor participationby MBEs and/or WBEs jn the M/WBE Utilization Plan, and for which the Contractorclaims an inability to retain MBEs or WBEs; (v) The Contractorheld meetingswith MBEs and/or WBEs prior to the datetheir bids or proposalswere due, for the purposeof explainingin detail the scopeand requirementsof the work for which their bids or proposalswere solicited; (vi) The Contractormade efforts to negotiatewith MBEs and/or WBEs as relevantto perform specific subcontracts,or act as suppliersor serviceproviders; (vii) Timely written requestsfor assistance made by the Contractorto Agency's M/WBE liaison officer and to DSBS; (viii) Descriptionof how recommendations madeby DSBS and Agency were actedupon and an explanationof why action upon such recommendationsdid not leadto the desiredlevel of pafticipationof MBEs and/orWBEs. Agency's M/WBE officer shall provide written notice to the Contractorof the determination. (b) The Agency may modifl, the Participation Goals when the scopeof the work has beenchangedby the Agency in a manner that affectsthe scaleand types of work that the Contractorindicatedin its M/WBE Utilization Plan would be awardedto subcontractors.

If this Contractis for an indefinite quantityof construction,standardor professionalservicesor is a requirementstype contractand the Contractorhas submittedan M/WBE Utilization Plan and has committedto subcontractwork to MBEs and/orWBEs in orderto meetthe Participation Goals,the Contractorwill not be deemedin violationof the M/WBE Programrequirements for this Contractwith regardto any work which was intendedto be subcontractedto an MBE and/or WBE to the extentthat the Agency has detenninedthat suchwork is not needed.

If Participation Goals havebeenestablished for this Contractor a Task Order issuedpursuantto this Contract,at leastonce annuallyduring the term of the Contractor Task Order, as applicable,Agency shall review the Contractor'sprogresstoward attainment of its M/WBE UtilizationPlan,includingbut not Iimitedto, by reviewingthe percentage of work the Contractorhasactuallyawardedto MBE and/or WBE, subcontractorsand the paymentsthe Contractormadeto suchsubcontractors.

MISCELLANEOUS

l. The Contractorshall take notice that, if this solicitationrequiresthe establishmentof an M/WBE Utilization Plan,the resulting contractmay be auditedby DSBS to determinecompliancewith Section6-129. See $6-129(e)(10).Fur-thermore, suchresultingcontract may also be examinedby the City's Comptrollerto assesscompliancewith the M/WBE Utilization Plan. 2. Pursuantto DSBS rules, constructioncontractsthat include a requirementfor an M/WBE Utilization Plan shall not be subject to the law governingLocally BasedEnterprisesset forth in Section6-108.1of the AdministrativeCode of the City of New York. 3. DSBS is availableto assistcontractorsand potentialcontractorsin determiningthe availabilityof MBEs and/orWBEs to participate as subcontractors,and in identifuing opportunities that are appropriate for participation by MBEs and/or WBEs in contracts. 4. Prospectivecontractorsare encouragedto enterinto qualifiedjoint ventureagreements with MBEs and/or WBEs as definedby Section6-129(c)(30). 5. By submittinga bid or proposalthe Contractorherebyacknowledgesits understandingof the M/WBE Programrequirements set forth herein and the pertinentprovisionsof Section6-129, andany rules promulgatedthereunder,and if awardedthis Contract,the Contractorherebyagreesto comply with the M/WBE Programrequirementsof this Contractand pertinentprovisionsof Section6-129, and any rules promulgatedthereunder,all of which shall be deemedto be materialterms of this Contract. The Contractorherebyagrees to make all reasonable,good faith efforts to solicit and obtainthe participationof MBEs and/orWBEs to meetthe required Participation Goals.

ARTICLEII.

ENFORCEMENT

1. If Agency determinesthat a bidder or proposer,as applicable,has, in relationto this procurement,violated Section6-129or the DSBS rules promulgatedpursuantto Section6-129, Agencymay disqualify suchbidder or proposer,as applicable,from competing for this Contractand the Agency may revoke suchbidder's or proposer'sprequalificationstatus,if applicable. 2. WheneverAgency believesthat the Contractoror a subcontractoris not in compliancewith Section6-129or the DSBS rules promufgatedpursuantto Section6-129,or any provision of this Contractthat implementsSection6-129, including,but not limited to any M/WBE Utilization Plan, Agency shall senda written notice to the Contractordescribingthe allegednoncomplianceand offering the Contractoran opportunityto be heard. Agency shall then conductan investigationto determinewhethersuchContractoror s u b c o n l r a c l oi sr i n c o m p l i a n c e . assessing liquidateddamagesor reducingfees,providedthat liquidateddamagesmay be basedon amountsrepresenting costsof delaysin carrying out the purposesof the M/WBE Program,or in meetingthe purposesof the Contract,the costsof meetingutilization goalsthroughadditionalprocurements,the administrativecostsof investigationand enforcement,or other factorsset forlh in the Contract; exercisingrights underthe Contractto procuregoods,servicesor constructionfrom anothercontractorand chargethe cost ofsuch 0) contractto the Contractorthat has beenfound to be in noncompliance:or (k) taking any other appropriateremedy. If an M/WBE Utilization Plan hasbeen submitted,and pursuantto this Article II, Section3, the Contractorhas beenfound to 4. have failed to fulfill its Participation Goals containedin its M/WBE Utilization Plan or the Participation Goals as modifredby Agency pursuantto Article I, Part A, Section11, Agency may assessliquidateddamagesin the amountof ten percent(10%) of the differencebetweenthe dollar amountof work requiredto be awardedto MBE and/or WBE firms to meet the Participation Goals and the dollar amountthe Contractoractuallyawardedand paid, and/or credited,to MBE and/or WBE firms. In view of the difficulty of accuratelyascertainingthe loss which the City will suffer by reasonof Contractor'sfailure to meet the Participation Goals, the foregoingamountis herebyfixed and agreedas the liquidateddamagesthat the City will suffer by reasonof suchfailure, and not as a penalty. Agency may deductand retain out of any monieswhich may becomedue under this Contractthe amountof any such liquidated damages;and in casethe amountwhich may becomedue under this Contractshall be lessthan the amountof liquidateddamages sufferedby the City, the Contractorshall be liable to pay the difference. 5. WheneverAgency has reasonto believethat an MBE and/or WBE is not qualified for certification,or is participatingin a contractin a mannerthat doesnot servea commerciallyuseful function (as definedin Section6-129(cX8)),or has violated any provision of Section6- 129,Agency shall notifo the Commissionerof DSB S who shall determinewhetherthe certificationof suchbusiness enterpriseshouldbe revoked. 6. Statementsmade in any instrumentsubmittedto Agency pursuantto Section6-129 shall be submittedunderpenaltyof perjury and any false or misleadingstatementor omissionshall be groundsfor the applicationof any applicablecriminal and/orcivil penalties for perjury. The making of a false or fraudulentstatementby an MBE and/orWBE in any instrumentsubmittedpursuantto Section6129 shall, in addition, be groundsfor revocationofits certification. The Contractor'srecord in implementingits M/WBE Utilization Plan shall be a factor in the evaluationof its performance. I. WheneverAgency determinesthat a Contractor'scompliancewith an M/WBE Utilization Plan has beenunsatisfactory,Agency shall, after consultationwith the City Chief ProcurementOfficer, file an advice of cautionform for inclusionin VENDEX as cautiondata.
