A)

Purpose and Description of Services Contractor shall provide training services to the BOE. See Section F, Sample Agreement (STD 65), 1) Exhibit A, Statement of Work, for a complete description of services.

B)

Bidder Minimum Qualifications Contractor must have a minimum of three (3) years experience performing the same or similar services within the last five (5) years. Contractor’s experience must have been performed as an established business, under the current business name, not as a subcontractor for or employee of another established business.

Submission of Bid a) All bids must be submitted under sealed cover and received by the BOE by dates and times shown in Section C, Bid Requirements and Information, Item 1) Key Action Dates (page 3). The sealed cover must be plainly marked with the IFB number and title, must show your firm name and address and must be marked with “DO NOT OPEN”, as shown in the following example:

Bids not including the proper “required attachments” shall be deemed non-responsive. e) Bids must be submitted for performance of all the services described herein. Any deviation from the work specifications will not be considered and will cause a bid to be rejected. f) A bid may be rejected if conditional or incomplete, or if it contains any alterations of form or other irregularities of any kind. The State may reject any or all bids and may waive an immaterial deviation in a bid. The State's waiver of an immaterial defect shall in no way modify the IFB document or excuse the bidder from full compliance with all requirements if awarded the Agreement. g) Costs for developing bids and in anticipation of award of the Agreement are entirely the responsibilities of the bidder and shall not be charged to the State of California. h) An individual who is authorized to bind the bidding firm contractually shall sign the Bid/Bidder Certification Sheet (see page 10). The signature should indicate the title or position that the individual holds in the firm. An unsigned bid may be rejected. i) A bidder may modify a bid after its submission by withdrawing its original bid and resubmitting a new bid prior to the bid submission deadline. Bidder modifications offered in any other manner, oral or written, will not be considered.

2) Submission of Bid (continued) j) A bidder may withdraw its bid by submitting a written withdrawal request to the State, signed by the bidder or an authorized agent. A bidder may thereafter submit a new bid prior to such bid submission deadline. Bids may not be withdrawn without cause subsequent to bid submission deadline. k) The BOE may modify the IFB prior to the date fixed for submission of bids by the issuance of an addendum to all parties, who received a bid package. l) The BOE reserves the right to reject all bids. The BOE is not required to award an Agreement. m) Before submitting a response to this solicitation, bidders should review, correct all errors and confirm compliance with the IFB requirements. n) Where applicable, bidder should carefully examine work sites and specifications. Bidder shall investigate conditions, character, quality of surface or subsurface materials or obstacles that might be encountered. No additions or increases to the Agreement amount will be made due to a lack of careful examination of work sites and specifications. o) The State does not accept alternate contract language from a prospective Contractor. A bid with such language will be considered a counter proposal and will be rejected. The State’s Terms and Conditions (GSPD 401 IT) are not negotiable. p) No oral understanding or agreement shall be binding on either party. 3)

Evaluation and Selection a) At the time of bid opening, each bid will be checked for the presence or absence of required information in conformance with the submission requirements of this IFB. b) The State will evaluate each bid to determine its responsiveness to the published requirements. c) Bids which contain false or misleading statements, or which provide references which do not support an attribute or condition claimed by the bidder, may be rejected. d) Award if made, will be to the lowest responsive responsible bidder. e) In the event of a tie between two (2) or more bidders when determining the lowest bid for a location, the Contractor shall be selected in a random drawing. The drawing will be held by placing the envelopes into a container. An uninterested third party shall draw an envelope. The name of the Contractor in the envelope selected will be awarded. The random drawing shall be held in the BOE’s Sacramento Headquarters’ office.

Award and Protest a) Whenever an Agreement is awarded under a procedure which provides for competitive bidding, but the Agreement is not to be awarded to the low bidder, the low bidder shall be notified by facsimile transmission, overnight courier, Internet transmission or personal delivery five (5) working days prior to the award of the Agreement. b) Upon written request by any bidder, notice of the proposed award shall be posted in a public place in the BOE’s Sacramento Headquarters’ office at least five (5) working days prior to awarding of the Agreement. c) If any bidder, prior to award of Agreement, files a protest with the Department of General Services, Office of Legal Services, 707 Third Street, 7th Floor, Suite 7330, West Sacramento, CA 95605 and the BOE on the grounds that the (protesting) bidder is the lowest responsible bidder, the Agreement shall not be awarded until either the protest has been withdrawn or the Department of General Services has decided the matter. d) Within five (5) days after filing the initial protest, the protesting bidder shall file with the Department of General Services and the BOE a detailed written statement specifying the grounds for the protest. The written protest must be sent to the Department of General Services, Office of Legal Services, 707 Third Street, 7th Floor, Suite 7-330, West Sacramento, CA 95605. A copy of the detailed written statement must be mailed to the Board of Equalization, Contract Section, 450 N Street, MIC: 24, Sacramento, CA 95814. It is suggested that you submit any protest by certified or registered mail.

Required Forms a) Upon award of the Agreement, Contractor must sign and return to the BOE the following documents: 1) At least two (2) original copies of the finalized Agreement, STD 65 (see Section F, Sample Agreement [STD 65]). 2) Payee Data Record (STD 204), to determine if the Contractor is subject to State income tax withholding pursuant to California Revenue and Taxation Code Section 18662 and 26131. This form can be found on the Internet at www.osp.dgs.ca.gov under the heading Standard Forms. No payment shall be made unless a completed STD 204 has been returned to the BOE. 3) Confidentiality Statement (BOE 4) regarding protection of confidential information. If you would like a copy of this form, please contact the IFB Contract Person listed on the cover letter of the IFB.

Disposition of Bids a) Upon bid opening, all documents submitted in response to this IFB will become the property of the State, and will be regarded as public records under the California Public Records Act (Government Code Section 6250 et seq.) and subject to review by the public. b) Bid packages may be returned only at the bidder’s expense, unless such expense is waived by the awarding agency.

Agreement Execution and Performance a) Service shall start not later than the express date set by the BOE and the Contractor, after all approvals have been obtained and Agreement is fully executed. Should the Contractor fail to commence work at the agreed upon time, the BOE, upon five (5) business days written notice to the Contractor, reserves the right to terminate the Agreement. In addition, the Contractor shall be liable to the State for the difference between Contractor's bid price and the actual cost of performing work by the second low bidder or by another Contractor. b) All performance under the Agreement shall be completed on or before the termination date of the Agreement.

Non-Small Business Subcontractor Preference A five percent (5%) bid preference is available to a non-small business claiming twenty-five percent (25%) California certified small business subcontractor participation. If claiming the non-small business subcontractor preference, the bid response must include a list of the small business(es) with which you commit to subcontract in an amount of at least twenty-five percent (25%) of the net bid price with one or more California certified small businesses. Each listed certified small business must perform a “commercially useful function” in the performance of the contract as defined in Government Code Section 14837(d)(4). The required list of California certified small business subcontractors must be attached to the bid response and must include the following: 1) subcontractor name, 2) address, 3) phone number, 4) a description of the work to be performed and/or products supplied, 5) and the dollar amount or percentage of the net bid price (as specified in the IFB) per subcontractor.

Preference Programs (continued) Bidders claiming the five percent (5%) preference must commit to subcontract at least twenty-five (25%) of the net bid price with one or more California certified small businesses. Completed certification applications and required support documents must be submitted to the Office of Small Business and DVBE Certification (OSDC) no later than 5:00 p.m. on the bid due date, and the OSDC must be able to approve the application as submitted. The purpose of this Statement of Work (SOW) is for ____________ (Contractor) to provide instructorled training courses in Information Technology Infrastructure Library (ITIL) Foundation training to the Board of Equalization (BOE). All instructor-led training classes shall take place at the BOE located at 450 N Street, Sacramento, CA 95814, unless otherwise prearranged and agreed to by both parties in writing. ITIL describes processes, procedures, tasks and checklists that are not organization-specific, used by an organization for establishing integration with the organization's strategy, delivering value and maintaining a minimum level of competency. It allows the organization to establish a baseline from which it can plan, implement, and measure. It is used to demonstrate compliance and to measure improvement. The Foundation Level training course is the entry level qualification course that provides a general awareness of the key elements, concepts and terminology used in the ITIL Service Lifecycle, including the linkages between Lifecycle stages, the processes used and their contribution to Service Management practices. The training shall be based on ITIL Foundations that covers five core disciplines: • • • • •

Contractor to conduct class sessions Training will be held at BOE Headquarters located at 450 N Street, Sacramento, CA, unless otherwise prearranged and agreed upon by both parties. Contractor will train up to 25 BOE staff per session/up to 100 staff during the identified training period. ITIL Training will be provided by an ITIL Professional who has passed the ITIL examination and has been certified to teach the Foundations course. The ITIL course includes lectures, hands-on labs, discussions, and exercises to enhance the participant's learning experience

6. Key Personnel Minimum Qualifications The Contractor must provide a qualified instructor who can complete the identified tasks within this SOW. The instructor must be experienced and competent both in the subject matter being taught and in presentation skills. 7. Contractor Responsibilities: • •

Provide qualified instructor for courses identified in SOW. Instructors must have specific skills and experience. Provide course on-site at BOE headquarters or other prearranged and agreed upon site for multiple class sessions.

Courses to be provided during normal business days and hours (Monday – Friday 8:30 a.m. to 4:30 p.m.). Provide training material for each student. Furnish all student course materials including books, handouts and other materials necessary to perform the services described within the SOW for each class. The course materials will be bound and professional in appearance. Ensure all course content, including books, handouts and instructor slides are accurate, current, easy to read, consistent with the instructor’s presentation, easy to navigate and used as part of the classroom curriculum. All student course materials must be delivered to the BOE training facility fully assembled and ready for use prior to the beginning of the first day of class. Students shall not be required to assemble course materials. Notify the BOE Primary Contact at least five (5) State business days in advance of any modifications to the curriculum that will impact workbook content and/or application files required to conduct the class. The Contractor is responsible for disposition of any unused materials upon completion of each training session. Should the Contractor fail to remove class materials at the end of each session, the BOE may discard such materials. The Contractor’s instructor may use the BOE photocopier equipment at no charge to copy completed evaluation forms only. Obtain written approval from the BOE before adding or substituting the instructor during the term of this Agreement. Be responsible for collecting completed BOE Training Evaluation Forms from each student at the completion of each class and delivering those forms to the BOE Primary Contact. Provide all documents in Microsoft Office format including but not limited to: processing documents, spreadsheets, presentations, and databases, unless explicitly provided in this Agreement or otherwise pre-approved by the BOE. Provide its own equipment and software necessary to perform all required duties, unless otherwise agreed to by the BOE Primary Contact. Prior to termination or expiration of this Agreement, the Contractor shall return any and all BOE property.

8. BOE Responsibilities: BOE will provide: • • • • • • •

BOE will provide a single point of contact for project coordination BOE staff will provide timely input on any and all information essential for Contractor to perform services in every area of this agreement Training room facilities Computers and necessary operating system Projector and laptop if needed Flip charts or white board if needed Class roster of up to 25 staff per session

STATEMENT OF WORK (continued) 9. Travel Payment of travel time to the project's base of operations in Sacramento is not considered as a travel expense for this contract. 10. Amendment With mutual agreement by both parties, contract amendments may be done for time extensions without changes in scope and deliverables. 11. Term Tentative dates are January 8, 2014 to June 30, 2014. The due date specified in this contract is based on availability of BOE and Contractor resources and schedule. 12. Other Reporting Requirements The Contractor shall comply with all applicable BOE, policies and procedures, including but not limited to policies regarding Sexual Harassment Prevention, IT Security, Workplace Violence Prevention, and Emergency Preparedness. The Contractor will make its best efforts to maintain staff continuity throughout the life of the project. The BOE will be notified, in writing, of any changes in the instructor two (2) weeks prior to the instructor change(s). If a Contractor is unable to perform his or her duties due to illness, resignation, or other factors beyond the Contractor’s control, the Contractor will make every reasonable effort to provide suitable substitute instructor. The substitute instructor must meet all requirements of this SOW. The BOE recognizes that a resignation, or other such event, may cause the instructor to fail to be available to the Contractor for the duration of this contract. If this event should occur, the Contractor agrees that the BOE reserves the right to approve or deny a replacement project instructor assigned to the project. The Contractor will not be allowed extra time or money as a result of changes in instructor 13. Confidentiality Statement Contractor shall adhere to all state laws safeguarding the confidentiality of state data and information. All Contractor staff must sign a Confidentiality Statement, BOE-4 REV. 2 on the first day of the project. All original signed forms will be submitted to the BOE Project Representative. Contractor must follow confidentiality rules regarding any resultant contract. 14. Contractor Evaluation In accordance with Public Contract Code Section 10369, a written evaluation of Contractor’s performance under this Agreement shall be completed within sixty (60) days after the completion of this Agreement. If Contractor did not satisfactorily perform the work, a copy of the evaluation

will be sent to the State Department of General Services, Office of Legal Services, and to the Contractor within fifteen (15) days of the completion of the evaluation. 15. Cancellation of Agreement Notwithstanding General Provisions – Information Technology, the BOE may cancel this agreement with thirty (30) days prior written notice to Contractor.
