SECTION 1 NOTICE TO RESPONDENTS

1.1

General IDEA Public Schools (“IDEA”) is accepting competitive sealed proposals for the IDEA FRONTIER SOCCER FIELDS & NATURE TRAIL in accordance with the terms, conditions and requirements set forth in this Request for Proposals (“RFP”), RFP No. 16-02-1001.

1.2

Submittal Deadline IDEA will accept proposals for selection until 3:00pm on May 19th 2016.

1.3

IDEA Contacts Any questions or concerns regarding this Request for Proposal shall be directed to:

Type of Contract The Agreement for the project will be a Modified Standard Form of Agreement between IDEA and the Contractor based on the 1997 Edition AIA Document A101-1997.

1.5

Inquiries and Interpretations Responses to inquiries which directly affect an interpretation or change to this RFP will be issued in writing by addendum (amendment) and mailed to all parties recorded by IDEA as having received a copy of the RFP. All such addenda issued by IDEA prior to the time that proposals are received shall be considered part of the RFP, and the Respondent shall be required to consider and acknowledge receipt of such in his proposal. Only those inquiries IDEA replies to which are made by formal written addenda shall be binding. Oral and other interpretations or clarification will be without legal effect. The Respondent must acknowledge all addenda. Such acknowledgment must be received prior to the hour and date specified for receipt of proposals, or shall accompany the proposal.

Public Information IDEA considers all information, documentation and other materials requested to be submitted in response to this solicitation to be of a non-confidential and/or non-proprietary nature and therefore shall be subject to public disclosure under the Texas Public Information Act (Texas Government Code, Chapter 552.001, et seq.) after a contract is awarded. Respondents are hereby notified that IDEA strictly adheres to all statutes, court decisions, and opinions of the Texas Attorney General with respect to disclosure of RFP information.

1.7

Contract Award Process IDEA reserves the right to award a Contract for all or any portion of the requirements proposed by reason of this request, award multiple Contracts, or to reject any and all proposals if deemed to be in the best interests of IDEA and to re-solicit for proposals, or to reject any and all proposals if deemed to be in the best interests of IDEA and to temporarily or permanently abandon the procurement. If the IDEA awards a contract, it will award the contract to the offeror(s) whose proposal is the most advantageous to IDEA and offers the best value, considering price and the evaluation factors set forth in this RFP. Proposals will be opened publicly to identify the names of the Respondents, and the monetary proposals. Other contents of the proposals will be afforded security sufficient to preclude disclosure of the contents of the proposal prior to award. IDEA will evaluate and rank each proposal with respect to the selection criteria contained in this RFP. After opening and ranking, an award may be made on the basis of the proposals initially submitted, without discussion, clarification or modification, or, IDEA may discuss with the selected Respondent offers for cost reduction and other elements of the Respondent’s proposal. If IDEA determines that it is unable to reach a contract satisfactory to IDEA with the selected Respondent, then IDEA will terminate discussions with the selected Respondent and proceed to the next Respondent in order of selection ranking until a contract is reached or IDEA has rejected all proposals. IDEA may not disclose any information derived from the proposals submitted from competing offers in conducting such discussions.

Criteria for Selection The Respondent selected for an award will be the Respondent whose proposal, as presented in the response to this RFP, is the most advantageous to IDEA. IDEA is not bound to accept the lowest priced proposal if that proposal is not in the best interest of IDEA as determined by IDEA. Proposals will be evaluated by IDEA personnel. The criteria for evaluation of proposals, and selection of the successful respondent for this award, will be based on the factors listed below:

SECTION 2 PROPOSAL REQUIREMENTS 2.1

General Instructions A.

Respondents should carefully read the information contained herein, and the Design Criteria Package, and submit a complete response to all requirements and questions as directed.

B.

Proposals and any other information submitted by Respondents in response to this Request for Proposal shall become the property of IDEA.

C.

IDEA will not provide compensation to Respondents for any expenses incurred by the Respondent(s) for proposal preparation or for any demonstrations that may be made, unless otherwise expressly stated or required by law. Respondents submit proposals at their own risk and expense.

D.

Proposals which are qualified with conditional clauses, or alterations, or items not called for in the RFP documents, or irregularities of any kind are subject to disqualification by IDEA, at its option.

E.

Each proposal should be prepared simply and economically, providing a straightforward, concise description of your firm's ability to meet the requirements of this RFP. Emphasis should be on completeness, clarity of content, responsiveness to the requirements, and an understanding of IDEA's needs.

F.

IDEA makes no guarantee that an award will be made as a result of this RFP, and reserves the right to accept or reject any or all proposals, waive any formalities or minor technical inconsistencies, or delete any item/requirements from this RFP or resulting contract when deemed to be in IDEA's best interest. Representations made within the proposal will be binding on responding firms. IDEA will not be bound to act by any previous communication or proposal submitted by the firms other than this RFP.

G.

Firms wishing to submit a “No-Response” are requested to return the first page of the Execution of Offer (ref. Section 6). The returned form should indicate your company's name and include the words “No-Response” in the right-hand column.

Preparation and Submittal Instructions A.

Responses to this RFP should consist of answers to required questions in Section 7 Respondent Questionnaire. It is not necessary to repeat the question in your response; however, it is essential that you reference the question number with your response corresponding accordingly. In cases where a question does not apply or if unable to respond, reference the question number and indicate N/A (Not Applicable) or N/R (No Response), as appropriate.

B.

Page Size, Binders and Dividers Proposals must be typed or printed on letter-size (8-1/2” x 11”) paper. IDEA requests that proposals be submitted in a binder. Preprinted material should be referenced in the proposal and included as labeled attachments.

C.

Table of Contents Include with the proposal a Table of Contents that includes page number references. The Table of Contents should be in sufficient detail to facilitate easy reference of the sections

of the proposal as well as separate attachments (which should be included in the main Table of Contents). Supplemental information and attachments included by your firm (i.e., not required) should be clearly identified in the Table of Contents and provided as a separate section. D.

Pagination All pages of the proposal should be numbered sequentially in Arabic numerals (1, 2, 3, etc.) Attachments should be numbered or referenced separately.

E.

Number of Copies Submit a total of three (3) complete copies of the entire response. An original signature must appear on the Execution of Offer (ref. Section 5) of at least one (1) copy submitted.

F.

Submission 1.

Three (3) identical copies of the proposal including any supplemental printed material referenced with the RFP, must be submitted and received in the IDEA SSP Design, LLC on or before the time and date specified, pursuant to the Notice to Respondents (ref. Subsection 1.2) and delivered to: SSP Design, LLC 789 E. Washington St. Brownsville, TX 78520

G.

The materials submitted must be enclosed in a sealed envelope (box or container); the package must show clearly the submittal deadline; the RFP number must be clearly visible; and name and the return address of the Respondent must be clearly visible.

3.

Late proposals properly identified will be returned to Respondent unopened. Late proposals will not be considered under any circumstances.

4.

Telephone proposals are not acceptable when in response to the Request for Proposal.

5.

Facsimile (“FAX”) proposals are not acceptable when in response to this Request for Proposal.

Withdrawal or Modification No proposal may be changed, amended, modified by telegram or otherwise, after the same has been submitted or filed in response to this solicitation, except for obvious errors in extension. However, a proposal may be withdrawn and resubmitted any time prior to the time set for receipt of proposals. No proposal may be withdrawn after the submittal deadline without approval by IDEA, which shall be based on Respondent’s submittal, in writing, of a reason acceptable to IDEA.

H.

Validity Period Proposals are to be valid for IDEA's acceptance for a minimum of 60 days from the submittal deadline date to allow time for evaluation, selection, and any unforeseen delays. Proposals, if accepted, shall remain valid for the life of the Contract.

Pricing reflects the full Scope of Work defined herein; inclusive of all associated cost for delivery, labor, insurance, taxes, overhead, and profit, or as otherwise defined, as appropriate.

C.

IDEA will not recognize or accept any charges or fees to perform this work that are not specifically stated in the Respondent's proposal.

Terms and Conditions The General Terms and Conditions (ref. Section 3) shall govern any contract issued as a result of this solicitation (RFP), except as provided in 2.4.A. below. A.

All Respondents must comply with the requirements listed on any Notice to Respondents, Proposal Requirements, Specifications/Service Requirements, and General Terms and Conditions herein. In the event there is a conflict expressed in this document, the provision requiring respondent to supply the better quality or greater quantity shall prevail, or if such conflict does not involve quality or quantity, then interpretation will be in the following order of precedence: 1. 2. 3. 4. 5.

By signing the Execution of Offer and submitting a proposal, Respondent certifies that any attached or referenced terms, conditions, or documents are applicable to this procurement only to the extent that they do not conflict with the statutes or Administrative Code of the State of Texas, or the advertised terms and conditions, and that they do not impose additional requirements on IDEA. Respondent further certifies that the submission of a proposal is Respondent's good faith intent to contract with IDEA as specified herein and that such intent to contract is not contingent upon IDEA's acceptance or execution of any such attached or referenced terms, conditions, or other documents.

Submittal Checklist Firms are instructed to complete, sign and return the following documents as a part of their proposal submittal. Failure to return these documents may subject your proposal to disqualification. SECTION 3 GENERAL TERMS AND CONDITIONS

3.1

General These General Terms and Conditions shall be made a part of and govern any Purchase Order and/or Contract, if any, resulting from this Request for Proposal.

3.2

Definitions Whenever the following terms are used in these General Terms and Conditions or in the other Contract Documents the intent and meaning shall be interpreted as follows: Contract Documents shall mean the documents that form the Contract between IDEA and the Contractor. The Contract Documents consist of the Agreement or Purchase Order, Conditions of the Contract (this Section 3 - General Terms and Conditions), Specifications, Pricing and Delivery Schedule, Execution of Offer, Respondent's Questionnaire, Felony Notice Form, and all Addenda and Amendments issued prior to and after the execution of the Contract. IDEA shall mean IDEA Public Schools. Respondent shall mean the individual, partnership, corporation, or other entity responding to this RFP. Contractor shall mean the individual, partnership, corporation, or other entity awarded a Contract for construction services under this RFP, in accordance with the terms, conditions, and requirements herein. Project shall mean the complete undertaking by Contractor to provide the goods and/or services contemplated by the Contract.

3.3

Entire Agreement The Contract Documents, for all intents and purposes, are intended as the complete and exclusive statement of the agreement between IDEA and the Contractor and supersede all prior or contemporaneous agreements, negotiations, course of prior dealings, or oral representations relating to the subject matter hereof. The terms and conditions of any purchase order, agreements, amendments, modifications, or other documents submitted by either party which conflict with, or in any way purport to amend or add to any of the terms and conditions of the Contract are specifically objected to by the other party and shall be of no force or effect, nor shall govern in any way the subject matter hereof, unless set forth in writing and signed by both parties, subject to the provisions of paragraph 3.4. A hereof.

3.4

Time of Performance Time is of the essence in the rendering of services hereunder. Contractor agrees to perform all obligations and render services set forth per this Contract in accordance with the schedules herein and as mutually agreed upon between IDEA and Contractor during the term of this Contract.

3.5

Default In the event that the Contractor fails to carry out or comply with any of the terms and conditions of the Contract with IDEA, IDEA may notify the Contractor of such failure or default in writing and demand that the failure or default be remedied within ten (10) days; and in the event that the

Contractor fails to remedy such failure or default within the ten (10) day period, IDEA shall have the right to cancel the Contract. Without limiting the foregoing, the following shall constitute a material breach by the Contractor, upon the occurrence of which the Contractor shall immediately notify IDEA; the Contractor ceases its business operation, makes a general assignment for the benefit of creditors, is adjudged bankrupt, or becomes insolvent. The cancellation of the Contract, under any circumstances whatsoever, shall not effect or relieve Contractor from any obligation or liability that may have been incurred or will be incurred pursuant to the Contract and such cancellation by IDEA shall not limit any other right or remedy available to IDEA at law or in equity. 3.6

Termination A.

For Convenience: The Contract may be terminated, without penalty, by IDEA without cause by giving thirty (30) days’ written notice of such termination to the Contractor.

B.

3.7

In no event shall such termination by IDEA as provided for under this Section give rise to any liability on the part of IDEA including, but not limited to, any claims of Contractor for compensation for anticipated profits, unabsorbed overhead, or interest on borrowing. IDEA's sole obligation hereunder is to pay Contractor for products and/or services ordered and received prior to the date of termination.

Payment A.

Prior to ten (10) days before the end of each calendar month during the term of this Agreement, Contractor shall submit to the IDEA an application for payment covering the services performed to that date, which application shall be accompanied by lien waivers and other forms, statements, invoices, and payroll reports that IDEA may reasonably require to support the amount requested and to be submitted. The IDEA will, within thirty (30) days from the date it receives such application and supporting documentation for payment, approve or disapprove the amount reflected in such application and if IDEA approves such amount or any portion of such amount, it shall promptly pay to Contractor the amount so approved, provided Contractor is not in breach of or in default under this Agreement. If IDEA disapproves any amount requested by Contractor, IDEA shall give Contractor specific reasons for its disapproval in writing.

B.

The cumulative amounts of monthly progress payments as set forth in this Article ("Progress Payment") shall not exceed the amount of Contractor’s total price, previously approved and accepted by IDEA, for the goods or services hereunder.

C.

Ten (10) days after final completion of the goods or services and acceptance thereof by IDEA or as soon thereafter as possible, Contractor shall submit a final request ("Final Request") which shall set forth all amounts due and remaining unpaid to Contractor and upon approval thereof by IDEA, IDEA shall pay to Contractor the amount due ("Final Payment") under such Final Request.

D.

Any provision hereof to the contrary notwithstanding, IDEA shall not be obligated to make any payment (whether a Progress Payment or Final Payment) to Contractor hereunder if any one or more of the following conditions precedent exist: 1.

Contractor is in breach or default;

Any part of such payment is attributable to goods or services which are not performed in accordance with this Contract, provided, however, such payment shall be made as to the part thereof attributable to goods and services which are performed in accordance with this Contract, or the resultant purchase order or agreement;

3.

Contractor has failed to make payments promptly to its consultants, subcontractors, suppliers, or other third parties used in connection with the goods or services for which IDEA has made payment to Contractor; or

4.

If IDEA, in its good faith judgment, determines that the portion of the compensation then remaining unpaid will not be sufficient to complete the goods or services in accordance with this Contract, no additional payments will be due Contractor hereunder unless and until Contractor, at its sole cost, performs a sufficient portion of the goods and services so that such portion of the compensation then remaining unpaid is determined by IDEA to be sufficient to so complete the goods and services.

E.

No partial payment made hereunder shall be or construed to be final acceptance or approval of that part of the goods or services to which such partial payment relates or relieve Contractor of any of its obligations hereunder with respect thereto.

F.

Contractor shall promptly pay all bills for labor and material performed and furnished by others in connection with the performance of its obligations pursuant to this Contract.

G.

The acceptance of Final Payment shall constitute a waiver of all claims by the Contractor except those previously made in writing and identified by the Contractor as unsettled at the time of the Final Request for payment.

H.

IDEA shall have the right to verify the details set forth in Contractor's billings, certificates, and statements, either before or after payment therefor, by (1) inspecting the books and records of Contractor at mutually convenient times; (2) examining any reports with respect to this Project; (3) interviewing Contractor's business employees; (4) visiting any place where performance of all or a portion of the Project occurs; and (5) other reasonable action.

Contract Amendments The Contract may be amended within the Contract period by mutual consent of the parties. No modification or amendment to the Contract shall become valid unless in writing and signed by both parties. All correspondence regarding modifications or amendments to the Contract must be forwarded to IDEA’s SSP Design, LLC for prior review and approval.

3.9

Independent Contractor Status Contractor recognizes that it is engaged as an independent contractor and acknowledges that IDEA will have no responsibility to provide transportation, insurance or other fringe benefits normally associated with employee status. Contractor, in accordance with its status as an independent contractor, covenants and agrees that it shall conduct itself consistent with such status, that it will neither hold itself out as nor claim to be an officer, partner, employee or agent of IDEA by reason hereof, and that it will not by reason hereof make any claim, demand or application to or for any right or privilege applicable to an officer, partner, employee or agent of IDEA, including, but not limited to, unemployment insurance benefits, social security coverage or retirement benefits. Contractor hereby agrees to make its own arrangements for any of such benefits as it may desire and agrees that it is responsible for all income taxes required by applicable law.

3.10

Compliance with Law Contractor is aware of, is fully informed about, and in full compliance with its obligations under existing applicable law and regulations, including Title VI of the Civil Rights Act of 1964, as amended (42 USC 2000(D)), Executive Order 11246, as amended (41 CFR 60-1 and 60-2), Vietnam Era Veterans Readjustment Act of 1974, as amended (41 CFR 60-250), Rehabilitation Act of 1973, as amended (41 CFR 60-741), Age Discrimination Act of 1975 (42 USC 6101 et seq.), Non-segregated Facilities (41 CFR 60-1), Omnibus Budget Reconciliation Provision, Section 952, Fair Labor Standards Act of 1938, Sections 6, 7, and 12, as amended, Immigration Reform and Control Act of 1986, and Utilization of Small Business Concerns and Small Business Concerns Owned and Controlled by Socially and Economically Disadvantaged Individuals (PL 96-507), the Americans with Disabilities Act of 1990 (42 USC 12101 et seq.), the Civil Rights Act of 1991 and all laws and regulations and executive orders as are applicable.

3.11

IDEA's Right to Audit At any time during the term of this Contract and for a period of four (4) years thereafter IDEA or a duly authorized audit representative of IDEA, at its expense and at reasonable times, reserves the right to audit Contractor's records and books relevant to all services provided under this Contract. In the event such an audit by IDEA reveals any errors/overpayments by IDEA, Contractor shall refund IDEA the full amount of such overpayments within thirty (30) days of such audit findings, or IDEA, at its option, reserves the right to deduct such amounts owing IDEA from any payments due Contractor.

3.12

Access to Documents To the extent applicable to this procurement, in accordance with Public Law 99-499 under TEFRA, Contractor agrees to allow, during and for a period of not less than four (4) years after the Contract term, access to this Contract and its books, documents, and records; and contracts between Contractor and its subcontractors or related organizations, including books, documents and records relating to same, by the Comptroller General of the United States, the U.S. Department of Health and Human Services and their duly authorized representatives.

3.13

Title and Risk of Loss For goods to be provided by Contractor hereunder, if any, the title and risk of loss of the goods shall not pass to IDEA until IDEA actually receives, takes possession, and accepts the goods at the point or points of delivery.

3.14

Acceptance of Products and Services All products furnished and all services performed under this Contract shall be to the satisfaction of IDEA and in accordance with the specifications, terms, and conditions of the Contract. IDEA reserves the right to inspect the products furnished or the services performed, and to determine the quality, acceptability, and fitness of such products or services.

3.15

Sales and Use Tax IDEA qualifies for exemption from State and Local Sales and Use Taxes pursuant to the provisions of the Texas Limited Sales, Excise, and Use Tax Act. The Contractor may claim exemption from payment of applicable State taxes by complying with such procedures as may be prescribed by the State Comptroller of Public Accounts.

Contractor shall deliver to IDEA: 1.

Certificates evidencing the existence of all such insurance promptly after the execution and delivery hereof and prior to the continued or additional performance of any services to be performed by Contractor hereunder from or after the date of any agreement or purchase order; and

2.

Replacement certificates not less than thirty (30) days prior to the expiration of any such insurance. If, however, Contractor fails to pay any of the renewal premiums for the expiring policies, IDEA shall have the right to make such payments and set-off the amount thereof against the next payment coming due to Contractor under any purchase order or agreement; and

3.

Such Certificates shall name IDEA as an Additional Insured, with the exception of Workers' Compensation and Employer's Liability, and shall provide that the policies will not be canceled until after thirty (30) days' unconditional, unqualified written notice to IDEA, giving the IDEA the right to pay the Premium to maintain coverage, in which event Paragraph 3.16.B.2 shall apply.

The insurance policies required in this RFP shall be kept in force for the periods specified below: 1.

Commercial General Liability Insurance, Auto Liability, Builder’s Risk, and Owner’s and Contractor’s Protective shall be kept in force until receipt of final payment by the Contractor;

2.

Workers' Compensation Insurance shall be kept in force until the Contractor's obligations have been fully performed and accepted by IDEA in writing.

Contractor shall provide IDEA a full and complete copy of any insurance policy promptly upon request by IDEA, and without charge to IDEA.

Indemnification A.

To the fullest extent permitted by applicable law, the contractor and its agents, partners, employees, and consultants (collectively "indemnitors") shall and do agree to indemnify, protect, defend with counsel approved by IDEA, and hold harmless IDEA, its affiliated enterprises, representatives of IDEA, and their respective officers, directors, regents, employees and agents (collectively "indemnitees") from and against all claims, damages, losses, liens, causes of action, suits, judgments and expenses, including attorney fees, of any nature, kind, or description (collectively "liabilities") of any person or entity whomsoever arising out of, caused by, or resulting from the performance of services, or provision of goods, by contractor pursuant to this contract, or any part thereof, which are caused in whole or in part by any negligent act or omission of the contractor, anyone directly or indirectly employed by it or anyone for whose acts it may be liable even if it is caused in part by the negligence or omission of any indemnitee, so long as it is not caused by the sole negligence or willful misconduct of any indemnitee. In the event more than one of the indemnitors are connected with an accident or occurrence covered by this indemnification, then each of such indemnitors shall be jointly and severally responsible to the indemnitees for indemnification and the ultimate responsibility among such indemnitors for the loss and expense of any such indemnification shall be settled by separate proceedings and without jeopardy to any indemnitee. The provisions of this article shall not be construed to eliminate or reduce any other indemnification or right which IDEA or any of the indemnitees has by law.

B.

Contractor shall protect and indemnify IDEA from and against all claims, damages, judgments and loss arising from infringement or alleged infringement of any United States patent, or copyright, arising by or out of any of the services performed or goods provided hereunder or the use by contractor, or by IDEA at the direction of contractor, of any article or material, provided that upon becoming aware of a suit or threat of suit for patent or copyright infringement, IDEA shall promptly notify contractor and contractor shall be given full opportunity to negotiate a settlement. Contractor does not warrant against infringement by reason of IDEA's design of articles or the use thereof in combination with other materials or in the operation of any process. In the event of litigation, IDEA agrees to cooperate reasonably with contractor and parties shall be entitled, in connection with any such litigation, to be represented by counsel at their own expense.

C.

The indemnities contained herein shall survive the termination of any agreement or purchase order for any reason whatsoever.

Force Majeure If either IDEA or Contractor (individually, a “Party”) is delayed at any time in the performance of its obligations hereunder by economic industry-wide strikes, fire, unusual delay in deliveries, unavoidable casualties, or other causes reasonably beyond such Party’s control and which could not have been reasonably anticipated by such Party, then the time for performance of such Party shall be extended by one (1) day for each day of such delay.

3.19

Non-Disclosure Contractor and IDEA acknowledge that they or their employees may, in the performance of the resultant Contract, come into the possession of proprietary or confidential information owned by or in the possession of the other. Neither party shall use any such information for its own benefit or make such information available to any person, firm, corporation, or other organization, regardless of whether directly or indirectly affiliated with Contractor or IDEA, unless (i) required by law, (ii) by order of any court or tribunal, (iii) such disclosure is necessary for the assertion of a right, or defense of an assertion of a right, by one party against the other party hereto, or (iv) such information has been acquired from other sources.

3.20

Publicity Contractor agrees that it shall not publicize this Contract or disclose, confirm or deny any details thereof to third parties or use any photographs or video recordings of IDEA's employees or use IDEA's name in connection with any sales promotion or publicity event without the prior express written approval of IDEA.

3.21

Severability In case any provision hereof, or of any resulting agreement or purchase order, shall, for any reason, be held invalid or unenforceable in any respect, such invalidity or unenforceability shall not affect any other provision thereof, and this Contract shall be construed as if such invalid or unenforceable provision had not been included herein.

3.22

Non-Waiver of Defaults No delay or omission by either of the parties hereto in exercising any right or power accruing upon the non-compliance or failure of performance by the other party hereto of any of the provisions of this Contract shall impair any such right or power or be construed to be a waiver thereof. A waiver by either of the parties hereto of any of the covenants, conditions or agreements thereof to be performed by the other party hereto shall not be construed to be a waiver of any subsequent breach thereof or of any other covenant, condition or agreement therein contained.

3.23

Assignment The agreement with Contractor is a personal service contract for the services of Contractor, and Contractor's interest in such agreement, duties thereunder and/or fees due thereunder may not be assigned or delegated to a third party. The benefits and burdens of this agreement are, however, assignable by IDEA.

3.24

Assignment of Overcharge Claims Contractor hereby assigns to IDEA any and all claims for overcharges associated with the Contract arising under the antitrust laws of the United States, 15 U.S.C.A., Sec. 1 et seq. (1973), or arising under the antitrust laws of the State of Texas, Texas Business and Commerce Code Annotated, Sec. 15.01, et seq. (1967).

3.25

Patent and Copyright Contractor shall pay for any royalties, license fees, copyrights or trade and service marks required to perform the services required by this Contract.

3.26

Texas Public Information Act IDEA considers all information, documentation and other materials requested to be submitted in response to this solicitation to be of a non-confidential and/or non-proprietary nature and therefore shall be subject to public disclosure under the Texas Public Information Act (Texas Government Code, Chapter 552.001, et seq) after a contract is awarded. Respondents are hereby notified that IDEA strictly adheres to all statutes, court decisions, and opinions of the Texas Attorney General regarding the disclosure of RFP information.

3.27

Freedom of Access and Use of Facilities Contractor's employees shall have reasonable and free access to use only those facilities of IDEA that are necessary to perform services under this Contract and shall have no right of access to any other facilities of IDEA.

3.28

Observance of IDEA Rules and Regulations Contractor agrees that at all times its employees will observe and comply with all regulations of the facilities, including but not limited to, no smoking, and parking and security regulations.

3.29

Governing Law This Contract, including, without limitation, this RFP and any resulting agreement or purchase order, shall be construed and governed by the laws of the State of Texas.

SECTION 4 SPECIFICATIONS

4.1

General IDEA requests proposals from qualified and experienced firms for the IDEA Frontier Soccer Fields & Nature Trail to meet the following minimum specifications stated in this section.

4.2

Specifications Specifications for the Project are attached hereto as: 02100 Site Demolition; 02110 Site Clearing; 02200 Earthwork; 02505 Crushed Stone Walks, 02800 Irrigation,02900 Planting; 02902 Vegetation Protection; 02930 Lawns. Project Drawings are attached hereto as: L1.01 Irrigation Plan, L1.02 Irrigation Details, L2.01 Layout Plan, L2.02 Layout Plan, L2.03 Layout Plan, L3.01 Pergola Details, L4.01 Hardscape Details .

4.3

Delivery A.

Time is of the essence in the performance of Contractor’s duties. Failure of the Contractor to notify IDEA sufficiently in advance of inability to complete within the delivery schedule, shall grant IDEA the option of canceling the order, purchasing from the best available source, and charging the Contractor the difference between the Contract price and actual purchase, if any, plus cost of handling. Notwithstanding the foregoing, IDEA shall have no obligation to accept late performance or to waive timely performance by Contractor.

B.

In no event shall changes be permitted without the express prior written authorization of the IDEA. Any such authorizations shall be in the form of a Contract amendment.

Miscellaneous Provisions A.

Personnel Contractor shall maintain a staff of properly trained and experienced personnel to ensure satisfactory performance under this Contract. Contractor shall assign to IDEA a designated representative who will be responsible for the coordination and administration of IDEA's requirements.

B.

Bonding 1.

Respondent must submit a bid bond or certified check equal to 5% of the total price proposal amount.

2.

A Payment Bond is not required on contracts of $25,000.00 or less. A Performance Bond is not required on contracts Orders of $100,000.00 or less. If the total contract price exceeds $25,000.00, the Contractor shall execute in accordance with the provisions of Chapter 2253, Texas Government Code, a Payment Bond in the amount equal to the total contract amount, solely for the protection of those supplying labor, materials and/or equipment in the prosecution of the subject contract. If the total contract price exceeds $100,000, the Contractor shall execute in accordance with the provisions of said Chapter 2253, Texas Government Code, a Performance Bond in the amount of the total contract price conditioned upon the faithful performance of the contract.

Each bond shall be executed by a corporate surety or sureties authorized to do business in the State of Texas and acceptable to the Owner.

4.

Each bond shall be accompanied by a valid Power-of-Attorney (issued by the surety company and attached, signed and sealed with the corporate embossed seal, to the bond) authorizing the attorney in fact who signs the bond to commit the company to the terms of the bond, and stating any limit in the amount for which the attorney can issue a single bond.

5.

Each bond with a penal sum in excess of $100,000 shall be executed by a corporate surety or sureties listed on the then-current version of U.S. Treasury Department circular 570 and which hold a certificate of authority from the U.S. Secretary of the Treasury as a surety, or obtain reinsurance from a reinsurer authorized as a reinsurer in Texas and which is listed on the then-current U.S. Treasury Department circular 570 and holds a certificate of authority from the U.S. Secretary of the Treasury as a surety or reinsurer.

Project Execution 1.

D.

IDEA shall provide or contract for, independently of the general contractor, the inspection services, the testing of construction materials engineering, and the verification testing services necessary for the project.

Betterment Fund 1.

The Contractor shall add a betterment fund to the project that shall total 5% of the base bid price, and add it to the contract amount.

IDEA will consider the total contract cost on the base bid price as part of the evaluation process. Alternates will be included in the Competitive Bid price evaluation only if the base price plus the alternate price(s) are within the project budget. If the base price plus the alternate(s) exceed the budget, only the base price will be used in the price evaluation process. After the highest ranked firm is selected, negotiations on price and changes on the scope of work may include alternate(s). Points will be awarded based upon the total number of offers submitted. The lowest offeror will receive the maximum number of points and the highest offeror will receive the minimum number of points. Section 9 GENERAL CONDITIONS OF THE CONTRACT FOR CONSTRUCTION OWNER: IDEA Public Schools CONTRACTOR:__________________________________________________ PROJECT: IDEA Frontier Soccer Fields & Nature Trail i.

The Contractor and Owner agree that time is of the essence in completion of the Work.

ii.

Except for product submittals which require Owner approval prior to installation, the Contractor is solely responsible for the means and methods of construction in accordance with the design plans and contract documents.

iii.

The Contractor shall, prior to construction commencing, furnish the Owner with evidence of the following coverages: a. Workers' compensation insurance in the amount not less than the minimum limits required by law; b. Comprehensive General Liability insurance, including contractual liability, in the minimum amount of $ 500,000.00 for each person and $1,000,000.00 for each single occurrence for bodily injury or death and $300,000.00 for each single occurrence for injury to or destruction of property, and in the minimum amount of $1,000,000.00 total aggregated liability. c.

Texas automobile liability insurance in not less than 50,000/100,000/50,000 for leased and owned motor vehicles.

iv.

Until the Owner accepts and pays for the work under the Contract, the Contractor assumes 1) the risk of all losses and casualty to the Project property, including materials stored on-site and offsite which are to be incorporated into the project; and 2) the responsibility to pay for all labor and materials.

v.

The Contractor shall be responsible for payment and extension of all utilities necessary for completing the Project.

vi.

The Contractor shall be solely responsible for removing all trash, rubbish, garbage, and debris from the Project site on a daily basis, and shall deliver the project site in a clean and broom-swept condition, as a condition to final payment.

vii.

Warranty Work. If, within one year after the date of Substantial Completion, any of the Work is found to be defective or not in accordance with the requirements of the Contract Documents, or otherwise contrary to the warranties contained in the Contract Documents, the Contractor shall commence all necessary corrective action not more than seven (7) days after receipt of a written notice from the Owner to do so, and to thereafter diligently complete the same. The obligations of the Contractor hereunder shall be in addition to, and not in lieu of, any other obligations imposed by any special guarantee or warranty required by the Contract Documents, guarantees or warranties provided by any manufacturer of any item or equipment forming a part of, or incorporated into the Work, or otherwise recognized, prescribed or imposed by law. Neither the Owner's Final Acceptance, the making of Final Payment, any provision in Contract Documents, nor the use or occupancy of the Work, in whole or in part, by Owner shall constitute acceptance of Work not in accordance with the Contract Documents nor relieve the Contractor or the Contractor's Performance Bond Surety from liability with respect to any warranties or responsibility for faulty or defective Work or materials, equipment and workmanship incorporated

therein. viii.

Indemnity. Unless arising solely out of the Owner's active negligence, gross negligence or willful misconduct, the Contractor shall indemnify, defend and hold harmless the Owner and its governing body, officers, employees, agents and representatives from and against any and all claims, demands or liability whether for damages, losses or other relief, including, without limitation attorneys fees and costs incurred or arising therefrom. The foregoing shall include without limitation: (i) injuries to or death of persons; (ii) damage to property; or (iii) theft or loss of property, resulting from, in whole or part, any acts, omissions or other conduct of Contractor, any of Contractor's Subcontractors, of any tier, or any other person or entity employed directly or indirectly by Contractor in connection with the Work and their respective agents, officers or employees

ix.

Change Orders. If changes in plans or specifications are necessary after the performance of the contract is begun or if it is necessary to decrease or increase the quantity of work to be performed or of materials, equipment, or supplies to be furnished, the Owner’s Board of Trustees may approve change orders making the changes. The total contract price may not be increased because of the changes unless additional money for increased costs is appropriated for that purpose from available funds or is provided for by the authorization of the issuance of time warrants. The original contract price may not be increased by more than 25 percent. The original contract price may not be decreased by more than 25 percent without the consent of the contractor. All proposed change orders shall be submitted to the Owner for review and approval. Change orders shall require the review and consent of the surety prior to Owner approval.

x.

No Damages for Delay. In the event that the Contractor is delayed in the progress of the Work and such delay is caused by the acts or omissions of the Owner, by a separate contractor employed by the Owner, or by Changes to the Work, upon Contractor's request and notice, in strict conformity with the Contract Documents, the Contract Time shall be adjusted by Change Order as reasonably determined by the Owner and Contractor. The Contractor’s sole remedy against the Owner for delay in the progress of the Work caused by the Owner or the Owner’s agents and representatives shall be an equitable extension of the Contract time, unless it is shown by Contractor that such delay was intentionally caused by the Owner or the Owner’s agents and representatives. In the event that Contractor claims that it has suffered damages caused by the intentional acts of Owner or Owner’s agents and representatives, the Contractor is limited to seek recovery of only actual direct economic damages. As prerequisite to recovery, the Contractor must document the delay damages through the use of Critical Path Method (CPM) schedules which clearly establish a causal link between the Owner’s alleged intentional actions and the delay, and the Contractor must show that the Owner’s alleged actions affected activities on the critical path of the contractor’s performance of the contract.

xi.

Liquidated Damages. Should the Contractor neglect, fail or refuse to achieve Substantial Completion of the Work within the Contract Time, as adjusted, the Contractor agrees to pay to the Owner the amount of per diem of $ 50.00, not as a penalty but as Liquidated Damages, for every day beyond the Contract Time, as adjusted, until Substantial Completion of the Work is achieved. The Liquidated Damages amount set forth herein is agreed upon by and between the Contractor and the Owner because of the difficulty of fixing the Owner's actual damages in the event of delayed completion of the Work. The Contractor and the Owner specifically agree that said amount is a reasonable estimate of the Owner's damage in such event, and that such amount does not constitute a penalty. Liquidated Damages may be deducted from the final Payment.

xii.

Payment Bond; Performance Bond. Prior to commencement of the Work, the Contractor shall furnish a Performance Bond as security for Contractor's faithful performance of the Contract and a Labor and Material Payment Bond as security for payment of persons or entities performing work, labor or furnishing materials in connection with Contractor's performance of the Work under the Contract Documents. The amounts of the Performance Bond and the Payment Bond required hereunder shall be one hundred percent (100%) of the Contract Price. Said Labor and Material

Payment Bond and Performance Bond shall be in the form and content set forth in the Contract Documents. The failure or refusal of the Contractor to furnish either the Performance Bond or the Labor and Material Payment Bond in strict conformity with this section may be deemed by the Owner as a default by the Contractor of a material obligation hereunder. Upon request of the Contractor, the Owner may consider and accept, but is not obligated to do so, multiple sureties on such bonds. The Surety on any bond required under the Contract Documents shall be on the list of sureties approved by the United States Department of Treasury, as set forth in the Federal Register and shall be authorized to do business in the state of Texas. The payment bond shall be solely for the protection and use of payment bond beneficiaries who have a direct contractual relationship with the Contractor or a subcontractor to supply public work labor or material. A payment bond required by this section must be executed by a corporate surety in accordance with Section 1, Chapter 87, Acts of the 56th Legislature, Regular Session, 1959 (Article 7.19-1, Texas Insurance Code). The Performance Bond and the Payment Bonds required herein must clearly and prominently display on the bond or on an attachment to the bond 1) the name, mailing address, physical address, and telephone number, including the area code, of the surety company to which any notice of claim should be sent; or 2) the toll-free telephone number maintained by the Texas Department of Insurance under Article 1.35D, Insurance Code, and a statement that the address of the surety company to which any notice of claim should be sent may be obtained from the Texas Department of Insurance by calling the toll-free telephone number. xiii.

Section 10 Owner/Contractor Agreement

THIS AGREEMENT is made this day of PUBLIC SCHOOLS, hereinafter called “OWNER” and “CONTRACTOR.”

The CONTRACTOR will furnish all of the material, supplies, tools, equipment, labor and other services necessary for the construction and completion of the PROJECT described in the CONTRACT DOCUMENTS, some of which were prepared by SSP Design, LLC.

The CONTRACTOR will commence the work required by the CONTRACT DOCUMENTS within ( ) calendar days after the date of the NOTICE TO PROCEED and will complete the same within ( ) consecutive calendar days thereafter, unless the period for completion is extended otherwise by the CONTRACT DOCUMENTS.

CONTRACTOR GUARANTEE: Neither the final certificate of payment nor any provisions in the CONTRACT DOCUMENTS, nor partial or entire occupancy of the premises by the OWNER, shall constitute an acceptance of work not done in accordance with the CONTRACT DOCUMENTS nor relieve the CONTRACTOR of liability in respect to any express warranties or responsibility for faulty materials or workmanship. MATERIALS: The soils report recommendations take precedence over these materials.

A.

Satisfactory soil materials are defined as those complying with ASTM D2487-00 soil classification groups, GW, GP, GM, SM, SW and SP. On sites where specific conditions cause any of the listed soils to be unsatidfactory, the Soils Engineer shall specify alternate satisfactory material and provide the Owner/SSP with written explaination.

B.

Subbase Material: Provide CA-6, naturally or artificially graded mixture of natural or grushed gravel, crushed stone, chrushed slag, natural or crushed sand conforming to ASTM D-2940-98 with at least 95% passing a 1-1/2” sieve and not more than 8% passing a No. 200 sieve.

C.

Drainage Fill: Washed evenly graded mixture of crushed stone, or crushed or uncrushed gravel, with 100% passing a 1 ½” sieve and not more than 5% passing a No. 4 sieve.

D.

Backfill and Fill Materials: Satisfactory soil material free of clay, rock or gravel larger than 2” in any dimension, debris, waste, frozen materials, vegetable and other deleterious matter.

PART 3 - EXECUTION 3.02

SITE CLEARING:

A.

General: Remove vegetation, including trees, shrubs, grass, weeds and other vegetation, improvements, or obstructions interfering with installation of new construction. Remove such items elsewhere on the site or premises as specifically indicated. Removal includes removing stumps and roots to a depth of minimum 18 in. below final or existing grade, whichever is lower.

B.

Topsoil: 1. Topsoil is defined as friable clay loam surface soil found in a depth of not less than 4 in. Satisfactory topsoil is reasonably free of subsoil, clay, lumps, stones and other objects over 2 in. in diameter and without weeds, roots and other objectionable material. 2. Strip topsoil to whatever depths encountered in a manner to prevent intermingling with the underlying subsoil or other objectionable material. 3. Remove heavy growths of grass from areas before stripping. 4. Stockpile topsoil in storage piles in areas shown, or where otherwise directed. Construct storage piles to freely drain surface water.

C.

Clearing and Grubbing: 1. The top of earth shall be stripped of all trees, stumps, brush, roots, grass, vegetation, trash or any decayed decaying or other objectionable material on the site shall be grubbed to a minimum depth of 6 in.

D.

Fill: Fill depressions caused by clearing and grubbing operations with satisfactory soil materials, unless further excavation or earthwork is indicated.

MATERIALS:

Fill Material: Materials used as select fill for final site grading shall be crushed stone or gravel aggregate. Materials specified for use as select fill shall meet the TxDOT 2004 Standard Specifications for Construction and Maintenance of Highways, Streets, and Bridges, Item 247, Flexible Base, Type A, Type B, or Type C, Grades 1 through 3.

B.

On-site Material: Excavated on-site soils can be put back into the excavation in uniform 6-inch thick compacted lifts. Each lift shall be compacted, tested, and documented as indicated in Select Fill subsection of the Foundation Construction Considerations section of the Soils Report.

C.

Vapor Barrier: Provide Stego Wrap Polyolefin Vapor Barrier by Stego Industries, L.L.C., San Juan Capistrano, CA (www.stegoindustries.com), minimum 10 mils thickness in accordance with ASTM E 1745, Class A or better, having a minimum vapor permeance of 0.04 perms when tested in accordance with ASTM E 96. PART 3 - EXECUTION 3.01 A.

3.02

INSPECTION: Examine conditions under which the Work is to done. Do not proceed with the Work until unsatisfactory conditions detrimental to the proper and timely completion of the Work have been corrected. EXCAVATION:

A.

All excavations shall be made to proper depth and correct line, with sufficient allowance for correct forming, shoring, etc. All ditching shall be cut to line, grade and dimensions as required. Excavated areas shall be cleared from the top 8 inches of all debris, shell, rock, brick fragments, water, slush, muck and soft unsound, loose or other foreign matter.

B.

Areas to support pavements shall be stripped of all vegetation and/or organic topsoil down to a minimum depth of 8 inches and extending a minimum of 2 feet beyond the pavement perimeters.

C.

Exposed subgrades shall be thoroughly proofrolled in order to locate and densify any weak, compressible zones. A minimum of 5 passes of a fully loaded dump truck shall be used for planning purposes. Proofrolling operations shall be observed by the Geotechnical Engineer to document subgrade condition and preparation. Weak or soft areas identified during proofrolling shall be removed and replaced with a suitable, compacted select fill in accordance with the recommendations presented under the Select Fill subsection of the Foundation Construction Considerations of City of McAllen.

D.

If the bottom of excavation is carried below elevations shown, or is made mucky or unstable due to Contractor's operations or carelessness, he shall, without additional compensation, deepen the excavation to the undisturbed soil and either increase

thickness of concrete or backfill with approved material to the desired elevation. Backfill shall be compacted by approved mechanical methods in loose layers not to exceed 8 in. and compacted thickness not to exceed 6 in., to 95% of the standard maximum dry density (ASTM D 698) to within 3 percentage points of optimum. E.

Provide, operate and maintain all necessary pumps, discharge lines, well points, etc., in sufficient number and capacity to keep all excavation, bases, pits, tanks, etc., free from seepage, standing, or running water at all times throughout the period of construction.

F.

Assume all responsibility for security of the excavation required, employing bracing, lining, or other accepted means necessary.

G.

Remove excess excavated and unsuitable materials and legally dispose of it away from the site. Excess materials which the Owner/SSP deems suitable will be spread and graded for fill on site where directed.

3.03

BACKFILL AND FILL:

A.

Backfilling includes all fill material necessary to backfill against and around all existing foundation, grade beams, etc., and also includes material necessary to bring all areas up to necessary grades for support of existing concrete slabs. Excavated earth shall not be used for backfilling within construction limits unless specifically approved by testing lab.

B.

The exposed soils from excavation shall be proofrolled and compacted as specified. Do not allow these soils to dry out or become saturated prior to placement of fill. Do not allow water to pond on building pad.

C.

Materials used as select fill for final site grading shall be crushed stone or gravel aggregate. Materials specified for use as select fill shall meet the TxDOT 2004 Standard Specifications for Construction and Maintenance of Highways, Streets, and Bridges, Item 247, Flexible Base, Type A, Type B, or Type C, Grades 1 through 3.

D.

Once the proofrolling operations are complete and documented, place the excavated on-site soils back into the excavation in uniform 6-inch thick compacted lifts. Each lift shall be compacted, tested, and documented as indicated in Select Fill subsection of the Foundation Construction Considerations section of the Soils Report.

E.

Once the excavated on-site soils have been placed back into the excavation, then properly-compacted, suitable, select fill materials shall be placed within the proposed bank building and drive-thru canopy structures’ footprints up to the proposed finished grade elevation (FGE). Each lift shall be compacted, tested, and documented as indicated in Select Fill subsection of the Foundation Construction Considerations section of the Soils Report.

F.

Backfill for grade beams and all utility trenches within and to a distance of 10 ft. from the building foundations shall be select cohesive fill or cement stabilized sand. Sands shall not be used as backfill within or near the building foundations. Where utility lines exit the building, provide a bentonite seal within the utility trench.

FIELD QUALITY WORK A. General: Notify the Owner and SSP Design at least 48 hours before testing is begun. B. Hydrostatic Test: Test mainline piping to a hydrostatic pressure of not less than 100 psi. Piping may be tested in sections to expedite work. Remove and repair piping and connections which do not pass hydrostatic testing. C. Operational Testing: Perform operational testing after hydrostatic testing is completed, backfill is in place, and sprinkler heads adjusted to final position.

PROTECTION A. Before commencing work, contractor shall place orange construction fencing around all vegetation labeled “to remain” on landscape plans. Fencing shall be placed squarely around each tree 6’ x 6’ and at least 60” in height or continuously around groups of vegetation as shown on plans. No work may begin until this requirement is fulfilled. All other vegetation not labeled “to remain” shall be cleared and grubbed including root systems. B. In order to avoid damage to roots, bark or lower branches, no truck or other equipment shall be driven or parked within the drip line of any tree, unless the tree overspreads a paved way. C. The contractor shall use any and all precautionary measure when performing work around trees, walks, pavements, utilities, and any other features either existing or previously installed under this Contract. D. The Contractor shall adjust depth of earthwork and loaming when working immediately adjacent to any of the aforementioned features in order to prevent disturbing tree roots, undermining walks and pavements, and damage in general to any existing or newly incorporated item. E. Where excavating, fill or grading is required within the branch spread of trees that are to remain, the work shall be performed as follows: a. TRENCHING: When trenching occurs around trees to remain, the tree roots shall not be cut but the trench shall be tunneled under or around the roots by careful hand digging and without injury to the roots. b. RAISING GRADES: When the existing grade at tree is below the now finished grade, and fill not exceeding 16 inches (16") is required, clean, washed gravel graded from one to two inches (1" - 2") in size shall be placed directly around the tree trunk. The gravel shall extend out from trunk on all sides a minimum of 18 inches (18") and finish approximately two inches (2") above the finished grade at tree. Install gravel before any earth fill is placed. New earth fill shall not be left in contact with the trunks of any trees requiring fill. Where fill exceeding 16 inches (16") is required, a dry laid tree well shall be constructed around the trunk of the

LOWERING GRADES: Existing trees in areas where the now finished grade is to be lowered shall have regarding work done by hand to elevation as indicated. Roots as required shall be cut cleanly three inches (3") below finished grade and scars covered with tree paint. d. Trees marked for preservation that are located more than six inches (6") above proposed grades shall stand on broad rounded mounds and be graded smoothly into the lower level. Trees located more than 16 inches (16") above proposed grades shall have a dry laid stonewall, or other retaining structure as detailed on the plans, constructed a minimum of five feet (5') from the trunk. Exposed or broken roots shall be cut clean and covered with topsoil. F. Contractor is responsible for all protection measures listed above. If these procedures are not followed, contractor is responsible for replacement of existing trees with approved trees of equal caliper and height. 1.06

DELIVERY, STORAGE, AND HANDLING A. Packing and Shipping: Transport plant materials covered or in closed vehicles to protect from exposure to heat and wind. Spray trees and in full leaf with anti-desiccant - as recommended by the manufacturer - before shipping. Take precautions to protect plant materials from desiccation and from damage to bark, branches and roots. Do not allow root balls to crack. Schedule shipments to coincide with planting work schedule. B. Storage and Protection: If planting is delayed after delivery, keep plants in a shaded area, cover roots with mulch or topsoil, and keep plants constantly watered until planted.

MAINTENANCE/WARRANTY A. Maintenance Requirements: Maintain the work of this Section for ninety days after ‘substantial completion’ and until final written acceptance by Owner. Notify the owner in writing of ‘substantial completion’. Maintenance period begins after owner’s written acceptance of ‘substantial completion’.

B. Maintenance Service: Perform the following maintenance operations at least once a week: 1. Remove and replace dead plant material. Prune plants to remove dead wood and to maintain health of plants. 2. Maintain all mulched areas at a 3 in. depth. Warranty: Warranty shall cover all shrubs/groundcovers for a period of three months and trees/palms for a period of one year from the date of final acceptance. EXECUTION A.

Site Preparation: Contractors must visit and review site prior to bidding. Compacted or unsuitable soils and sub-soils from construction activities must be ripped and tilled until a loose, friable and free-draining condition is met. All existing weeds, grass, stabilized sub-base material, rubble, excavated soil and other material shall be removed from the site and disposed of by the contractor prior to starting any new landscape work. Soil conditions around entire site must be approved by Owner/SSP Design prior to rough and finished grading operations. Contractor shall not install any fill or topsoil in landscape areas prior to site condition approval by Owner/SSP Design.

B.

Drainage: Landscape contractor shall follow grading as shown and specified on grading plans.

C.

Vegetation Protection: Contractors are responsible for protection of existing vegetation labeled on plans “to remain”. Protection of existing vegetation includes supply and installation of protective fencing around all existing planting areas.

D.

Bed Preparation and herbicide: All planting areas shall be free of weeds, grass, insects, or any other deleterious material prior to bed preparation. Contractor shall herbicide all planting areas with ‘RoundUp’ or approved equal at least two times prior to installation of any new plants. Pre-emergent herbicide shall be applied after planting and before placement of mulch.

E.

Planting Beds: Excavate 12” of existing soil within planting beds and replace with 7” of imported topsoil and 2” of premium compost. Mechanically till into top six inches of bed until a loose, friable soil condition is met. Final grades within all planting beds shall be 3” below adjacent curbs to allow for mulch. Contractor to ensure positive drainage throughout all landscape areas. Adjust grades as necessary to direct water away from planting beds. Report any discrepancies on all drainage issues in writing to SSP Design or the Engineer. Owner or SSP Design to approve planting beds prior to planting operations.

F.

Edging: Edging shall be installed as shown on plans. Edging shall allow for tapered drainage points to ensure free drainage away from all structures and walkways. Edging shall be set flush with adjacent paving, sidewalks or driveways.

G.

Grass Areas: Scarify, float and fine grade all areas to receive sod or hydromulch for approval by SSP Design prior to placement of sod or application of hydromulch. Supply additional topsoil as necessary to fill any/all low areas and ensure positive drainage away planting beds.

H.

Berms and Mounding: Supply topsoil and construct berms as indicated on plans. Berms shall have a maximum slope of 1:4. Owner or SSP Design to approve berming and mounding prior to planting operations.

Remove any binding rope which is not biodegradable completely. c) Fill planting pit 2/3 full with planting mix, soak with water and allow to settle, and add fertilizer tablets as detailed. Finish filling pit with planting mix and tamp lightly. d) Construct a watering basin as detailed and install 3 inches of mulch. Water-in to completely saturate the root ball and planting mix. Add planting mix where any settling or air pockets occur. e) Stake all trees/palms immediately after planting as detailed. Staking to be maintained throughout the maintenance period. Sabal palms shall be planted with their leafstem bases remaining but cleaned and trimmed evenly. All palms shall be planted with several petioles or fronds tied up straight with natural twine. Remaining fronds shall be trimmed or ‘hurricane cut’ to lighten wind load on terminal bud. Contractor is responsible for removing or cutting the twine supporting the fronds at the appropriate time. All palms must be inspected and approved on site by SSP Design prior to installation.

Insect and Disease Control: Apply treatment as frequently as required during construction and 90-day maintenance period to prevent damage to plant material. Use only chemicals specifically approved by TNRCC.

Protect existing trees to remain during construction phases. Provide tree protection barriers for those existing trees adjacent to tree transplantation operations. Any trees scarred or destroyed, designated to remain, will be replaced at the Contractor's expense, with similar species, size, and quality. Provide temporary watering methods for vegetation to remain on site – hand water if required. B. Relocate trees/palms as noted on plans. Store and maintain relocated trees/palms in contractor’s nursery during construction. Storage and maintenance includes regular watering (or drip irrigation), fertilizing and pruning as necessary for healthy growth. Submit a list of equipment, procedure, and labor force anticipated for use for tree relocation for approval by Owner/SSP Design. B. Submit a schedule by day indicating units to be dug and relocated. Note materials requiring root pruning, and that the relocation schedule is to begin at the end of the specified root pruning period. C. Obtain permits required by the local tree or landscape ordinances which may include meeting with the local City or Urban Forester. D. Submit written certification that trees indicated to remain have been protected during the course of construction according to recognized standards of the industry. Certify that where damage did occur: 1. Trees were promptly and properly treated. 2. 1.06 QUALITY ASSURANCE A. The Contractor's crew used for the relocation of existing trees shall have minimum 10 years experience in relocation of existing plant materials and be recognized by the American Association of Nurserymen and/or Texas Nursery & Landscape Association. B. Unless otherwise specified, tree transplanting shall comply with NAA Ref.1. C. Comply with NAA standards for pruning and remove branches from trees to remain to clear new construction. D. Recommend procedures to compensate for loss of roots (if any) and perform initial pruning of branches and stimulation of root growth where removed to accommodate new construction. E. Perform tree repair work for damage incurred by new construction. F. Provide routine progress evaluation reports on relocated trees until the end of the maintenance period. G. Evaluate existing trees and verify trees are free of disease and ready to survive relocation from the site to their new location on-site or off-site. 1.07 DELIVERY, STORAGE, AND HANDLING A. Properly handle trees and palms during moving so trunks will not be scarred or damaged and to avoid broken limbs. Broken limbs not causing the tree to be rejected shall be repaired as follows: 1. Properly prune dead, dying, or damaged branches with clean, sharp equipment. 2. Remove injured bark and wood of a tree would with a clean, sharp knife to a point where healthy bark and wood make contact at their margins. 3. Inspect and treat wound for insect and disease. 4. Seal wounds with bituminous base wound paint for all oak limbs greater than 3-inch diameter. B. Transport trees on vehicles of adequate size to prevent overcrowding, broken limbs, foliage damage, or root ball damage. C. Keep root balls moist during relocation. D. Protect tree crowns with shade cloth to prevent desiccation and wind burn. Crowns shall be periodically sprayed with water to help ensure against desiccation. E. Handle plant material only in ways and means accepted by the landscaping industry and accepted by the Owner/SSP Design. F. Plant material shall be planted the same day it is dug. Coordinate preparation of planting pits or beds to ensure this schedule. 1.08 WARRANTY A. For relocated trees or palms that die, replace their canopy area with new trees as specified: 1. Canopy spread for all palms and trees shall be listed on proposal when submitted for relocation work.

This includes, but is not limited to, damage to curbs, walks, roads, fences, site furnishings, etc. Replacing and replanting of damaged trees, shrubs or turf shall be according to Section 02900. 1.09 MAINTENANCE A. Maintain relocated plant materials immediately after each item is planted and continued until the 90 day watering period is completed, upon which time the Owner will take over maintenance of materials following procedures and recommendations of contractor and specifications. Tree Protection Fence: Tree protection fence shall be a minimum of four feet high. Orange Safety Fencing (Tenax Heavy Duty Model No. 000044 attached to 6’ minimum “T”- steel posts, driven at least 2’ into ground @ 6 foot intervals or approved equal). Tree Protection Signage: Vegetation Protection Areas shall be labeled “Vegetation Protection Area”. Signs shall be laminated or otherwise weatherproof and printed in bold text so as to be easily read from a distance of 20 feet. Wording on signage shall be provided in both English and Spanish. Bone meal shall be steamed bone meal type, useable as a natural organic nitrogen fertilizer. Compost, topsoil, planting soil, mulch, staking, and guying, shall be as specified in section 02900. Fill materials shall be as specified in Section 02900.

PART 3 EXECUTION 3.01 VEGETATION PROTECTION A. Initial Work: No other construction activity may occur on site until Tree Protection Fencing has been installed and approved by Owner/SSP Design. B. Construction Activity: All construction activity within the areas fenced off around the trees shall be prohibited. This shall include the following activities: 1. Parking or driving of equipment, machinery or vehicles of any type. 2. Storage of any construction materials, equipment, stockpiling, excavation or fill, soil, gravel, etc.

3. Dumping of any chemicals, (i.e. paint thinner from cleaning brushes), wash-out materials from cleaning equipment, concrete or mortar remainder, trash, garbage, or debris of any kind. 4. Burning within or in proximity to protected areas. 5. Felling trees into protected areas. 6. Trenching or grading within the Critical Root Zones of protected trees for any purpose without notifying SSP Design and owner’s representative 10 days in advance of operation in writing. This includes utilities, lighting, irrigation, drainage etc. Tree Protection Areas: Any work required by plans which is in a Tree Protection Area shall be performed by hand. All work shall be performed in a manner to prevent compaction, siltation and disturbance of the root systems of all associated trees and understory trees. At no time shall tree protection fencing be removed or relocated without permission of SSP Design and owner’s representative. Subcontractor: The contractor shall be responsible for insuring that all subcontractors are aware of all Vegetation Protection Specifications. Critical Root Zone: Contractor may operate equipment within the root zone of trees to be preserved only if buffered with 1/2" plywood with a 6” layer of wood chips underneath; or 12 inches of wood chips. Approval from SSP Design and owner’s representative is required prior to operation of any equipment in tree protection areas. Root protection measures shall be inspected and maintained throughout construction. Location: Contractor will be responsible for installation of tree protection fencing around trees and groups of trees to be preserved. See plan for locations. Flagging: Prior to installation, Contractor shall flag or paint location of fencing in field for verification by SSP Design and owner’s representative. Contractor shall include supply, installation, maintenance, and removal of fencing in bid. Tree Protection Fence: Fencing shall remain in place and be continuously maintained for duration of construction. Damage: Contractor will provide services as necessary to respond to damage by construction activities within 48 hours of notification by the SSP Design and owner’s representative. Penalties: Failure to comply with specifications will result in penalties as prescribed herein and by local codes and ordinances.

3.02 TRANSPLANTATION A. Transplanting shall consist of on-site or off-site transplanting of existing trees or palms from proposed construction areas to storage areas to permanent locations as noted on the drawings. B. Digging, Wrapping, and Handling: Plants shall be dug and prepared for moving in a manner that will not cause damage to branches, shape, root system, and development. C. Balled and Burlapped Plants: 1. Balls shall be firmly wrapped with wire mesh, burlap or accepted cloth substitute. 2. No balled plant will be acceptable if the ball is cracked and broken or if the stem or trunk is loose in the ball, either before or during transplanting. 3. Balled plants shall be lifted and handled from the bottom of the ball. 4. Protect ball and deliver to the site, plant immediately, and water thoroughly.

3.02 PLANTING A. Relocated Material: 1. Relocated trees/palms shall be planted according to procedures described for new material, Section 02900. Verify final grades have been established before planting operations. Ensure proposed planting pits drain by test-filling with water before transplantation. 2. Continue watering and caring for relocated material as specified. 3. Mulch tree pit areas to reduce weeds, discourage foot traffic, conserve moisture, and minimize temperature fluctuations. 4. Brace trunk and leave in place for approximately one year until trees are wind firm. 5. Wrap trunks and structural branches of thin-barked trees to protect against sun scald and dehydration. Retain through at least one growing season, and through cold season. 6. Feed with a diluted solution of N-P-K in solution form with a soil needle, providing water, air, and nutrients. 7. Where foliage is retarded, spray with one of the soluble types of foliage feeders. 8. At time of planting, fill air pockets and keep roots, especially feeder roots, moist, live, and healthy. Use soil needles for watering new transplants. Direct fine spray at foliage to help harden-off new leaves. 3.03 STAKING AND GUYING A. Stake and guy designated material according to procedures described for new plant materials, Section 02900. 3.04 WATERING A. Following transplantation, water trees daily for the first two weeks, every other day for the next three weeks, and every third day for the balance of the three month watering/maintenance period. Such watering shall thoroughly saturate the root ball to its full depth. B. Following relocation, trees designated for transplanting shall be watered as specified in this section. Such watering shall thoroughly saturate the root ball to its full depth. C. Provide manual watering of relocated plant materials for 90 days. If used, after watering period, Contractor shall be responsible for the complete removal of all temporary watering systems. 3.05 TAGGING A. Trees within the designated areas for relocation shall be clearly marked by means of yellow plastic surveyor's ribbons and coordinated with, inspected, and accepted by Owner/SSP Design before root pruning and digging.

3.06 ROOT PREPARATION A. Trees to be relocated shall be root pruned at least 45 days before digging with clean, sharp equipment. 1. Maintain root pruned materials by watering, weeding, mowing, spraying, fertilizing, and other horticulture practices. 2. After root pruning, backfill with good rooting medium, fertilize with organic fertilizer to promote root growth. 3. Mulch to reduce weeds, discourage foot traffic, conserve moisture, and minimize temperature fluctuation. B. Root Ball Size Chart: Root ball sizes shall be according to minimum standards set forth in Texas Association of Nurserymen, Grades and Standards for Nursery Stock. 1. Shade and Flowering Trees: 1. Shade Trees: Selectively prune and thin crown to remove approximately one third of the branches. Preserve the basic shape and form of the tree, eliminate crossbranching and dead or diseased branches. 2. Hand strip selected species of all leaves following pruning and before moving. B. Palms: Follow standard procedure for transplantation of palms as specified in Section 02900. 3.08 HAND DIGGING A. Burlapping is required. Trees that are burlapped for relocation shall comply and be handled in same manner as new plant material specified in Section 02900.

3.09 SPECIAL CONDITIONS A. Multi-Trunk Trees: Relocate multi-trunk tree as one unit. Measure unit by taking the aggregate total of all DBH measurements. B. Multi-Trunk Palms: Relocate multi-trunk palms as one unit. Unit shall be measured as follows: 1. 50 percent of the value in dollars of the largest trunk in the grouping times the number of trunks in the clump. C. On/Off-site relocation: 1. Relocation shall include root pruning, canopy pruning, on/off-site transportation, offsite storage and maintenance, hauling and dumping of debris, and 90-day maintenance after final planting. 2. If the tree or palm should die within the 90 day maintenance period, remove the tree, replace the material, and restore the site at no additional cost to the Owner. 3.10 CLEANING A. Site Clean-up: 1. SECTION 02930 – LAWNS PART 1 - GENERAL

1.01

SUMMARY A. Section Includes: The establishment of a complete and uniform lawn including fine grading, sodding and/or hydromulching. B. Related Sections: 1. Section 02810-Irrigation 2. Section 02900-Planting

1.03

QUALIFICATIONS A. Lawn work to be performed by a single firm specializing in commercial landscape work with a minimum of five (5) years experience on similar type projects. Owner/SSP Design to review qualifications and approve subcontractor prior to commencing work.

1.02

SUBMITTALS Submittals shall be formatted in a three-ring binder (10 copies) with tabs identifying each section. Required submittal information for this section shall be included with the overall landscape submittal and shall be designated ‘Section-20-Lawns/Fertilizer’. The following submittals are required for this section:

Product Data: Manufacturer's specifications and application instructions for fertilizer.

Certificates: Inspection certificate from Texas Department of Agriculture indicating sod has been found free of diseases, insects and larvae.

DELIVERY, STORAGE AND HANDLING A.

Sod Delivery: Have sod delivered within twenty-fours hours of cutting. Stack sod with roots to roots, protected from exposure to elements during shipment.

B.

Storage: Lay sod as soon a practicable after delivery. If installation is delayed more than four hours, store sod under shade and keep constantly moist. Sod must be laid within forty-eight hours of cutting. Do not pile more than two foot depth of sod. Do not tear, stretch or drop sod. Do not allow soil to break free of turf roots.

PROJECT CONDITIONS A. Utility Construction: Do not lay sod or begin hydro-mulching until all underlying utility work is complete, trenches backfilled, compacted and graded, and topsoil placed and fine graded.

MAINTENANCE/WARRANTY A. Maintenance Service: Maintain the work of this section throughout the construction period until the Date of Substantial Completion and ninety (90) days thereafter until a complete and uniform lawn has been established and accepted by the Owner/SSP. 1. Establish hydro-mulched or sodded lawns per planting plans. Reapply hydromulch or re-sod as necessary until full and uniform coverage is obtained. 2. Mow general lawn areas at least once per week to maintain height of grass at 2 inches or as directed by Owner/SSP. Mowing of general lawn areas may be carried out using standard rotary type mowing equipment. 3. Trim/edge all lawn areas adjacent to watering basins, pavements, driveways, walls, structures, curbs, planting beds, edges and islands. 4. Provide insect and disease control to maintain health of grass. 5. Apply pre and post emergent herbicides as required or directed to control weed growth throughout the maintenance periods. 6. Fertilize general lawn areas with commercial grade lawn fertilizer until complete and uniform coverage is obtained. 7. Apply top dressing (clean inorganic sand) to level any divots, depressions or low spots during the maintenance period. 8. Irrigation: a) If the irrigation system is operating, program and monitor the system to provide adequate water for grass. b) If the irrigation system is not operating, hand water grass. 9. Submit receipts/dates of all maintenance operations to SSP Design for approval.

B. Warranty: Warranty shall cover all lawn grasses for a period of three months from the date of substantial completion. Final acceptance will not be approved until full and uniform lawns are completely established.

MATERIALS A.

Topsoil: See Section 02900, Landscaping.

B.

Sod: (See schedule for type). Provide premium #1 certified sod grown in a sod nursery on sandy soil, at least 1 yr. old with a heavy top and a strong, well-knit root system, and not more than five percent weeds or foreign grasses.

C.

Hydro-mulch mixture: (See schedule for type). Lawn seed mixture shall be shall be fresh, clean new, crop seed. Hydromulch mixture shall be composed of both hulled and unhulled seed with an appropriate percentage of Rye according to season of planting. The Contractor shall furnish to the Landscape Designer or Owner the dealer's guaranteed statement of the composition of the mixture and the percentage of purity and germination of each variety.

D.

Fertilizers: Initial Application – Scotts Starter Fertilizer (20-27-5) or approved equal. Grow-in Period – Scotts Turf Builder (12-4-8) or approved equal.

PART 3 3.01

PRODUCTS

EXECUTION

EXAMINATION A. Verification of Conditions: Examine the site and conditions under which this work is to be performed. Have the installer notify the Contractor in writing, with a copy to SSP Design, if the site is unsatisfactory. Do not begin the work until unsatisfactory conditions have been corrected in a manner acceptable to installer. Beginning of work indicates acceptance of the site as satisfactory by the installer.

3.02

PREPARATION A. B.

Topsoil: Refer to Section 02900 ‘Landscaping’ for topsoil amendment. Site Preparation: Contractors must visit and review site prior to bidding. Compacted soils and sub-soils from construction activities must be ripped and tilled until a loose, friable and free-draining condition is met. All existing weeds, grass, stabilized sub-base material, rubble, excavated soil and other material shall be removed from the site and disposed of by the contractor prior to starting any new landscape work. Soil conditions around entire site must be approved by SSP Design prior to rough and finished grading operations. Contractor shall not install any fill or topsoil in landscape areas prior to site condition approval by SSP Design.

3.03

INSTALLATION – HYDROMULCH/SEED A.

All exterior ground within the limit of contract, except surfaces occupied by structures and paving, except areas indicated to be undisturbed, shall be seeded, hydromulched or planted as shown on drawings. Furnish topsoil, finish grading, prepare seed bed, seed, hydromulch and maintain areas as indicated on the drawings.

B.

Lawn Area Preparations - Grade areas to finish grades, filling as needed or removing surplus material. Float all lawn areas to a smooth, uniform grade as indicated on engineers grading plans. All lawn areas shall slope to drain away from structures and planting beds. Where no grades are shown, areas shall have a smooth and continual grade between existing or fixed controls (such as walks, curbs, catch basin, elevational steps or structures) and elevations shown on plans. Contractor to ensure proper drainage around all structures. Adjust grades as necessary to direct water away from structures and planting beds. Report any discrepancies on all drainage issues in writing to SSP Design.

C.

Roll, scarify, rake and level as necessary to obtain true, even lawn surfaces. All finish grades shall meet approval of the Landscape Designer, before seeding/hydromulching operations. Loosen soil to a depth of six inches (3") in lawn areas by approved method of scarification and grade to remove edges and depressions. Remove stones or foreign matter over one inch (1/2") in diameter from the top two inches (2") of soil. Float lawn areas to approximately finish grades.

D.

Lawn areas should be permitted to settle or should be firmed by rolling before seeding/hydromulching.

E.

Seeding/hydromulching shall not be performed in windy weather.

F.

Lawn areas shall be seeded by hydro-mulching evenly with an approved mechanical hydro-mulcher at the rate of a minimum of three (3) pounds per 1,000 square feet. In areas inaccessible to hydro-mulching equipment, the seeded ground shall be lightly raked with flexible rakes and rolled with a water ballast roller. After rolling, seeded areas are to be lightly mulched with wheat straw or approved material.

G.

Lawns shall be maintained by the Contractor for at least 90 days after sodding and seeding, or as long as is necessary to establish a uniform stand of the specified grasses, or until substantial completion of the project or until acceptance of lawns, whichever is later.

H.

Water seeded/hydromulched areas twice the first week to a minimum depth of six inches (6") with a fine spray and once per week thereafter as necessary to supplement natural rain to the equivalent of one inch (1") or to a six-inch (6") depth.

I.

The surface layer of soil for seeded/hydromulched areas must be kept moist during the germination period. After first cutting, water as specified above.

J.

Make weekly inspections to determine the moisture content of the soil and adjust the watering schedule established by the irrigation system installer to fit conditions

K.

After grass growth has started, all areas or parts of areas, which fail to show a uniform stand of grass for any reason whatsoever shall be reseeded/hydromulched in accordance with the plans and as specified herein. Such areas and parts of areas shall reseeded, hydromulched or sodded repeatedly until all area are covered with a satisfactory growth of grass at no additional cost to the Owner.

L.

Watering shall be done in such a manner and as frequently as is deemed necessary by the Landscape Designer or Owner to assure continued growth of healthy grass. All areas of the site shall be watered in such a way as to prevent erosion due to excessive quantities applied over small areas and to avoid damage to the finished surface due to the watering equipment.

M.

Water for the execution and maintenance of this work shall be provided by the Owner at no expense to the Contractor. The Contractor shall, however, furnish his own portable tanks, pumps, hose, pipe, connections, nozzles, and any other equipment required to transport the water from the available outlets and apply it to the seeded area in an approved manner.

N.

Mowing of the seeded, hydromulched or sodded areas shall be initiated when the grass has attained a height of one and one-half to two inches (1-1/2" to 2"). Grass height shall be maintained between one and one and one-half inches (1' to 1½") at subsequent cutting depending on the time of year. Not more than one third (1/3) of the grass leaf shall be removed at any cutting and cutting shall not occur more than ten (10) days apart.

O.

When the amount of grass is heavy, it shall be removed to prevent destruction of the underlying turf. If weeds or other undesirable vegetation threaten to smother the planted species, such vegetation shall be mowed or, in the case of rank growths, shall be uprooted, raked and removed from the area by methods approved by the Landscape Designer or Owner.

P.

Protect seeded/hydromulched areas against trespassing while the grass is germinating. Furnish and install fences, signs, barriers or any other necessary temporary protective devices. Damage resulting from trespass, erosion, washout, settlement or other causes shall be repaired by the Contractor at their expense.

Q.

Remove all fences, signs, barriers or other temporary protective devices after final acceptable.

FERTILIZING – GRASS A.

Sod shall be installed to all areas as indicated on plans. Sod Bed Preparation - Grade areas to finish grade, filling as needed or removing surplus dirt, stone, debris, etc. and floating areas to a smooth, uniform grade as indicated on grading plans. All lawn areas are to slope to drain. Sod shall be cut and laid on site the same day. Only healthy vigorous growing sod is to be laid. Always lay sod across slope and tightly together so as to make a solid area. Roll or firmly but lightly tamp with suitable wooded or metal tamper all new sod sufficiently to set or press sod into underlying soil. After sodding has been completed, clean up and thoroughly moisten by sprinkler newly sodded areas.

General lawn areas shall have fertilizer applied in two (2) applications with a thorough watering immediately following application. The first application shall be one (1) week after the hydro-seeding using a ‘starter fertilizer’ at manufacturer’s recommended rates. The second application shall be done after 30-60 days with an approved turf builder fertilizer at manufacturer’s recommended rates.

CLEANUP AND PROTECTION A.

Remove debris from landscaped areas daily and sweep clean adjacent pavements, if soiled by landscape activities.

B.

Provide temporary protection fencing as required to protect lawns from damage, theft or vandalism until final acceptance.
