THE RULES
• Contest begins on November 25, 2016 at Midnight (12:00 AM) Arizona/MT (Mountain Time) and ends at 11:59 PM Arizona/MT. • Sales total calculated in dollars resulting from purchases from personally enrolled Retail and VIP/Elite Customers. Up to $2,000 USD from an Agent’s personal purchases will also be counted towards the sales total. • Any product returns by you or your personally enrolled Customers will be deducted from your sales total. • In the case of a tie, final rank will be determined by total number of orders. • Top Sellers 4-10 are eligible to receive the Bonus Payout, and only the Top 3 Sellers are eligible for the Agent Destination 2017 Trip. • Agents who rank in the Top 3 in sales must choose between the Bonus Payout OR the Agent Destination 2017 Trip, and may not receive both. • Bonus Payouts for the Top 10 Sellers will be added to their Commission Check and is considered taxable income. • The Top 20 Agents displayed on the Leaderboard at Midnight will be the final qualifying Agents. OFFICIAL RULES SEACRET DIRECT, L.L.C. BLACK FRIDAY 2016 CONTEST
1. WHO MAY ENTER: This contest (“Contest”) is open to (i) legal residents of the 50 United States and the District of Columbia and Canada who are 18 years of age or older at the time of entry or registration, and are current Seacret Direct Agents (“Agents”) in good standing. Only participants entered in the Contest in accordance with the above are eligible to enter. You may not participate if you are not a legal U.S. or Canadian resident at the time of Contest. The following persons are not eligible to enter the Contest: (a) employees of Seacret Direct, L.L.C., (hereinafter “Seacret,” “Company,” or “Sponsor”), its affiliates, subsidiaries, officers, or employees; (b) officers, employees, or agents of any organizations directly involved with this contest, including any co-sponsors of the Contest; (c) immediate family members and persons living in the same household as the persons identified in (a) and (b) above. Notwithstanding the above, and with respect to (c) above, the Company acknowledges that a certain number of its employees may have or, in fact, do have family members that are independent agents of the Company. These designers are eligible to participate in this contest, but must be disclosed to the Company and will be bound to these Official Rules. VOID WHERE PROHIBITED OR RESTRICTED BY LAW. 2. HOW TO ENTER: The Contest begins on November 25, 2016 Midnight (12:00 AM) Arizona/MT (Mountain Time) and ends at 11:59 PM Arizona/MT (hereinafter “Contest Period”). All Company Agents in good standing as of the above, November 25, 2016 date, shall automatically be registered in the Contest. However, in order to qualify for the Prizes below, a Company Agent must earn or accumulate sales volume as determined below. 3. RULES: The contest begins on November 25, 2016 Midnight (12:00 AM) Arizona/MT (Mountain Time). From this point onward, Agent’s sales total will be tallied and tracked by the Company through 11:59 p.m. Arizona/MT on November 25, 2016 at which time the contest will close. • Sales total is calculated in dollars resulting from purchases from personally enrolled Retail and VIP/Elite Customers. • Up to $2,000 USD from an Agent’s personal purchases will also be counted toward the sales total. • Any product returns, by Agent or their personally enrolled Customers, will be deducted from sales total. • Top Sellers 4-10 are eligible to receive the Bonus Payout, and only the Top 3 Sellers are eligible for the Agent Destination 2017 Trip. • Agents who rank in the Top 3 in sales must choose between the Bonus Payout OR the Agent Destination 2017 Trip, and may not receive both. • Bonus Payouts for the Top 10 Sellers will be added to their Commission Check and is considered taxable income. • In the case of a tie, final rank will be determined by total number of orders. To Qualify for the top three prizes, Agents must achieve Silver by 1/25/2017 and qualify for Silver for four (4) weeks (any four (4) weeks, not consecutive) by 2/26/2017. Maintenance will begin the pay period following 11/25/2016. • By participating, Agents agrees to be bound by these Official Rules and the decisions of the Company, which shall be final and binding in all respects. • Winners will be officially contacted before December 1, 2016, by email, U.S. mail, or telephone. 4. IN NO EVENT WILL SEACRET DIRECT, ITS AFFILIATES, SUBSIDIARIES AND RELATED COMPANIES, ITS ADVERTISING AND PROMOTIONAL AGENCIES, OR ITS DIRECTORS, OFFICERS EMPLOYEES ATTORNEYS, AGENTS AND REPRESENTATIVES, BE RESPONSIBLE OR LIABLE FOR ANY DAMAGES OR LOSSES OF ANY KIND, WHETHER IN CONTRACT, TORT OR OTHERWISE AND INCLUDING INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL OR EXEMPLARY DAMAGES (EVEN IF SUCH DAMAGES ARE FORESEEABLE, AND WHETHER OR NOT THE INDEMNIFIED PARTY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES) ARISING FROM THIS CONTEST. 6. CHOICE OF LAW: All issues and questions regarding the construction, validity, interpretation, and enforceability of these Contest Rules, or the rights and obligations of entrants and Sponsor in connection with the Contest, shall be governed by, and construed in accordance with the laws of the State of Arizona without regard to conflicts of laws principles. The Seacret Agent agrees that all disputes in connection with this Contest shall be resolved exclusively before a court of competent jurisdiction located in Phoenix, Arizona, and the Seacret Agent hereby agrees to personal jurisdiction of that court. 7. OTHER CONDITIONS: If the Contest is not capable of running as planned due to tampering, unauthorized intervention, fraud, technical limitations or failures, any force majeure event or any other cause which, in the sole opinion of the Sponsor, could corrupt, compromise, undermine or otherwise affect the administration, security, fairness, integrity, viability or proper conduct of the Contest, the Sponsor reserves the right, in its sole and absolute discretion, to modify these Official Rules and/or to cancel, terminate, modify or suspend all or any part of the Contest, and to select a winner from among all eligible Agents, and the sales accumulated by those Agents, up until the time of such cancellation, termination, modification or suspension, as applicable. In addition, the Sponsor has the right to take all steps necessary to prevent and/or alleviate potential or actual gaming of the contest, including, but not limited to, suspending or terminating Agents found guilty of such activities, and disqualifying them from participating in the Contest.
