NORTH CAROLINA GENERAL CONTRACT TERMS AND CONDITIONS 1. DEFAULT AND PERFORMANCE BOND: In case of default by the Bidder, Johnston County Schools reserves the right to exercise or use any legal remidies available to it. This clause will be negotiated in the contract. 2. REQUEST FOR QUOTE (RFP) AND CONTRACT UNDERSTANDING: It is specifically understood by the parties that this document is a Request for Quote (RFP) and not a contract. After the award of the proposal, it is understood that a final contract will be negotiated and entered into by the parties, pursuant the the General Terms and Provisons of this RFP. 3. AWARD: This Request for Proposal (RFP) is for award of bid only. The parties shall enter into the formal contract after the award of the bid, subject to Johnston County Schools Board of Education approval. Johnston Couty Schools reserves the right to reject any and all proposals in their discretion. 4. EVALUATION FACTORS: Evaluation factors to be considered are needs of the school district, performance, past association with product/Bidder, or any other criteria pertaining to the software, hardware, or services. 5. AVAILABILITY OF FUNDS: Any and all payments to the Bidder are dependent upon and subject to the availability of funds to the agency for the purpose set forth in this agreement. 6. TAXES: Any applicable taxes shall be invoiced as a separate line item. 7. SITUS: The place of this contract, its situs and forum, shall be Johnston County, NC, where all matters, whether sounding in contract or tort, relating to its validity, construction, interpretation and enforcement shall be determined. 8. GOVERNING LAWS: This contract is made under and shall be governed and construed in accordance with the laws of the State of North Carolina. 9. PAYMENT TERMS: Payment terms are Net 30 days after receipt of correct invoice or acceptance of goods, whichever is later. The using agency is responsible for all payments under the contract. 10. DELIVERY: An offer on the basis of FOB destination is acceptable and favorable, but will be evaluated on the basis submitted. INSIDE DELIVERY ONLY, NO EXCEPTIONS.

11. SCHEDULE OF DELIVERY: The proposed materials and services shall be delivered to Johnston County Schools upon your best delivery quoted. 12. BIDDER CONDUCT: During performance of this effort, the rights to enter and exit Johnston County School’s facilitiy(s) or any other County School site shall be made available to authorized personnel as required. While on Johnston County Schools premises, Bidder shall comply with all Johnston County Schools rules, regulations, and procedures governing the conduct of personnel and the operation of the facility. 13. PACKAGING: It is incumbent on Bidder to provide proper and adequate packaging to ensure that the product being shipped to Buyer will be free of damage excepting that which constitutes shipping damage chargeable to the carrier. Packaging must be adequate to allow for normal and acceptable handling practices, including palletizing as required, with consideration for the type of product and mode of transportation. Buyer reserves the right to reject all or part of any shipment that is deemed by the Buyer not to have packaging adequate to protect Bidder’s product from damage during shipment. 14. INSPECTION: Materials to be furnished as a result of this Request for Proposal shall be subject to inspection by Johnston County Schools, if the goods or tender of delivery fail, in any respect to conform to the contract the buyer may reject the whole or any unit or units, within a reasonable time after delivery. 15. AFFIRMATIVE ACTION/MINORITY BUSINESSES: The Bidder will take affirmative action in complying with all Federal and State requirements concerning fair employment and employment of the handicapped, and concerning the treatment of all employees without regard to discrimination by reason of race, color, religion, sex, national origin or physical handicap. 16. CONDITION AND PACKAGING: Unless otherwise provided by special terms and conditions or specifications, it is understood and agreed that any item offered or shipped has not been sold or used for any purpose and shall be in first class condition. All containers/packaging shall be suitable for handling, storage or shipment. 17. PATENT: The Bidder shall hold and save Johnston County Schools, its officers, agents and employees, harmless from liability of any kind, including costs and expenses, on account of any copyrighted material, patented or unpatented invention, articles, device or appliance manufactured or used in the performance of this contract, including use by the government.

ADVERTISING: Bidder agrees not to use the existence of this contract, the name of the Johnston County Schools Board of Education or the name of the State of North Carolina as part of any commercial advertising. 19. ACCESS TO PERSONS AND RECORDS: The State Auditor shall have access to persons and records as a result of all contracts or grants entered into by State agencies or political subdivisions in accordance with General Statute 147-64.7. 20. ASSIGNMENT: No assignment of the Bidder’s obligations nor the Bidder’s right to receive payment hereunder shall be permitted.
