Special Terms and Conditions
BID EFFECTIVE DECEMBER 1, 2014 through NOVEMBER 30,2015

A. Bid may be renewed in one (1) year increments for a period of two (2) additional years from the initial award with the mutual consent of the Klein Independent School District Board of Trustees and the awardee(s). An extension will not be allowed should any terms or conditions change which are not agreed to by both parties. The Klein Independent School District Board of Trustees will only consider changes in terms or conditions or price increases: (1) at the time of renewal (not during the term of the contract); and (2) upon a determination that such changes are necessary due to market conditions and in the best interest of the District. Any such changes must be submitted to Klein Independent School District with documentation supporting the reason for the changes, attention Purchasing Director, at least sixty (60) days prior to contract termination. If there is a reduction in the price during the term of the contract, the price to the District shall be reduced in the same amount and manner as the greatest reduction in price granted to any political subdivision or segment of the trade. Any price reduction shall be effective immediately. B. No guarantees are made regarding actual numbers of items to be purchased. C. If it is in the best interest of the Klein Independent School District, this bid may be awarded to multiple vendors. D. In determining to whom to award a contract, the District shall consider the factors listed in Texas Education Code 44.031(b). 6

Insurance Requirements
All insurance coverage’s shall be issued on Occurrence basis (except Professional Liability) by companies acceptable to District and licensed to do business in the State of Texas by the Texas Department of Insurance. Such companies shall have a Best’s Key rating of at least “A-X”.

The awarded vendor shall provide Klein I.S.D. with a Certificate of Insurance evidencing the following insurance coverage’s, showing the District as Additional Insured, with an insurance company and deductible acceptable to the District: Workers Compensation insurance with limits to comply with the requirements of the Texas Workers' Compensation Act, and Employers Liability insurance with limits of $1,000,000, including a Waiver of Subrogation clause in favor of the District. General Liability insurance including Products, Completed Operations, Independent Contractors and Contractual Liability coverage’s with Aggregate, Occurrence and Personal Injury limits of $1,000,000; Fire Damage limits of $500,000 and Medical Payments limits of $5,000. Automobile Liability insurance covering Any Auto with combined limits of $1,000,000 and Medical Payments limits of $5,000. Excess or Umbrella Liability insurance policies may be carried to provide total limits as required above. The District reserves the right to review the insurance requirements during the effective period of any contract to make reasonable adjustments to insurance coverage’s and limits when deemed reasonably prudent by District based upon changes in statutory laws, court decisions or potential increase in exposure to loss.

Certificate of Insurance
Certificates of Insurance must be attached to the Bid or ____________________ (Required) Proposal document (attach documents under the "Response Attachment" tab) providing evidence of all required insurance coverage as listed in the Terms & Conditions, section 6. Bids/Proposals failing to comply with any or all of the requirements shall be considered incomplete.

Criminal Background Checks
Section 22.0834 of the Texas Education Code and 19 Tex. ____________________ (Required) Admin. Code 153.1117 require vendors/contracting entities, not the Klein ISD, to ensure and verify that background checks are conducted on “covered contract employees”, which includes both (a) employees of, or applicants to service contractors and (b) employees or independent contractors, or applicants to, subcontractors of service contractors. Under the rules, the phrase “continuing duties related to contracted services” is defined as duties performed pursuant to a contract to provide services to a school entity on a regular, repeated basis. The District’s direct vendor is the party responsible for obtaining all criminal history record information required under the Texas Education Code for all of its covered contract employees and now for the covered contract employees/independent contractors of its subcontractors. Awarded vendors must certify to the school district that all required criminal history record information for its covered employees and the employees and independent
