OFFICIAL RULES. NO PURCHASE NECESSARY TO ENTER THE CONTEST. A PURCHASE DOES NOT INCREASE YOUR CHANCES OF WINNING. Submitting an entry constitutes your full and unconditional agreement to and acceptance of these Official Rules and the decisions of the Sponsor and judges, which shall be final and binding on all matters relating to the Contest.

1) Contest Timing: The Febreze Best of Holidays Past Contest (the “Contest”) begins 10:00 a.m. ET on 11/5/2012 and ends at 5:00 p.m. ET on 11/27/2012 (the “Contest Period”).

2) Eligibility: The Contest is open only to legal residents of the 50 United States and the District of Columbia and Canada (excluding Quebec) who, as of the last day of the month prior to the date of entry, are the age of majority in the state/province in which they reside. Employees of The Procter & Gamble Distributing LLC (the “Sponsor”), its parents, subsidiaries, divisions, affiliates, suppliers, distributors and advertising, promotional and judging agencies, including Don Jagoda Associates, Inc. (the “Contest Administrator”) and their immediate family members (spouses, parents, children, and siblings and their spouses) and household members of each (whether related or not), are not eligible to participate or win. Void where prohibited by law. All federal, state, municipal, provincial and local laws and regulations apply.

3) How to Enter the Contest: There is NO PURCHASE NECESSARY to participate in the Contest. A purchase does not increase your chances of winning. During the Contest Period, you may access the Contest by visiting the Best of Holidays Past tab at www.facebook.com/Febreze. From the Febreze Fan Page, accept the Contest Application (the “Application”) and complete the on-screen registration form, including a 250-word/1,500 character or less essay about your friend or family member who can’t be home for the holidays, and why he or she could use a little happiness. The friend or family member must be a U.S. or Canadian (excluding Quebec) resident who at time of Entry and prize award (if applicable) is currently residing in the U.S. or Canada and who is the age of majority in the state/province in which he/she resides. All entry components submitted shall herein be referred to as the “Entry”. All Entries must adhere to the following Entry Restrictions and the entire Official Rules of the Contest. Any Entry that does not adhere to these Entry Restrictions or the Official Rules is subject to disqualification from the Contest:  Entries must only feature one person.  Entries should not include any personally identifiable information of any third party without his/her permission.  Entries must be suitable for presentation in a public forum, in the sole discretion of the Sponsor.  Entry must not include a commercial solicitation or promotional materials, or address, phone number, or URL address.  The Entry must not contain information known by you to be false, inaccurate or misleading.  The Entry must not contain offensive, profane, vulgar, obscene or inappropriate language.  The Entry must not contain defamatory, libelous, or slanderous content.  Entry must be your own original, unpublished work and must not contain, incorporate or reference any content that is owned by any third party or entity (other than Febreze), would require the consent of any third party or entity in any jurisdiction, or which infringes any third party’s copyright, patent, trademark, trade secret, right of publicity, right of privacy, moral rights, and/or any other applicable personal or proprietary rights.  Entrants may not copy or otherwise plagiarize any portion of the Entry from any source.  The Entry must not contain content which violates any law, statute, ordinance or regulation (including, but not limited to, those governing export control, consumer protection, unfair competition, anti-discrimination, and false advertising).  The Entry must not contain content that engages in, encourages, advocates, discusses with the intent to commit, or provides instructions for conduct that would constitute a criminal or civil offense or would otherwise violate any federal, state, local or international law or rule.



    

The Entry must not contain material or content that is, or may reasonably be considered to be, hate speech, whether directed at an individual or group, and whether based upon the race, sex, creed, national origin, religious affiliation, marital status, sexual orientation, gender identity, or language of such individual or group or that is otherwise unlawfully threatening or unlawfully harassing to any individual, partnership, corporation, or political body. The Entry must not contain content depicting a health condition in a derogatory or inflammatory way or misrepresenting a health condition in any way. The Entry must not contain material or content for which you were compensated or granted any consideration by any other third party. The Entry must not contain content or materials in which you impersonate another person or entity. The Entry may not cause injury to any person or entity. The Entry must be in English.

Each Entrant, grants to Sponsor a worldwide, royalty-free right and non-exclusive license to use, distribute, reproduce, modify, adapt, edit, translate, publically perform and publically display and create derivative works from each submitted Entry, in any media, and agrees to execute documents confirming such right and license (as further defined in section 9 below) at Sponsor’s reasonable request. Any Entry deemed inappropriate or unsuitable, in Sponsor’s sole discretion, will be disqualified. No information regarding Entries or judging, other than as otherwise set forth in these Official Rules or on the Application listed above, will be disclosed. All eligible Entries must be received by at 5:00 p.m. ET on 11/27/2012. Limit one Entry per person. Any attempt by any Entrant to obtain more than the stated number of Entries by using multiple/different email addresses, identities, registrations and logins, or any other methods will void such Entries and that Entrant may be disqualified. Use of any automated or computer system to participate is prohibited and will result in disqualification. Normal Internet access and usage charges imposed by your online service may apply.

4) Privacy: Trust is a cornerstone of Sponsor’s corporate mission and the success of their business depends on it. Sponsor is committed to maintaining your trust by protecting personal information they collect about you. Information collected from entrants is subject to Sponsor’s Privacy Policy. http://www.pg.com/privacy/english/privacy_notice.html.

5) Judging: Each submitted essay will be judged by a panel of Sponsor-selected judges to determine the Grand Prize winner, based on the following judging criteria: Most Compelling Story (30%); Enthusiasm (25%); Creativity (25%); and Relevance to Theme (20%). In the event of a tie, tied Entries will be re-judged by the judges based solely on Most Compelling Story.

6) Winner Notification: The Entrant indicated on the original registration form will be contacted by phone and/or email on or about 12/3/2012 and will be required to complete and return an Affidavit of Eligibility, Liability Release, Assignment of Rights and where legal, a Publicity Release or Declaration of Compliance (if Entrant is Canadian)and have hi/her friend or family member described in his/her essay also sign and return an Affidavit of Eligibility, Liability Release, and where legal, a Publicity Release or Declaration of Compliance (if Canadian) within three (3) days of notification attempt. Noncompliance within this time period or return of any prize notification will result in disqualification and an alternate Entry will be determined. Affidavits/Declarations will be sent via email and must be returned together via email/fax and mail. Sponsor will make two attempts within a 24-hour period to reach each potential winner via phone (no messages will be left on voice mail/answering machines). Failure to reach any potential winner via phone within this timeframe may result in disqualification and an alternate winner may be chosen.

7) One (1) Grand Prize: The friend or family member who is the subject of the winning essay will win $10,000, awarded in the form of a check. Prize will be awarded to the friend or family member only and will not be awarded to the Entrant. As part of the Grand Prize, in Sponsor’s sole discretion, Sponsor may film the presentation of the awarding of the Grand Prize Check and the winner must agree to participate in this video footage in order to receive his/her prize. In the event Sponsor is unable to make a personal presentation of

the Grand Prize, due to reasons beyond its control (e.g., in the event winner resides on a restricted military base), winner will receive his/her prize via mail and forego the presentation. In addition, the original entrant may be required (except where prohibited by law) to provide the Sponsor with additional photos of themselves with or without nominated friend or family member for Sponsor’s use in various creative materials without further compensation. The friend/family member who wins the Grand Prize is responsible for all federal, state, provincial and local taxes and all other costs and expenses associated with the prize not specified herein as being awarded. No transfer or substitution of prize permitted. Acceptance of prize constitutes permission for the Sponsor and its agencies to use winner’s/corresponding Entrant’s names and/or likenesses and Entrant’s Entry and all video footage/photos submitted for purposes of advertising and trade without further compensation, including a winner’s list, unless prohibited by law.

8) General Rules: By participating in the Contest, Entrants and winner agree to be bound by the Official Rules and the decisions of the Sponsor. Judges’ decisions are final on all matters relating to the Contest. All Entries will be declared made by the authorized account holder of the e-mail address submitted at the time of Entry. "Authorized account holder" is defined as the natural person who is assigned to an e-mail address by an Internet access provider, online service provider, or other organization (e.g., business, educational institution, etc.) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. The Sponsor and its agencies are not responsible for technical, hardware, software or telephone malfunctions of any kind, lost or unavailable network connections, or failed, incorrect, incomplete, inaccurate, garbled or delayed electronic communications caused by the user or by any of the equipment or programming associated with or utilized in the Contest or by any human error which may occur in the Contest. Sponsor reserves the right to cancel the Contest if any aspect of the Contest becomes technically corrupted, and determine the winner from Entries received prior to cancellation. The Sponsor reserves the right at its sole discretion to disqualify any individual that tampers or attempts to tamper with the Entry process or the operation of the Contest or Contest Application; violates the Official Rules; or acts in an unsportsmanlike or disruptive manner, or with intent to annoy, abuse, threaten or harass any other person. Any attempt by any person to deliberately undermine the legitimate operation of the Contest may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. The Sponsor and its agencies and each party’s respective affiliates, officers, directors, agents, and employees will have no liability or responsibility for any claim arising in connection with participation in the Contest or the awarding of prize. Winner assumes all liability for any injury or damage caused, or claimed to be caused, by participation in the Contest or use or redemption of prize. By entering the Contest, you acknowledge that you, not Sponsor, are responsible for the contents of any material submitted in relation to the Contest. Sponsor does not guarantee that you will have any recourse through Sponsor to edit or delete any material that you have submitted. By submitting an Entry, you also represent and warrant that you have the right to submit the Entry to Sponsor. You represent and warrant that the Entry is original, was created by you, and does not contain any material or information whose inclusion in the Entry and/or use by Sponsor in connection with Sponsor’s exploitation of the Entry hereunder would violate or infringe upon any copyright, trademark, right of publicity or persona, right of privacy or other personal or proprietary right of any person or entity or violate any law or regulation. You shall be solely responsible for any damages resulting from any infringement of copyrights, trade secret, right of publicity, or other rights, or any other harm resulting from your uploading or submission of any Entry to any Site. In addition to any legal remedies that Sponsor may have for your violation of the Official Rules, P&G shall also have the right in its sole discretion to suspend or terminate your access to the Application/Contest.

9) Release and Grant of Rights: For the good and valuable consideration of participating in this Contest and having your Entry considered for use by Sponsor in this Application or any of their Web Sites or agreeing to be depicted as the teacher in the Entry (as applicable) and/or as otherwise detailed below, sufficiency of which you hereby acknowledge, you hereby grant to Sponsor, its parent companies, affiliates, brands, subsidiaries, successors, licensees and agents and those they may designate from time to time (all of the foregoing, the “Licensed Entities”), a non-exclusive, worldwide, perpetual, irrevocable, fully paid-up, royalty-free, fully

sublicenseable and transferable right and license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, transmit, display, and perform such Entry, in whole or in part, in any media, format or technology, whether now known or hereafter discovered, and in any manner including all promotional, advertising, marketing, publicity, and commercial uses and ancillary uses thereof, without any further notice or payment to or permission needed from you (except where prohibited by law). You also hereby grant to the Licensed Entities an unrestricted, worldwide, perpetual, irrevocable, fully paid-up, royaltyfree, fully sublicensable and transferable right to use your name, nickname, user name, biographical information and essay (collectively “Your Personal Content”) as contained in your Entry, in composite or distorted form or as otherwise incorporated into other creative works of authorship, in any media, format or technology, whether now known or hereafter discovered, and in any manner including all promotional, advertising, marketing, publicity, and commercial uses and ancillary uses thereof, without any further notice or payment to or permission needed from you (except where prohibited by law). Without limitation of the foregoing, submission of an Entry constitutes your agreement that the Licensed Entities are permitted (but are not obligated) to display the Entry online for public viewing and/or comment (whether on Licensed Entities’ web pages or on third party web pages), to incorporate the Entry in online and offline promotional advertising, marketing, and/or other commercial materials, and to reproduce, adapt and distribute the Entry in all media whether now known or later developed. By submitting an Entry or being the subject of Entry, you hereby release and discharge, on behalf of yourself and your successors, assigns and representatives, the Licensed Entities, Facebook, Inc. and each of their respective officers, directors and employees from any and all claims, suits, actions, demands, liabilities and damages of any kind whatsoever arising out of or in connection with the use of such Entry by any of the Licensed Entities, including, without limitation, any and all claims for copyright infringement, invasion of privacy, violation of the right of publicity and persona, and/or defamation. Without limitation of the foregoing, in no event will you be entitled to, and you waive any right to, enjoin, restrain or interfere with use of the Entry or Your Personal Content embodied in such Communication as permitted hereunder or the exploitation of any of the Licensed Entities’ rights hereunder.

10) Governing Law: The Contest and the Official Rules shall be exclusively governed by and construed in accordance with the laws of the state of Ohio, without regard to conflicts of law provisions. Entrants submit to exclusive personal jurisdiction in Ohio and agree that any dispute shall be brought in the state or federal courts in Ohio.

11) Winner: For the name of the Grand Prize winner, available after 1/15/2013, send a self addressed stamped envelope no later than 2/15/2013, to: The Febreze Best of Holidays Past Contest Winner, c/o Don Jagoda Associates, Inc. (Attn: SG), 100 Marcus Drive, Melville, NY 11747.

12) Sponsor: The Sponsor of the Contest is The Procter & Gamble Distributing LLC, One P&G Plaza, Cincinnati, OH 45202. The Contest is in no way sponsored, endorsed or administered by, or associated with, Facebook. You understand that you are providing your information to Procter & Gamble and not to Facebook. The personal information you provide will only be used in the event you are selected as a Contest winner.
