Yoga Alliance Exhibitor Agreement, Rules and Regulations Agreement This Agreement (“Agreement”), by and between (“Exhibitor”) and Yoga Alliance is for exhibition at Yoga Alliance conferences. WHEREAS, Yoga Alliance is the organizer for he Conference (“Conference”); and WHEREAS, Yoga Alliance wishes to provide exhibit space to Exhibitor, and Exhibitor wishes to exhibit at the Conference; NOW, THEREFORE, based on mutual consideration, the receipt and adequacy of which are acknowledged, the parties agree as follows: 1. EXHIBITOR RULES: Exhibitor agrees to exhibit at the Conference in a professional manner, in accordance with all applicable laws and regulations, and in accordance with the attached Exhibitor Rules and Instructions. Exhibitor further represents that it will adhere to any policies or procedures of Yoga Alliance, that Yoga Alliance implements and communicates to Exhibitor. Exhibitor agrees not to delegate, assign, or subcontract any of the obligations under this Agreement without Yoga Alliance’s prior written approval. 2. PAYMENT: Payments must be made in full to Yoga Alliance with the application and contract. If the application is not accepted, the exhibitor fee will not be charged. If payment is made by check, it will be returned to exhibitor. 3. CANCELLATION: Notice of Exhibitor cancellation must be made in writing and postmarked before June 7, 2014. If space can be filled by another Exhibitor, a $200 cancellation fee will be charged and a refund of the balance will be given. If no other Exhibitor is found, a $500 cancellation fee will be charged and a refund of the balance will be given. No refunds for cancellations will be given to requests postmarked after July 7, 2014. 4. TERMINATION: If Exhibitor materially breaches this Agreement, Yoga Alliance may terminate the Agreement, and Exhibitor will no longer have a right to occupy assigned exhibit space or attend the Conference. In such an event, Exhibitor will be liable for associated costs incurred by Yoga Alliance, and Yoga

Alliance shall not be restricted from seeking any other available remedies or damages. 5. INTELLECTUAL PROPERTY: Exhibitor represents that its use or sale of goods at the conference will not infringe upon or conflict with the rights held by any third party under any patent, trademark, copyright, trade secret, or proprietary right. 6. CONFIDENTIAL AND PROPRIETARY PROPERTY: Exhibitor acknowledges that it may be exposed to certain information, materials, and property related to Yoga Alliance or its activities, and affiliated groups and their activities, that may be considered confidential or proprietary, including but not limited to financial information, trade secrets, membership and other mailing lists, copyrights, logos, trademarks, and trade names. Exhibitor acknowledges and agrees that Yoga Alliance is the sole owner of all right, title, and interest to all such information, materials, or property, including Yoga Alliance’s logo, trademarks, trade names, and copyrighted information. Exhibitor will respect and maintain the confidentiality of the confidential information of Yoga Alliance and all affiliated groups, and neither Exhibitor nor its agents will use or divulge, or cause to be used or divulged, such confidential information or proprietary property without the express authorization of Yoga Alliance. Exhibitor acknowledges that the obligations it has undertaken in this Section will survive the termination or expiration of this Agreement. 7. RELATIONSHIP OF THE PARTIES: Yoga Alliance and Exhibitor agree that this Agreement is not intended to create any partnership, agency, joint venture, or employer/employee relationship of any kind; both parties agree not to contract any obligations in the name of the other or to use each other’s credit in conducting any activities under this Agreement. 8. PHOTOGRAPHY: By attending the Conference, Exhibitor consents to the use of photography, video, audio, digital or other recording at the Conference which may include Exhibitor, and acknowledges that Yoga Alliance has the universal and perpetual right to the use thereof. Yoga Alliance Exhibitor Agreement, Rules and Regulations 9. LIMITS OF LIABILITY: In no event shall Yoga Alliance be liable to Exhibitor in excess of the amount paid under the contract. Yoga Alliance assumes no liability for loss of or damage to Exhibitor materials. Exhibitor is exclusively responsible for assuring that its exhibit materials are properly insured against fire, theft, and all hazards during transportation of materials to and from the exhibit, and for the entire length of the exhibit. 10. INDEMNIFICATION AND INSURANCE: Exhibitor hereby agrees to indemnify and hold harmless Yoga Alliance, its agents, and employees, from and against all claims, liabilities, and expenses, including reasonable attorney’s fees, which may result from acts, omissions, or breach of this Agreement by Exhibitor or its agents or employees. Exhibitor shall maintain appropriate and sufficient insurance to cover its obligations under this Agreement. This provision shall survive the termination of this Agreement. 11. FORCE MAJEURE: The performance of this Agreement by either party is subject to acts of God, war, government regulation, disaster, fire, epidemic, threatened or imminent strikes, civil disorder, curtailment of transportation facilities, threats or terrorist attacks, or other similar occurrence beyond the control of the parties preventing or unreasonably delaying at least 25% of Event attendees from appearing at the Event or making it illegal, impossible, or commercially impractical to hold the Event or fully perform the terms of this Agreement. This Agreement may be terminated or performance may be excused without penalty, for any one or more of such reasons by written notice from one party to the other. 12. NOTICES: All notices required to be in writing hereunder shall be deemed served on the receiving party when personally served or deposited into the U.S. Mail or sent via e-mail. 13. ASSIGNMENT: Neither party may assign this Agreement without the prior written consent of the other party. 14. WAIVER: Either party’s waiver of or failure to exercise any right provided for in this Agreement shall not be deemed a waiver of any further or future right under this Agreement.

15. GOVERNING LAW: This Agreement shall be governed by and interpreted in accordance with the laws of the Commonwealth of Virginia. 16. ENTIRE AGREEMENT: This Agreement constitutes the entire agreement between the parties, and supersedes all prior writings or oral agreements. This Agreement may be amended only by a writing clearly setting forth the amendments and signed by the parties.

Rules and Regulations 1. EXHIBITOR LOCATION: Different locations for national and regional conferences 2. EXHIBITOR CHECK-IN: Check in with exhibitor coordinator must be done before beginning exhibitor set up. Exhibitor representatives must be identified on the Exhibitor Application. 3. ACCOMODATIONS: If applicable, Exhibitors are eligible to receive the reduced hotel rate per night for accommodations at the Conference, depending on availability. 4. INSTALLATION OF EXHIBITS: Access to the exhibitor hall during installation hours is allowed only to the exhibitor representatives identified on the Exhibitor Application. Set up, exhibitor hours and dismantle times are announced in the prospectus. All exhibitor spaces must be fully assembled and complete by deadline. If assembly of an exhibitor space is not complete by deadline, Yoga Alliance will order the exhibitor space to be assembled and the exhibitor will be billed for all charges incurred, and a $250 late fee will be charged to the Exhibitor. 5. EXHIBITOR HALL HOURS: Will be announced 2 months prior to conference 6. REMOVAL OF EXHIBITS: Dismantling of exhibitor spaces before dismantle time is prohibited. A fee of $250 will be charged to Exhibitors that dismantle before dismantle time, unless prior approval is obtained from Yoga Alliance. All Exhibitor materials must be picked up by deadline, or the exhibitor contractor will make arrangements for outbound shipments at Exhibitor’s expense. Questions? Contact [email protected]

Yoga Alliance Exhibitor Agreement, Rules and Regulations 7. INBOUND SHIPPING INSTRUCTIONS: All inbound shipments must go through the exhibitor contractor. If materials are shipped to the conference site, a $250 fee will be charged to the Exhibitor. No COD shipments will be accepted. All fees associated with shipment of exhibitor materials are the responsibility of the Exhibitor. Yoga Alliance will not accept responsibility for damaged or lost materials. 8. RETURN SHIPPING INSTRUCTIONS: Exhibitor is responsible for making return shipping and payment arrangements with the shipper of their choice, or the exhibitor contractor. Exhibitors must call for their own pick-up. Boxes must be properly stored, sealed, have shipping labels affixed and bills of lading for shipments correctly completed before departing the exhibitor hall. No COD shipments will be accepted by shippers. Exhibitors who do not comply with these instructions will be charged handling fees. Yoga Alliance is not responsible for improperly labeled or improperly packaged exhibitor materials or shipments for which the Exhibitor has not secured appropriate advance return shipping arrangements. 9. SUBLETTING OF SPACE: Exhibitors may not assign, sublet, or share exhibitor space. 10. EXHIBIT LIMITATIONS: All products must be pre-approved and professionally displayed in accordance with the Exhibitor Agreement and communicated Yoga Alliance policies and procedures. Exhibitor displays not meeting these

requirements may be removed in Yoga Alliance’s sole discretion. 11. CARE OF EXHIBIT SPACE: Exhibitor is responsible for keeping exhibitor space clean and in neat order at all times, and for keeping walkways and aisles free of congestion. 12. SIZE OF EXHIBIT/SPECIAL EFFECTS AND DEVICES: All Exhibitor activities and demonstrations must be kept within the bounds of the contracted exhibitor space and may not infringe on the aisle space. Exhibitor displays cannot be higher than the back of the booth and side displays cannot extend further than regulated distance from the back of the booth. Exhibitor displays cannot block out visibility of neighboring displays. Exhibitor signs cannot be attached to the ceiling. If audio/visual effects or attention getting devices are used by the Exhibitor, they must not generate disruptive circumstances for neighboring Exhibitors. Yoga Alliance reserves the right to remove violating exhibits. 13. OVER-THE-COUNTER SALES: Exhibitors are allowed to make over-thecounter sales when exhibitor hall is open. Exhibitor shall be solely responsible for having a seller’s permit and for collecting and remitting to the Department of Revenue any state sales or use tax due and owing on the sale of their products. 14. SECURITY: Exhibitors should not leave valuables unattended in the exhibitor booth. Yoga Alliance will not assume responsibility for lost, stolen, and/or damaged exhibit materials.

Yoga Alliance Sponsor Agreement This Sponsorship Agreement (“Agreement”) is entered into by the Yoga Alliance (“YA”), a nonprofit, tax-exempt organization, and (“Name of Sponsor”), which desires to support YA’s mission and purposes by sponsoring the Yoga Alliance Conference (“Program”). The purpose of this Agreement is to ensure that both YA and Sponsor agree on the planned nature of the sponsorship and the recognition to be provided for Sponsor’s support. 1. YA PROGRAM: During the term of this Agreement, YA agrees to identify and acknowledge Sponsor as a sponsor of the Program, as permitted in connection with qualified sponsorship payments under Section 513(i) of the Code of Treasury regulations there under (“Sponsorship”). Such identification and acknowledgement will include displaying Sponsor’s corporate logo and certain other identifying information in connection with the YA Program, including marketing, advertising, and other appropriate promotional media and materials. The placement, form, content, appearance, and all other aspects of such identification and acknowledgement will be determined by YA in its sole discretion. YA and Sponsor agree that the purposes of the Program will be educational in nature, and that no product promotion or advertising services by YA is intended. 2. RELATIONSHIP OF THE PARTIES: YA and Sponsor agree that this Agreement is not intended to create any partnership, agency, joint venture, or employer/employee relationship of any kind; both parties agree not to contract any obligations in the name of the other or to use each other’s credit in conducting any activities under this Agreement. The parties agree that Sponsorship of the YA Program does not constitute YA’s endorsement, guarantee, acceptance, or approval of Sponsor, its services, products, programs, or activities.

3. LICENSE OF INTELLECTUAL PROPERTY: YA and the Sponsor are each the sole owner of all right, title, and interest to YA’s and the Sponsor’s respective information, including such party’s logo, trademarks, trade names, and copyrighted information, unless otherwise provided (collectively, “Property”). YA and the Sponsor hereby each grant to the other a limited, non-exclusive license to use certain of the granting party’s Property, including names, trademarks, and copyrights in connection with promotion of Sponsor’s Sponsorship of the YA Program. It is understood that the granting party retains the right to review and approve in advance all uses of such Property, which approval shall not be unreasonably withheld. 4. CONFIDENTIALITY: YA and Sponsor, on behalf of themselves and their respective agents and employees, agree not to use or disclose at any time any confidential information of the other party or its affiliated groups, unless expressly authorized in writing and/or required by law. Both parties acknowledge that the obligations undertaken in this Section will survive the termination or expiration of this Agreement. 5. TERM AND TERMINATION: This Agreement will terminate (i) upon conclusion of the Program, or (ii) upon the occurrence of a material breach (including failure to make timely payments) by either party if such breach is not cured within thirty (30) days after written notice of such breach is received, or (iii) upon thirty (30) days notice by YA to Sponsor, with or without cause. In the event of termination, YA will refund to Sponsor the portion of the money that has not been used in support of the YA Program. Upon termination or expiration of this Agreement, all rights and privileges for use of the other party’s Property shall expire and each party shall discontinue the use of the other party’s Property. 6. LIMITS OF LIABILITY: In no event shall YA be liable to Sponsor in excess of the amount paid under the Agreement.

Yoga Alliance Sponsor Agreement 7. INDEMNIFICATION AND INSURANCE: Each party agrees to indemnify and hold harmless the other, its agents, and employees, from and against all claims, liabilities, and expenses, including reasonable attorney’s fees, which may result from acts, omissions, or breach of this Agreement by the party or its agents or employees. The parties shall each maintain appropriate and sufficient insurance to cover their obligations under this Agreement. 8. FORCE MAJEURE: The performance of this Agreement by either party is subject to acts of God, war, government regulation, disaster, fire, epidemic, threatened or imminent strikes, civil disorder, curtailment of transportation facilities, threats or terrorist attacks, or other similar occurrence beyond the control of the parties, making it illegal, impossible, or commercially impractical to carry on the Program or fully perform the terms of this Agreement. This Agreement may be terminated or performance may be excused without penalty, for any one or more of such reasons by written notice from one party to the other.

9. MISCELLANEOUS: All notices required to be in writing hereunder shall be deemed served on the receiving party when personally served or deposited into the mail or sent via e-mail. This Agreement shall be governed by and interpreted in accordance with the laws of the Commonwealth of Virginia. Either party’s waiver of or failure to exercise any right provided for in this Agreement shall not be deemed a waiver of any further or future right under this Agreement. This Agreement constitutes the entire agreement between the parties, and supersedes all prior writings or oral agreements; it may be amended only by a writing clearly setting forth the amendments and signed by both parties. This Agreement is binding on the parties, their successors and assigns, provided that no party may assign this Agreement without the prior written consent of the other party.

The signature of the authorized Sponsor representative demonstrates the acceptance of the terms and conditions of this Agreement.
