Sealed Bids for furnishing the following will be received by the Department of Purchasing, Western Kentucky University, Supply‐Services Building, Bowling  Green, Kentucky, until the date and time stated above.  2. Bid your single best net price on each item. Unless a discount from list price is requested, delivered to Western Kentucky University central receiving building,  unless otherwise specified herein, with all transportation charges prepaid FOB Western Kentucky University.  3. Bids must be firm.  Those containing escalation clauses cannot be accepted, unless specifically called for in the specifications.  To receive consideration, bids  must be made on this form and signed in full.  Prices must be based on stated units and extended.  Delivery guarantee must be shown.  4. Bid will be rejected unless filled out in ink or typed and signed in ink.  5. The terms and conditions of this Invitation to Bid including all general conditions issued September 6, 1985, incorporated by reference and available to each  vendor, plus any special conditions enumerated herein, all provisions to be part of any contract(s) resulting from this bid.  6.  Equal Employment Opportunity – All bidders must be in compliance with Executive Order 11246 of September 24, 1965, as amended by Executive Order 11375  of October 13, 1967.    AUTHENTICATION OF BID AND STATEMENT OF NON-COLLUSION AND NON-CONFLICT OF INTEREST I hereby swear (or affirm) under the penalty for false swearing as provided in KRS 523.040:  1. SPECIAL CONDITIONS    Scope: This Invitation is issued for the purpose of establishing a price contract(s) for the printing of Western  Kentucky University Parking and Transportation’s Parking Gate Tickets.    Preparation.  The Bid response must be completed and signed in ink. Faxed or unsealed responses to this Bid  will not be accepted or considered. Responses to the Bid must be placed in a sealed envelope and delivered or  mailed to the following address:  Western Kentucky University  Attn: Maxine R. Hardin  Purchasing Department, Bid #2014‐  1906 College Heights Blvd, #11099  Bowling Green, KY  42101    The individual signing the response must be an authorized agent of the vendor.    Vendor is responsible for examining all specifications, terms, conditions and instructions in the   Invitation to  bid. Failure to do so will be at the vendor’s risk.        Bid Deadline: Valid responses will be accepted until 3:00 p.m. CST May 7, 2014.  Responses not meeting  mailing instructions or received after the time and date noted above will not be considered.  The Bid  number, time and date of opening must be clearly marked on the outside of the envelope used for the  response.    METHOD  OF  AWARD:    The  award  of  this  Invitation  for  Bids  will  be  made  on  the  basis  of  low  total  bid  per  specifications.  Unless  otherwise  specified,  it  is  the  intent  of  Western  Kentucky  University  to  award  a  single  contract, however we reserve the right to make multiple awards, group awards or line item contract awards if  in the University’s best interest.    Rejection of Bids:  The University reserves the right to reject Bids for the following reasons, but shall not be  limited to:    a. Failure to follow specifications and instructions contained in the Bid.  b. A response that alters any terms or limits contained within this Bid.  c. Any response determined by the University as being unreasonable in terms, price, etc.    Notwithstanding the above, this Bid does not commit the University to contract for any requirements detailed  in this document.  The University reserves the right to reject any or all offers and to waive formalities and  minor irregularities in the Bid received.    OFFEROR CLARIFICATION – REQUEST AND RESPONSE:  Any explanation desired by a bidder regarding the  meaning or interpretation shall be requested via electronic or written communication not less than seven (7)  calendar days prior to the bid opening date.  Oral explanations or instructions given before the award of the 

contract shall not be binding. Any information given to a prospective offeror concerning solicitation shall  furnish to all prospective offerors as a modification to the solicitation.    ACKNOWLEDGEMENT OF MODIFICATION TO SOCLICIATIONS:  Receipt of modifications to this bid will be  acknowledged by the bidder. Written or electronic acknowledgement will be received at least seven day prior  to the hour and date specified for receipt of offers.  Verbal acknowledgement will not be accepted.  Failure to  acknowledge a modification will cause the bid to be considered non‐responsive.  All amendments must be  signed and submitted with your bid proposal.      GOVERNING LAW   Contractor shall conform to and observe all laws, ordinances, rules and regulations of the United States of  America, Commonwealth of Kentucky, and all other local governments, public authorities, boards or offices  relating to the Property or the improvements upon same, or the use thereof, and will not permit the same to  be used for any illegal or immoral purposes, business or occupation. The resulting contract shall be governed  by Kentucky Law and any claim relating to this contract shall only be brought in the Franklin Circuit Court in  Accordance with KRS 45A‐245.      ATTORNEY FEES  

In the event that either party deems it necessary to take legal action to enforce any provision of this contract,  or in the event the University prevails, the successful contractor agrees to pay all expenses of such action,  including attorneys' fees and costs at all stages of litigation.   INDEMNIFICATION    Successful contractor shall indemnify, hold and save harmless the University, its affiliates and subsidiaries  and their officers, agents and employees from losses, claims, suits, actions, expenses, damages, costs  (including attorney fees of attorneys of the University’s choice and court costs) expenses, all liability of any  nature or kind arising out of or relating to the successful contractor’s response to this Invitation for Bids or  its performance or failure to perform under the contract awarded from this IFB. This clause shall survive  termination for as long as necessary to protect the University.   LATE OFFERS AND MODIFICATONS:  WKU in accordance with the state procurement system will not allow  responses after the published date and time for bid closing.  They will not be considered for an award of  contract unless:  a. No bids are received other than the late bid; and  b. The need is determined to preclude the re‐solicitation of bids; and  c. The offer is evaluated and found to serve the best interest of the University    MULTIPLE BIDS:  Unless otherwise specified, only one price, brand and/or model may be proposed for each  item on this Invitation to Bid.  Bidders must determine their single best offering based on the quality specified.  Bids not conforming of this requirement will be rejected.    ALTERNATE BRANDS/SPECIFICATIONS:  Unless otherwise specified, brands and specifications referenced in this Invitation  to Bid are meant to establish a minimum standard of quality only. Bidders may bid on brands that they consider to be 

equal by marking through the specified band and inserting those brand names, model numbers, etc. on which they are  bidding.  Bids  offering  “equal”  products  will  be  considered  for  award  if  such  products  are  clearly  identified  in  the  bid  ad  are  determined  by  the  University  to  meet  or  exceed  fully  the  minimum  essential  specifications  and  salient  characteristics  referenced in the Invitation to Bid. Products, which fail to meet minimum essential requirements, will be rejected. 

Bidders proposing alternate brands must enclose descriptive literature with their bids so that the equality can  be verified.  Failure to enclose sufficient literature will result in the rejection of the bid.  When specified brand names are not changed, it will be assumed that the bidder(s) are proposing to furnish  those  brands.  The  contracts  will  be  written  accordingly  and  the  successfully  bidder(s)  will  be  required  to  deliver the brand named.    F.O.B. DESTINATION:  Unless other instructions are set forth in the body of the Invitation to Bid, all offers in response to  this Invitation to Bid must be on the basis of F.O.B. Western Kentucky University, Supply Services Building, Shipping and  Receiving, all freight paid by successful vendor. No other terms will be accepted and any bids that do not comply with  the above will be rejected.   

FIRM PRICING: Except as otherwise provided, bid prices must be firm.      INSPECTION:  All supplies and equipment will be subject to inspection or test by Western Kentucky University  prior to acceptance.  In the event supplies or equipment are defective in material or workmanship or  otherwise not in conformity with specified requirements, the University shall have the right to reject them or  require acceptable correction at the vendor’s expense.    INVOICING:  Invoices will be prepared and transmitted the WKU Purchasing Department. One copy shall be  “marked “original: unless otherwise specified.  Invoices will contain at least the following information.    a. Contract and WKU purchase order number  b. Unique invoice number  c. Remit to address  d. Item numbers  e. Description of supplies or services  f. Quantities   g. Unit prices  h. A contract will awarded to the responsible offeror whose offer conforming to the solicitation provides lowest bid  per specifications.  Western Kentucky University reserves the right to reject all bids and waive technicalities. 

  Successful vendor shall be responsible for all copy received from Western. Western will pay shipping  charges on material sent to printer. Printer will pay shipping charges on return of materials to Western.  Delivery of printed materials shall be F.O.B. Western dock.    Title:    Western Kentucky University shall have title to all dies, cuts, plates, positives, negatives, and work,  color separations, proofs and other supplies used in performing work described in this Invitation.  Before final payment will be made all items shall be returned by successful vendor to Western  Kentucky University. 

5.       Cost of Printing Statement:  Each vendor will furnish a line of type to be approved by the Department  of Purchasing, which will be produced to appear on most printed materials except letterheads,  envelopes, business cards, invitations and resale items. The line shall read as the following: "WKU  Printing paid from state funds, KRS 57.375". The type is to be six point or less and may appear any  place on the printed material so desired by Western Kentucky University. It will be the vendor's  responsibility to confirm with Western Kentucky University the location of the material being  produced.    6.  Deliveries:    Unless otherwise specified in the Invitation to Bid, delivery at the earliest possible date is desired;  therefore, weighted consideration will be given to the earliest date as stated in the bidder's proposal.    Delivery of all items shall be made within the time frame stated in the Invitation to Bid.    As provided in this Invitation to Bid, the bidder will clearly state in the bid the time required for  delivery upon receipt of contract, or purchase order. Delivery time must be specific and such phrases,  ''as required", ''as soon as possible", or "prompt", have no meaning and will be cause for rejecting the  bid.    When delivery is not made as provided in this contract, the Department of Purchasing at Western  Kentucky University reserves the right to make the purchase on the open market, with any cost "in  excess" of the contract price paid by the successful bidder. Failure of the vendor to meet contract  delivery dates may also be cause for cancellation of contract.    Note‐Note‐Note

Change in Contract:  The using department at Western Kentucky University does not have the authority to change any  specifications from those which are stated herein or authorize any additional charges unless quoted  herein without written approval from the Department of Purchasing, Western Kentucky University.

Bidders must show their prices on the bid form requiring the unit price and total for each item as well  as complete the itemized cost sheet if one is included.  Bidders should consider in making their quotation that it may take 60 days to award the bid and their  offer should be made for a minimum of 60 days.  The initial contract will be for a one year period. The Department of Purchasing at Western Kentucky  University upon agreement with all parties shall have the option to extend any contract established  from this Invitation for up to four (4) additional one (1) year periods.  Quantities listed herein are estimated based on past usage and are not guaranteed. Western Kentucky  University does not obligate itself to purchase any or the full quantities stated herein. 

  Schedule of publication may be tentative. Western Kentucky University will not be obligated to publish  as stated herein that number of issues during the contract period, the number of issues may exceed or  be less than that stated.    Western Kentucky University does not allow 10% overrun on printed material. Western will pay for  only those copies ordered. Printers should consider this when placing their bids.    12.    13. 

 

Bidder must complete all blanks requiring prices and delivery or bid may be rejected.  The contract established may be canceled by Western Kentucky University for nonperformance, mal‐ performance or other cause on the part of the contractor. Should the contract be canceled the  contractor will be notified in writing of such by the Department of Purchasing, Western Kentucky  University.

Unless otherwise specified, the prices established by the contract resulting from this Invitation shall be  firm for the period specified herein.    15.  

Inspection:  All printing shall be subject to inspection by Western Kentucky University prior to acceptance. In the  event printing is defective in material or workmanship or otherwise is not in conformity with specified  requirements, the University shall have the right to reject or require acceptable corrections at the  vendor's expense.

Patents:  The vendor shall be paid, upon submission of proper detailed invoices to the Department of  Purchasing, Western Kentucky University, for printing authorized herein and accepted by the  University. Unless otherwise stated herein partial payment will not be made for partial deliveries.

Work Performed In Contractor's Plant:  Bids may be submitted by printing companies or typography companies. The name and address of the  plant or plants in which work will be performed must be given in this Invitation including work that is  to be sub‐let or subcontracted. Failure to comply can result in cancellation of contract.

Additional Items:  Additional items or services that come within the scope of the resultant contract and found to be  needed by the using agency may be added to the contract if mutually agreeable to both the vendor  and using agency. No additions either items or services may occur without the written consent of the  Director of Purchasing.
