The Optical Dream℠ Program The Optical Dream℠ - 2016 Official Rules 1.

PROGRAM OVERVIEW: NO PURCHASE NECESSARY TO ENTER OR WIN IN THIS PROGRAM. The 2016 Optical Dream℠ Program (the “2016 Program” or the “Program”) is sponsored by Vision Source L.P. (“Sponsor”), and includes a training program (the “Training Program”), and three distinct contests: the Weekly Performance Contest, the Monthly Platinum Contest, and the Grand Prize Contest (each a “Contest” or collectively, the “Contests”). The Program is a trade promotion and is not open to members of the general public. Void where prohibited.

2.

PROGRAM PERIOD: The period for which these Official Rules govern runs from January 1, 2016 through December 31, 2016 (the “2016 Program Period”).

PRACTICE AND EMPLOYEE ELIGIBILTY AND ENROLLMENT: a. Eligible Practices. Sponsor is in the business of franchising and licensing independently owned and operation optometric offices for the diagnosing of vision and eye health problems, the prescription of corrective vision measures such as glasses or contact lenses, and all other areas of eye care which optometrists may be permitted by law to perform, including the retail sale of eyewear and optical supplies. The Vision Source franchisees and licensees are each referred to as a “Member” and collectively as the “Members.” For purposes of these Official Rules, all Members in good standing with Sponsor and located in one of the fifty United States or District of Columbia are “Eligible Practices.” i. Prior Program Practice Participants. In order to continue participating in the 2016 Program, Eligible Practices that participated in prior versions of the Program must affirmatively accept these 2016 Program Official Rules by clicking the “I AGREE TO THE 2016 PROGRAM OFFICIAL RULES” button on the Program Website located at https://visionsourceopticaldream.com (the “Program Website”) on or before May 18, 2016. Failure to affirmatively accept these 2016 Program Official Rules by May 18, 2016 will result in such practice and its employees being suspended from participation in the 2016 Program and not earning any Points (as more fully detailed in Rule 6, below) until such time as the Eligible Practice does accept the 2016 Official Rules. Once the 2016 Official Rules have been accepted, such Eligible Practice shall be referred to as an “Enrolled Practice” for purposes of these Official Rules. Sponsor shall communicate with the Enrolled Practice through the owner, officer or director (a “Practice Principal”) for such Eligible Practice that Sponsor has worked with in prior versions of this Program, and that Practice Principal will be responsible for directing Sponsor on Eligible Employees who will receive prizes. If an Enrolled Practice desires to change the Practice Principal with whom Sponsor communicates, such change must be made in writing to Sponsor. ii. New Practice Participants. For Eligible Practices that are new to the Program in 2016, a Practice Principal for such Eligible Practice must complete an enrollment form

available on the Program Website and accept these 2016 Program Official Rules during the 2016 Program Period. Once that occurs, the Eligible Practice will be referred to as an “Enrolled Practice” for purposes of these Official Rules. Sponsor will communicate with such Practice Principal on all details relating to the Program, and said Practice Principal will be responsible for directing Sponsor on Eligible Employees who will receive prizes. b. Eligible Employee Participants. For purposes of these Official Rules, “Eligible Employees” are defined as non-owner/non-doctor employees of an Enrolled Practice (as of participation in the Program and as of the time any prize is awarded to such employee) that are 21 years of age or older, a legal resident of one of the fifty United States or District of Columbia, and designated by the Enrolled Practice as being eligible to participate in the Program on behalf of the Enrolled Practice. For each Contest, there may be additional eligibility requirements to participate in that particular Contest (such additional eligibility requirements will be detailed in the section of these Official Rules that pertains to that Contest). Vision Source Member owners and doctors cannot be an Eligible Employee for any of the Contests. Enrolled Practices must provide Sponsor with a list of any Eligible Employees from its practice. Providing Sponsor with the name of an Eligible Employee constitutes the Enrolled Practice’s confirmation that participation in this Program is authorized by the Enrolled Practice using Enrolled Practice equipment and during such employee’s work hours that participation in the Program is part of such employee’s employment duties. Thereafter, such Eligible Employees must individually visit the Program Website and enroll to participate in the program on behalf of the Enrolled Practice, which shall include establishing a user name and password (the “Log In”) to access the Program Website, and accepting these 2016 Official Rules. Once an Eligible Employee has successfully enrolled, he/she shall be referred to as an “Enrolled Employee” for purposes of these Official Rules. For Prior Practice Participants, any employees previously designated to participate in prior versions of the Program will be considered to be Enrolled Employees once the Prior Practice Participant becomes an Enrolled Practice under these 2016 Official Rules unless such Enrolled Practices advised Sponsor in writing to remove an Enrolled Employee from its list. While participation in this Program is conducted by the Enrolled Employees of the Enrolled Practices, the Program is intended for the benefit of Enrolled Practices and the activities of the Enrolled Employees is considered to be a part of such Enrolled Employee’s employment responsibilities. As detailed in the relevant Contest sections below, the prizes in this Program may be awarded directly to the Enrolled Practice in some cases, or awarded directly to an Enrolled Employee at the direction of the Practice Principal for the Enrolled Practice. Regardless of what party ultimately receives the prize, the prize is won by the Enrolled Practice. Accordingly, the Enrolled Practice is responsible for any and all federal, state or local taxes on prizes that are awarded to the Enrolled Practice whether given to the Enrolled Practice or to an Enrolled Employee at the direction of the Enrolled Practice. Sponsor will report all prize awards to the Enrolled Practice on a 1099-MISC for the Program year. If the Enrolled Practice does not already have an IRS W-9 on file with Sponsor, completing such IRS W-9 is a prerequisite to

Sponsor awarding any prize to the Enrolled Practice or an Enrolled Employee of that Enrolled Practice. 4.

TRAINING PROGRAM: A prerequisite for any Enrolled Employee to earn Points (as more fully described in Rule 6, below) in connection with any of the Contests is for such Enrolled Employee to complete the 2016 training modules posted on the Program Website (the “Base Training Modules”). Once an Enrolled Employee has successfully completed the Base Training Modules (successful completion requires finishing all modules and correctly answering all questions in the quiz at the end of such modules), such Enrolled Employee may begin earning Points for the Enrolled Practice as indicated in the Table posted on the Contest Dashboard on the Program Website as of the date the Eligible Job occurs. For Enrolled Employees who completed the Base Training Modules in a prior Program year, no additional training modules must be completed to participate in the 2016 Program. For Enrolled Employees who are new to the Program in 2016, such Enrolled Employees must complete the Base Training Modules before becoming eligible to earn Points for the Enrolled Practice in the Program. From time to time during the 2016 Program Period, Sponsor may elect to post additional training modules (“Additional Training Modules”). Enrolled Employees who successfully complete those Additional Training Modules may become eligible to earn additional Points (as defined in Rule 6, below) for the Enrolled Practice, as more fully detailed on the Contest Dashboard on the Program Website, which may be updated as Additional Training Modules become available (in Sponsor’s sole discretion).

JOBS: For purposes of the 2016 Program, a “Job” is defined as the purchase of a product that is listed in the Eligible Entrant’s Contest Dashboard on the Program Website (“Eligible Product”), provided that the Eligible Product is ordered by the Enrolled Employee during the Program Period at the time such Eligible Product (and Points for such Eligible Product) appears in the Eligible Employee’s Contest Dashboard. In order for a Job to be an “Eligible Job,” such Job must not be paid for in whole or in part by a federal healthcare program or federally funded state health care program, including Medicaid or Medicare, or similar state programs, that are subject to federal or state antikickback laws. Federal anti-kickback law provides for criminal and or/civil liability for inducements related to any product for which payment may be made by a federal healthcare program or federally-funded state healthcare program, including Medicaid and Medicare (collectively, “Federally Funded Programs”). Some states have similar anti-kickback laws (“State Laws”). It is Sponsor’s policy to comply with all applicable laws; however, Sponsor has no way of knowing whether any specific transaction will be paid by a Federally Funded Program or otherwise covered by State Laws. Accordingly, it is each Enrolled Practice’s and Enrolled Employee’s sole responsibility to determine if a Job qualifies as an Eligible Job for purposes of receiving Points in this Program, and not to report any Jobs or Points which should be excluded from Point calculation. ANY TRANSACTION FOR WHICH PAYMENT WILL BE MADE, IN WHOLE OR IN PART, BY ANY FEDERALLY FUNDED PROGRAM, OR WHICH IS OTHERWISE COVERED BY STATE LAWS, IS NOT ELIGIBLE FOR PARTICIPATION IN THS PROGRAM. In

consideration for allowing a practice to participate in this Program and to award any prizes hereunder, each Enrolled Practice acknowledges its intent to abide by these terms and agrees that it will notify Sponsor of any Jobs or Points that are not eligible. Sponsor disclaims any and all responsibility for a practice’s decision to participate in this Program and/or to accept a prize or designate an Enrolled Employee to receive a prize. By accepting a prize or designating an employee to receive a prize in connection with the Program, the Enrolled Practice warrants that it is eligible to participate under the applicable federal and state law governing procurement of prizes and rewards. Sponsor reserves the right to disqualify any practice if Sponsor determines that such practice’s participation in the Program or receipt of a prize would violate state or federal law. 6.

POINTS: For each Eligible Product set forth in an Enrolled Employee’s Contest Dashboard, there will be a specified number of points that the Enrolled Employee can earn for Eligible Jobs for that Eligible Product (the “Points”). Points may be changed from time to time during the Program Period by Sponsor, in Sponsor’s sole discretion.

7.

WEEKLY PERFORMANCE CONTEST: During each week of the 2016 Program Period beginning on Monday at 12:00 a.m. (local time) and ending at 11:59 p.m. (local time) on Sunday (other than the first week of the 2016 Program Period which shall begin on Monday, January 18, 2016 and end on Sunday, January 24, 2016; and the last week of the 2016 Program Period which shall begin on Monday, December 26, 2016 and end on Sunday, January 1, 2017) (each a “Weekly Performance Period”), Sponsor shall run a Weekly Performance Contest. a. Eligibility. All Enrolled Employees who have completed the Base Training Module are eligible to represent the Enrolled Practice in the Weekly Performance Contest (“Weekly Contest Participants”). b. Earning Points. Weekly Contest Participants will earn Points (as set forth on their Contest Dashboard) for their Enrolled Practice for each Eligible Job ordered during a Weekly Performance Period. c. Reporting Points. Weekly Contest Participants must report their Points on the Program Website for each Weekly Performance Period no later than 11:59 p.m. Local Time on the Sunday of each Weekly Performance Period. Any Points that are not reported by the deadline for the time period in which the Points were earned are forfeited. 

At no time should any Enrolled Employee report sales/points from previous weekly or monthly periods.



At no time should any Enrolled Employee or the Enrolled Practice, Practice Principal or any other party, combine or attempt to combine multiple party’s Jobs/Points and report them under a Enrolled Employee’s account.



At no time should any Enrolled Employee or the Enrolled Practice, Practice Principal or any other party report Jobs/Points from one practice location as having occurred at another location (one exception to this rule is; if a practice has 2 locations that do not see patients simultaneously i.e. one location is closed if the other location is open for business).

d. Earning Spins. All Points earned and reported by Enrolled Employees from an Enrolled Practice will be aggregated into the Practice Total, and are subject to approval by the Practice Principal for the Enrolled Practice. Sponsor reserves the right to audit the Enrolled Practice at any time in Sponsor’s sole discretion to verify Points claimed, and any decision by Sponsor on Points earned is final and binding. Each Enrolled Practice that meets the Points Goal as set forth on the Contest Dashboard for the Weekly Performance Period will earn the number of “Spins” on the prize wheel associated with such Points Goal. The number of “Spins” earned will be deposited in the Enrolled Practice’s Practice Principal Contest Dashboard Spin Bank within approximately 24 hours following the end of the day approved by the Practice Principal. The Practice Principal may distribute the Spins to Enrolled Employees in his/her sole discretion. Any accumulated Points that do not result earning in a Spin during a Weekly Performance Period will be forfeited and will not roll over into a subsequent Weekly Performance Period. For example, if the Practice Points Goal for the week is 40, and the practice has 45 Points at the end of the Weekly Performance Period, 40 Points will be converted to 1 Spin, and the remaining 5 Points will be forfeited. e. How to Use a Spin. If you have been assigned a Spin during a Weekly Performance Period, return to the Contest Dashboard to play the Spin(s) in your Contest Dashboard Spin Bank. To play the Spins in your Contest Dashboard Spin Bank, Log In to the Contest Dashboard after Spins are deposited and follow the online prompts. Each Spin will return a Prize in one of three categories: Silver, Gold, or Diamond. Odds of winning a Silver level prize are 96:100. Odds of winning a Gold level prize are 2:100. Odds of winning a Diamond level prize are 2:100. The Prize won will be presented on the Contest Dashboard after a Spin is played. f. Prizes. All prizes for the Weekly Performance Contest are awarded in the form of DreamBucks (details on DreamBucks in Silver prizes are worth $20 DreamBucks; Gold prizes are worth $75 DreamBucks; Diamond prizes are worth $125 DreamBucks. (Sponsor reserves the right to change the prize values at each level during the Program Period upon notice posted on the Program Website.) The dollar value of the prize won will be deposited into the designated Enrolled Employee’s “DreamBucks wallet” on their Contest Dashboard following verification of their “spin.” (The “DreamBucks wallet” is part of the player’s dashboard where prize winnings are deposited and reside until a player wishes to redeem for gift cards.) At any time, a Enrolled Employee can redeem his/her DreamBucks by selecting from any of dozens of gift cards ranging from Starbucks®, iTunes®, and Amazon.com®, to Nike®, Pottery Barn® and L. L. Bean®, among others. (No sponsorship or endorsement to the Program is made by any of these retailers). Once an Enrolled Employee’s Dreambucks have been redeemed for a gift card, the gift card will be sent digitally to the email address for the Enrolled Employee who earned the Dreambucks within approximately seven (7) days. 8.

MONTHLY PLATINUM PRIZE CONTEST: During the 2016 Program Period there will be twelve (12) periods in which a Monthly Platinum Prize Contest occurs (each a “Monthly Platinum

Period”). The dates for each Monthly Platinum Period are as follows, with each Monthly Platinum Period beginning at 12:00 a.m. (local time) on the first date shown in the applicable section of the table, and ending at 11:59 p.m. (local time) on the last date shown in the applicable section of the table: Monthly Platinum Periods 1/18/2016-1/31/2016 4/4/2016-5/1/2016 7/4/2015-7/31/2016 10/3/2016-10/30/2016

a. Eligibility. All Enrolled Employees who have completed the Base Training Module are eligible to represent the Enrolled Practice in the Monthly Platinum Prize Contest on behalf of their Enrolled Practice (“Monthly Platinum Participants”). Each Enrolled Practice will be assigned to one of six “Divisions” (each Division is comprised of Enrolled Practices of approximate similar size based on annual gross revenue of the practice). Sponsor retains complete authority to assign Enrolled Practices to a Division, and Sponsor’s decisions are not subject to appeal or review. By participating, Enrolled Practices consent to such assignments. Sponsor reserves the right to reassign an Enrolled Practice to a different Division at any time for any reason during the course of the Program, and to make such reassignments on a prospective or retrospective basis in its sole discretion. b. Earning Points/Points Goals. Monthly Platinum Participants will earn Points (as set forth on their Contest Dashboard) for each Eligible Job ordered during a Monthly Platinum Period. Sponsor will determine earned Points and assign Point Goals at its sole discretion. Enrolled Practices can lower their Point goal by up to 15% simply by participating consistently. If the Enrolled Practice earns a minimum of 10 Points every week for 12 consecutive weeks, then the Point Goal for that Enrolled Practice is reduced by 5% for the remainder of that calendar year. If the Enrolled Practice earns a minimum of 10 Points every week during a subsequent and completely separate 12 week period, then the Point Goal for that Enrolled Practice is reduced further by 5% for the remainder of that calendar year. There is a maximum 15% Point Goal reduction for that calendar year. c. Reporting Points. Points reported for the Weekly Performance Contest are the only Points that will qualify for the Monthly Platinum Prize Contest and those qualified Points are automatically included as Points for the Monthly Platinum Prize Contest. d. How to Win. All Points earned and reported by Monthly Platinum Participants from an Enrolled Practice will be aggregated into the Monthly Platinum Period Practice Total, and are subject to approval by the Practice Principal for the Enrolled Practice. Sponsor reserves the right to audit the Enrolled Practice at any time in Sponsor’s sole discretion to verify Points claimed, and any decision by Sponsor on Points earned is final and binding. drawing to win a “Platinum Prize.” Odds of a top twenty Enrolled Practice winning a prize are 1:20. Limit one win per Enrolled Practice in the Monthly Platinum Contest per Program year. e. Monthly Platinum Contest Prizes: $1,000 DreamBucks. One Platinum Prize winning Enrolled Practice will be selected from each Division (total of 6 per month), and the Practice Principal of such practice will complete a form to allocate the dollar value of the prize won to specific Enrolled Employee’s “DreamBucks wallet” on their Contest Dashboard. 9.

GRAND PRIZE CONTEST: During the 2016 Program Period there will be one (1) Grand Prize Contest. The time frame for the Grand Prize Contest is the entire Program Period. a. Eligibility. All Enrolled Practices that have ordered at least one Eligible Job from Essilor Laboratories of America, Inc. (including partner labs) (“ELOA”) each week during the Program Period and participated in the Weekly Performance Contest during the Program Period are eligible to participate in the Grand Prize Contest (“Grand Prize Contest Participants”). Each Grand Prize Contest Participant will be assigned to the same Division for the Grand Prize Contest that it is assigned to for the Monthly Platinum Contest (subject to change in Sponsor’s sole discretion, as detailed in Rule 8, above). b. Earning Points/Points Goals: The Points earned by Grand Prize Contest Participants are the same Points earned by such participants in the Weekly Performance Contest. c. Reporting Points: No additional reporting by the Grand Prize Contest Participants is required as Sponsor will review each Grand Prize Contest Participant’s Points reported in the Weekly Performance Contest and identify all Points earned in connection with Eligible Jobs and total them for the Enrolled Practice. Any Points that were not reported by the deadline for a Weekly Contest Period are not eligible for the Grand Prize Contest and such Points will be forfeited. d. How to Win: The one Enrolled Practice in each Division with the highest number of Points from Eligible Jobs will be named the Grand Prize Winning Practice from that Division, subject to verification, for a total of six (6) Grand Prize Winning Practices. e. Grand Prizes: Each verified Grand Prize Winning Practice will receive the following: i.

A cash prize in the amount of $10,000 (USD) (“Cash Prize”). The Cash Prize may be used and/or distributed by the Enrolled Practice in the Enrolled Practice’s sole discretion. - AND -

ii. A reduction of 0.25% from the monthly royalty fee percentage for the Grand Prize Winning Practice’s office for each month during calendar year 2017. For example, if the Grand Prize Winning Practice’s current monthly royalty fee percentage is 2.65%, then the monthly royalty fee percentage will be reduced to 2.40% for each month during calendar year 2017, that is, the royalty fee based on the adjusted gross receipts for January 2017 (due on or before March 15, 2017) would be computed at 2.40%. 10. MISCELLANEOUS TERMS APPLICABLE TO ALL CONTESTS AND PROGRAM a. Verification of Points. Sponsor reserves the right (without obligation) to audit all Points reported by Enrolled Employees and Enrolled Practices must provide supporting or related documentation for accuracy, integrity, and compliance at Sponsor’s request. Sponsor reserves sole discretion to modify Points if for any reason it cannot verify their accuracy or if there is any evidence of error in reporting, including but not limited to failure to substantiate recorded sales goal achievements; errors in data entry, whether intentional or inadvertent; participant ineligibility; or violations of the Official Rules. b. Ties. In the case of a tie in the ranking of an Enrolled Practice at the Monthly Platinum Contest level or at the Grand Prize Contest level, the tied Enrolled Practice with the higher number of reported Points during the final two weeks of the relevant measurement period (the Monthly Platinum Period for the Monthly Platinum Contest or the Program Period for the Grand Prize Contest) will be deemed the higher-ranking Enrolled Practice; if a tie remains, then the tied Enrolled Practice with the higher number of reported Points during the final three weeks will be deemed the higher-ranking Enrolled Practice; and if a tie still remains, one additional consecutive final week will be added to the totals iteratively until the tie is broken. c. Notification of Winners. For each Contest, the winning Enrolled Practice(s) will be notified by email at the email address provided for the Practice Principal in the enrollment form for the Enrolled Practice (the “Winner Notification”). For each Contest, there will be a form for the Practice Principal to complete to confirm acceptance of the prize, designate employee to receive prize, select prize where choice is available, etc. (the “Prize Claim Form”). The Practice Principal must complete and return such Prize Claim Form within fourteen (14) days or the prize may be forfeited and neither the Enrolled Practice nor any Enrolled Employee will have any cause of action for loss of a prize. If a Winner Notification is returned as undeliverable, if a Prize Claim Form is not returned as directed and within the time frame specified, or if an Enrolled Practice or any Enrolled Employee of such Enrolled Practice is found to be ineligible or in violation of these Official Rules, such Enrolled Practice will be disqualified and will lose any claim to the prize for which it may otherwise have been eligible, and in such case, Sponsor reserves the right in its sole discretion to notify the Enrolled Practice that is next in line in performance criteria to receive the prize following these same criteria. d. Additional prize conditions and details. During 2016, the total maximum value of all prizes available to be awarded in the Monthly Platinum Prize is $72,000 and the Grand Prize Contests is $60,000. Prizes do not include any item not specifically described herein. Sponsor not responsible for inability of winner to use any prize or components of prizes. Prizes are non-transferable, non-substitutable and may not be redeemed for cash, other than as specified herein or as authorized in Sponsor’s sole discretion. Prizes (including gift cards, and other prizes) may be subject to applicable terms and conditions, such as expiration dates, dormancy fees, redemption fees, and other terms; winner takes prize subject to all such terms. Sponsor reserves the right in its sole discretion to substitute prizes of equal or greater monetary value, but otherwise, there will be no

substituations or cash redemptions (other than as stated herein) allowed. Prizes may not be transferred to a third party prior to awarding. Sponsor is not responsible for lost prizes/gift cards. All gift cards are subject to terms and conditions as imposed by the issuer. Unclaimed prizes may not be awarded. e. Publicity. Where permitted by law, by entering the Program and/or accepting a prize, each Enrolled Practice and Enrolled Employee grants to Sponsor (which grant will be confirmed in writing on request of Sponsor) and those acting pursuant to Sponsor’s authority, the right to print, publish, broadcast and use, worldwide in any media now known or hereafter developed, including but not limited to the World Wide Web, at any time or times, such Enrolled Practice’s or Enrolled Employee’s name for advertising, trade and promotional purposes without additional consideration, and without notice, review and approval, except where prohibited by law. f. Release. Sponsor is not responsible for any data costs, messaging costs, or wireless device costs imposed by ISPs or wireless carriers or incurred while entering or participating in Program. By entering the Program and/or accepting a prize, each Enrolled Practice, Enrolled Employee or other practice representative, prize recipient, prize user or beneficiary (collectively “Participants”) agrees to indemnify, release and hold harmless the Sponsor, Essilor of America, Inc., Essilor Laboratories of America, Inc. (including all partner labs), and all of their advertising, fulfillment and promotions agencies, and each of their respective parent companies, subsidiaries, affiliates, and agencies, and each of their officers, directors, shareholders, employees, agents and representatives (collectively “Released Parties”) from any and all liability, costs, expenses, damages, rights, claims, actions, and losses (collectively “Losses”) of any kind incurred in connection with the Program, including without limitation for or from (a) the acceptance, possession, use or mis-use of any prize, (and/or (b) claims relating to rights of publicity, rights of privacy or defamation. The Released Parties are not responsible for (a) lost, late, incomplete, inaccurate, undelivered, garbled, or lost entries/orders/registrations; (b) interrupted or unavailable network, server, Internet Service Provider (ISP), website or other connections: (c) any other technical failures or difficulties; (d) other errors of any kind whether human, mechanical, electronic, network, typographical, printing or otherwise relating to or in connection with the Program or awarding of prizes; (e) any incorrect or inaccurate information, whether caused by site users, tampering, hacking, or by any equipment or programming associated with or utilized in the Program; and/or (f) injury or damage to any participant's or to any other person's computer or network related to or resulting from participating in the Program. CAUTION: ANY ATTEMPT BY ANY PERSON TO DELIBERATELY DAMAGE THE PROGRAM SITE OR UNDERMINE THE LEGITIMATE OPERATION OF THE PROGRAM IS A VIOLATION OF CRIMINAL AND CIVIL LAW. SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES FROM ANY SUCH PERSON TO THE FULLEST EXTENT OF THE LAW (AND TO DISQUALIFY SUCH PERSON (OR THE ELIGIBLE PRACTICE SUCH PERSON WORKS FOR) FROM THE PROGRAM, IF APPLICABLE). By participating in this Program, Participants agree to abide by and be bound by these Official Rules, and understand that the results and decisions of Sponsor are final in all respects. of a discrepancy between these Official Rules and any advertising/collateral material, the terms of these Official Rules shall apply. In the event of an error in the drafting of these Official Rules, Sponsor reserves the right to correct such error and for such correction to apply retroactively. Sponsor reserves the right, at its sole discretion, to disqualify any individual found to be in violation of the Official Rules. Sponsor reserves the right to cancel the entire Program, part of the Program, or to modify the Program for any reason, including if fraud destroys the integrity of the Program or any portion thereof, as determined by Sponsor in its sole discretion. In such event, Sponsor reserves the right, but not the obligation, to select the winners in a manner which is fair, equitable and in accordance with the spirit of these Official Rules, as determined by Sponsor in its sole discretion. Notice of such action by Sponsor will be posted on the Program Website. g. Dispute Resolution/Choice of Law. Except where prohibited, Participants agree that: (a) any and all disputes, claims, and causes of action arising out of or connected with this Program shall be resolved individually, without resort to any form of class action, and exclusively by an action in state or federal court located in the State of Texas; (b) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred, including costs associated with participating in this Program but in no event attorneys' fees; and (c) under no circumstances will an participant be permitted to obtain awards for, and Participants hereby waive all rights to claim, punitive, incidental and consequential damages and any other damages, other than for actual out-of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of a participant in connection with this Program, shall be governed by, and construed in accordance with, the laws of the State of Texas, without regard to the conflicts of law doctrine of any jurisdiction. h. Privacy Policy. Personally identifiable information collected online in connection with this Program is subject to the Privacy Policy posted on the Program Website. i. Winner’s List.
