SUMMARY OF THE PROJECT Ada County is requesting proposals from qualified firms, licensed to conduct business in the State of Idaho, to upgrade the security and transaction video system at the Ada County Landfill. 1. INTRODUCTION 1.1. Invitation: In accordance with Ada County Procurement Policies, the County invites interested qualified Firms that are licensed to conduct business in the State of Idaho to submit proposals with qualifications in accordance with all the requirements of this RFP and all other documents contained herein. 1.2. Background and Purpose: The County wishes to upgrade the existing security/transaction system that utilizes security cameras located at the Ada County Landfill at 10300 N. Seaman’s Gulch Road, Boise, Idaho 83714. The County is seeking to contract with an entity that has experience providing and upgrading security/transaction camera systems. 2. DEFINITIONS: Terminology and abbreviations appearing in this RFP document are identified as follows: County: Ada County, Idaho DVR/NVR: Digital Video Recorder with Network Video Recorder with network capability. Goods: All materials, hardware, software and equipment to be purchased under the purchase order. Hardware: Cameras, recorders, video displays, mounting brackets, cables, wiring, and any other site equipment listed in this RFP.

HD Video Camera: High Definition Video Camera having a resolution of not less than 1 Megapixel (720p or greater). IP: Internet Protocol. Project Manager: Ken Wall, Ada County Solid Waste Management. Proposer: The person, firm, organization or entity responding to this RFP. PTZ (Pan-Tilt Zoom) HD Video Camera: High Definition Video Camera having ability to be remotely controlled to pan an area, tilt to change view perspective, and to zoom in for greater detail. PTZ Cameras shall have resolution of not less than 2 Megapixels (720p or greater). Request for Proposal (RFP): A formal, written request used in procurement when the desired product will be provided competitively against Performance Standards. Responder: Synonymous with contractor, proposer, vendor, provider. Refers to the individual or company that offers a written response to this RFP. Turn-key Provider: Successful Proposer shall perform installation, optimization and all other installation and delivery related Services. System: All related equipment, hardware, software, and firmware associated with it, which pertain to the Landfill Security/Transaction Camera System Upgrade. 2.1. Inquiries or Interpretation All questions and/or requests for clarification must be submitted in writing to Ada County Procurement or e-mailed to [email protected]. Questions must be received no later than January 21, 2015 at 4:00 p.m. local time to insure adequate time for a proper response. All inquiries concerning this RFP should be addressed to: Ada County Procurement 200 West Front Street, 2d Floor, Rm. 2210 Boise, ID 83702 Ada County Procurement will maintain all of the official copies of the correspondence and will respond to all inquiries through addendum. If the Proposer is in doubt as to the meaning of any part of this RFP, a written request for an interpretation may be submitted to Ada County Procurement. The County will not be responsible for supplying any explanations or interpretations unless a request to do so is submitted in writing as described in this RFP. 2.2. A mandatory pre-proposal conference will be held on Friday, January 16, 2015, at 10:00 A.M. at the Ada County Landfill Office 10300 N. Seaman’s Gulch Road, Boise, Idaho 83714 during which time Proposers will be afforded the opportunity to meet with County personnel, discuss the content of the RFP in further detail. At this conference, a short presentation regarding the desired system will be made and then the floor will be opened to questions. It will be to the Proposer’s advantage to submit questions in writing before the conference to permit sufficient time to prepare a response for the pre-proposal conference. In order to propose on this RFP, attendance of the pre-proposal conference is mandatory. No proposals will be accepted from Vendors who did not attend the pre-proposal conference. One (1) original signed RFP with four (4) copies and one (1) electronic (USB thumb drive or CD) copy of the written response to this RFP shall be submitted and received by Ada County Procurement not later than 4:00 p.m. local time on February 2, 2015. The Board of Ada County Commissioners at 200 West Front Street, Boise, Idaho will conduct the proposal opening at 9:00 a.m. local time on February 3, 2015. 2.3. Proposer Incurred Costs The Proposer will be responsible for all costs incurred in preparing or responding to this RFP. All materials and documents submitted in response to this RFP—except marked proprietary materials, the return of which is specifically requested and shipping fees furnished by the Proposer—become the property of Ada County and will not be returned. Prior to the award of the contract, the Proposer shall furnish to the Project Manager a performance bond and a labor and material payment bond for this project in the amount one hundred percent (100%) of the contract amount, covering the faithful performance of the contract and the payment of all obligations arising thereunder. Said bond shall be bond executed by a qualified surety company, with an AM Best rating(s) of A-VIII or better and licensed in the State of Idaho, made payable to Ada County. If the surety does not have a current AM Best rating it must be currently certified by the US Department of Treasury as an approved surety with an underwriting limitation greater than the bond amount. All sureties must be authorized to do business in the state of Idaho.

The Proposer agrees to bear all risks of loss, injury, or destruction of goods ordered as a result of eventual contract that occur prior to acceptance by the County, and such loss, injury, or destruction shall not release the Proposer from any obligation hereunder. 2.4. RFP Addendum If required, one or more numbered Addendum(s) will be issued to those firms that attend the Pre-Proposal Conference. 3. SCOPE OF SERVICES This project requires the selected Contractor to design, furnish and install all products and components necessary to provide a security/transaction camera system that views and records various locations at the Landfill Scale House and Scales and includes, but may not be limited to, the cameras, DVR equipment, displays, cabling and miscellaneous products to integrate with the Landfill’s existing Point Of Sale software as well as any and all parts necessary to connect and mount all the pieces and parts necessary to produce the fully functional system required by the County. The County requires that the system be a turn-key installation and be fully operational no later than April 15, 2015 after Contract award. The Contractor shall also be responsible for maintaining the system operationally and shall also warrant all products, even if the individual products have a manufacturer’s warranty, as defined later in the document. This includes making all necessary repairs or replacements of system components due to normal wear and tear at no cost to the County for the specified period of the required warranty. 4. MINIMUM QUALIFICATIONS Contractor must be authorized to provide security/transaction camera systems in the State of Idaho and be an authorized reseller/installer from the manufacturer of the system being proposed in this RFP. Contractor shall have prior experience in the design and installation of security/transaction camera systems. 5. PERSONNEL 5.1. It may be required of the Contractor to have all employees accessing the Landfill facilities wear nametags indicating the name of the firm and employee’s name. Contractor’s employees shall be required to dress neatly commensurate with the tasks being performed. 5.2. Contractor shall provide the County a listing of all personnel assigned to this project within ten (10) days of the Notice to Proceed. Contractor shall not change personnel without the approval of the County. 5.3. Personnel employed by the Contractor shall be qualified for this type of work and hold any required qualifications and/or licenses in effect. Contractor shall staff the project with the necessary trained and experienced personnel to accomplish the work in an effective and timely manner.

5.4. Upon request by the County, Contractor shall immediately remove and replace employees who do not comply with Contract requirements. 6. PERFORMANCE OF SERVICES 6.1. Failure to comply with the requirements specified herein in an effective and timely fashion will be unacceptable to the County and Contractor, upon notice from the County, agrees to implement immediate corrective measures. 6.2. The County has designated a Project Manager for this project. The Project Manager has authority to point out to Contractor incomplete or defective work or services but does not have the authority to alter the terms or conditions of the Contract without written authority from the County and agreed to in writing by the Contractor. 6.3. Contractor shall, at all times, provide adequate supervision of personnel to ensure completed and satisfactory performance of all work in accordance with the specifications in the Scope of Work and the terms of the Contract. 7. ACCESS TO LANDFILL FACILITY Neither Contractor nor its personnel shall permit any other individual to have access to the County Landfill Facility, without prior approval from the County. 8. PRICING Contractor’s price for the services required herein includes, but is not limited to, designing, furnishing; installing and setting up security/transaction camera system, perform all necessary testing and system implementation. This includes making all necessary repairs or replacements of system components due to normal wear and tear, at no cost to the County, so that the system is fully operational at all times during the warranty period. Repairs or replacements other than normal wear and tear must be presented to the County in writing for approval prior to work being performed. 9. GUIDELINES FOR SUBMISSION OF REQUIRED INFORMATION 9.1. Eligibility: To be eligible to qualify as a Contractor for this project, the following minimum requirements must be met: 9.1.1. Contractor shall have the Minimum Qualifications described in section 4. 9.1.2. Contractor must be capable to conduct business in the State of Idaho with required licenses and/or certifications. 9.2. Preparations and Format of Proposal 9.2.1. Proposals shall be enclosed in a sealed, opaque envelope and must be clearly marked with the RFP name, RFP number, and the name and address of the

Proposer. When a Proposal is forwarded by mail, the Proposal envelope shall be enclosed in another envelope and addressed as specified in the Request for Proposal. 9.2.2. The Proposal must be submitted in writing, and no oral, telephone, facsimile, digital or late Proposals will be considered. 9.2.3. Proposals are required to be typewritten for ease of evaluation. 9.2.4. The Proposer is required to use 8 1/2 x 11-inch paper in a bound format, or equivalent, to contain all necessary information for the proposal. 9.2.5. Ada County is generally exempt from taxes. Therefore, no Idaho sales taxes are to be added to the cost of the project. Ada County will provide the Proposer with applicable Tax Exemption Certificates, although the Proposer is expected to assist in preparation of necessary documents to secure such certificates. 9.2.6. The first document shall be the Proposal Form, attached as Exhibit A and incorporated by reference herein. 9.2.7. To protect Proposers, proposal dollar amounts should be shown using both written and figures and, in case of a discrepancy, the written amount will govern. 9.2.8. RFP forms must be fully filled out and typewritten. A Proposal will be deemed non-responsive if it is incomplete, unsigned, or contains omissions, erasures or alterations not initialed. It is preferred that the RFP forms supplied for that purpose be used by the Proposer. 9.2.9. All portions of this RFP contain numbered or lettered sections. Each portion of the RFP that contains a request for information or states a specification or requirement for the proposed System must be the subject of a specific response. These responses are to provide the requested information or state the degree to which the requirement will be satisfied in explicit terms. Often an explanation of how the requirement is satisfied will be necessary to support a favorable evaluation, and Proposers are asked to use their own judgment in this regard. Exceptions to performance standards or requirements will not necessarily be disqualifying, but must be clearly stated in the response. If a requirement will be partially but not completely satisfied, that should be stated. If a requirement will not be addressed, or will only be partially addressed, an explanation may be helpful to the evaluation. Perhaps some other System capability or feature will help address the underlying need. If a Proposer makes assumptions about requirements in order to address them, the assumptions are to be fully stated. If a response is not applicable to all proposed hardware and software, then explain the limits of its applicability. Responses are to be presented in the same sequence as the RFP content, and each response is to clearly identify, by number or letter, the RFP portion it addresses. If a

question or requirement has been addressed previously elsewhere, then a response may include a paragraph and page number reference to some other specific portion of the proposal. However, responses that reference previously published materials enclosed with the proposal are not acceptable. Instead, the directly applicable portions of such materials are to be incorporated as an integral part of the response. (Proposers may provide any previously published or “canned” material they wish, but time may not allow its perusal, especially in the initial screening and selection of finalists.) Proposers must respond to the RFP by restating the number and text of the paragraphs in sequence and writing their responses immediately after the paragraph statement. Strict adherence to the foregoing format is critical to the evaluation process. Failure to comply or failure to supply any information requested may be cause for rejection of a proposal as noncompliant. 9.2.10. Proposals will be dated and time stamped as they are received. Late Proposals will not be accepted. Proposals received after the date and time specified above will automatically be disqualified and non-responsive. Do not rely upon the U.S. Postal Service or express mail carriers to deliver mail promptly. It is the sole responsibility of the vendor to submit a Proposal to the correct office prior to the date specified. 9.3. Signing Requirements for Submitted Proposals The following requirements must be observed in the signing of Proposals which are submitted: 9.3.1. Proposals which are not signed by individuals making them shall have attached thereto a power of attorney evidencing authority to sign the Proposer in the name of the person for whom it is signed. 9.3.2. Proposals which are signed for a Partnership shall be signed by all of the General Partners or by an attorney-in-fact. If signed by an attorney-in-fact, there shall be attached to the Proposer a power of attorney evidencing authority to sign the Proposer, executed by the General Partners. 9.3.3. Proposals which are signed for a Corporation shall have the correct corporate name thereof and the signature of the President or other authorized officer of the Corporation, manually written below the corporate name following the word By ___________. If such a Proposal is manually signed by an official other than the President of the Corporation, a document evidencing the authority of such official to sign the Proposal shall be attached to it. A Corporate signed Proposer shall also bear the attesting signature of the Secretary of the Corporation.

9.3.4. Proposals which are signed for a Limited Liability Company shall have the correct company name thereof and the signature of the authorized Manager or Member manually written below the company name following the word By ___________. The authorized Manager or Member who signs the proposal must match the Articles of Organization filed with the Secretary of State. If such a Proposer is manually signed by someone other than the authorized Manager or Member, a document evidencing the authority of such person to sign the Proposer shall be attached to it. 9.4. Submittal Date of Response One (1) original signed RFP with four (4) copies and one (1) electronic (USB thumb drive or CD) of the Proposal shall be submitted to and received by Ada County Procurement not later than 4:00 p.m. local time on February 2, 2015. Proposals shall be submitted to: Ada County Procurement 200 West Front Street Second Floor, Rm. 2210 Boise, ID 83702 Proposals are to be sealed and marked “Ada County Procurement, 200 West Front Street, Boise, Idaho 83702,” and the envelope shall be clearly marked “RFP 15021, Ada County Landfill Security/Transaction Cameras System Upgrade” along with the Proposer’s name and address. 9.5. Proprietary Information/Trade Secrets Data contained in the proposal and all documentation provided therein becomes the property of the County and the data becomes public information upon opening of the proposal. If the proposer wishes to have any confidential or proprietary information withheld from the public, such information must fall within the definition of “trade secret” contained within Idaho state and local statutes. All “trade secret” information the proposer wishes the County to withhold must be submitted in a sealed package, which is separate from the remainder of the proposal. The separate package must be clearly marked “Trade Secret” on the outside of the package. Each page inside the package must also be clearly marked as “Trade Secret.” Should Ada County be challenged in court by a third party for a decision to withhold or redact information so identified by Proposer, Proposer agrees to indemnify, defend, and hold harmless Ada County for any judgments, attorney fees, and/or court costs associated with asserting the documents contain “trade secret” information. Proposer agrees and acknowledges that the Proposer’s Proposal Form is a discloseable public record. Ada County reserves the right to make an independent discretionary decision whether or not the documents marked as “Trade Secret” qualify as such pursuant to the Public Records Act. All documents not marked as “Trade Secret” are subject to release in compliance with the Public Records Act. 9.6. Addenda

Addenda will be issued, as necessary, to all Proposers who obtain a RFP package through Ada County Procurement and attend the mandatory pre-proposal conference. All addenda issued to Proposers prior to date of RFP opening shall constitute part of the Instructions and/or Specifications. It is recommended that Proposers list all addenda received, by addendum number, as notice to Ada County of receipt thereof. 9.7. Objections to Specifications Written objections to specifications or proposal procedures must be received by Ada County Procurement at least three (3) business days before the date and time for proposal opening. 9.8. Protest of Proposal Award Once the successful Proposer has been determined by Ada County, a Notice of Final Rankings will be sent to all Proposers. It is anticipated the Notice of Recommendation to Award Contract will be sent to Proposers on or around February 27, 2015. Any Proposer’s protest of the Notice of Final Rankings must be in writing and received by the Office of the Board of Ada County Commissioners, 200 West Front Street, 3rd Floor, Boise, Idaho, 83702, no later than 4:00 p.m. local time on March 2, 2015. 9.9. Execution of Contract The successful Proposer shall sign the Contract in the form provided by the County as part of these proposal documents, with only those changes necessary to conform to the corporate form of the successful Proposer. Any questions concerning the Contract documents must be presented in writing to Ada County Procurement before the deadline for questions on January 21, 2015, by 4:00 p.m. local time. Any changes to the Contract document will be submitted as an addendum to the RFP prior to submittal date for proposals. The Sample Contract is provided in Exhibit B. 9.10.

Withdrawal of Proposal

Proposals may be withdrawn, altered, and/or resubmitted at any time prior to the submittal date. 9.11.

Alternate Proposals

Alternate proposals will not be accepted. 9.12.

Awarding

The Contract shall be deemed as having been awarded when formal approval of the RFP has been announced at public meeting conducted by the Board of Ada County Commissioners at the date and time set during a public meeting.

Proposer hereby agrees to commence work under this proposal upon the signing of the Contract and issuance of Notice to Proceed and to diligently work to complete installation and primary testing within three (3) weeks. The right to accept or reject any or all proposals is reserved by the Board of Ada County Commissioners. 9.13.

Disputes

In case of any doubt or differences of opinions as to the items or services to be furnished hereunder, or the interpretation of the provisions of the RFP, the decision of Ada County shall be final and binding upon all parties. 9.14.

Bonds

Before the Contract is awarded, the successful Proposer must furnish performance and labor and material payment bonds, in the amount of 100% of the Contract amount, as allowed in Idaho Code § 54-1926. The bonds shall be provided by a surety company or companies with AM Best rating(s) of A-VIII or better. If the surety does not have a current AM Best rating it must be currently certified by the U.S. Department of Treasury as an approved surety with an underwriting limitation greater than the bond amount. All sureties must be authorized to do business in the state of Idaho. All bonds shall name the County as obligee with copies of the bonds provided to Ada County Procurement. The Proposer shall include the premiums for such bonds in the Proposal. 10. GENERAL TERMS AND CONDITIONS It is the intent of this RFP to purchase the equipment and services necessary to upgrade the security/transaction camera system to enhance the Ada County Landfill’s existing system consisting of analog cameras, and two (2) DVRs. The upgrade of this system will replace the existing system with intelligent IP HD digital cameras and one (1) DVR/NVR capable of performing both security and transaction enhancements in the scale house located at the Landfill. All functional capabilities included in this RFP that are not contained in the Proposer's basic system response must be itemized in the Detailed Proposal Listing for additional purchase or development consideration. The items not included in the Proposer's basic system will not be considered as prime qualifiers for proposal evaluation and award. This system is fully funded by the County’s Solid Waste Enterprise Fund. Ada County reserves the right to delete any portion of the RFP or responses per I.C. 54-1903(j) This RFP will establish minimum requirements for the upgrade of the Landfill’s existing security/transaction camera system. All technical tolerances and criteria contained within this RFP are considered to be within the current state of the electronic art and currently are being met by commercially available equipment. The fact that a manufacturer chooses not to produce equipment or have the skills necessary to meet these performance standards, providing the above criteria are met, will not be sufficient cause to adjudge these performance standards as restrictive. 10.1.

Information to be Submitted with Proposal

Proposer shall include the following information in the proposal: 10.1.1. A complete list of all goods and services proposed, which shall specify manufacturer and individual model number. 10.1.2. Technical performance standards and descriptions of all equipment proposed, including a functional description of the proposed system. 10.1.3. Detailed description of any special equipment. 10.1.4. Complete instruction manuals and manufacturers’ technical manuals covering the operation of all equipment. 10.1.5. Samples of pertinent contracts, warranties, purchase or lease and maintenance agreements. 10.1.6. Successful Proposer shall provide a list of all technicians, contractors, subcontractors, service personnel, and other individuals who will work on the installation of the system, provide technical support, or otherwise be on-site during the transition or afterwards. 10.2.

Offer Period

The County may void the proposal award if a contract has not been signed and returned to Ada County within fifteen (15) days of award notification. Proposals submitted shall remain in effect for a period of one-year following the proposal award date or until contract award signing, whichever is greater. All prices quoted shall be firm and fixed. All discounts quoted shall be firm and fixed for the specified period. 10.3.

Licensing Agreement

Any Proposer supplying hardware, software, or services requiring licensing agreements shall identify these in the response, along with the license cost, duration of the license, and renewal cost(s), if applicable. 10.4.

Permits

The Proposer shall be responsible for obtaining any and all permits required to perform tasks contracted through this RFP and shall submit the cost of all permits to the County for reimbursement. The installation shall be in complete compliance with the zoning ordinances, building codes, fire codes, and such other legal requirements as may be necessary for the location in which the proposal is affected. Ada County will assist the Proposer in this task. 10.5.

Patent

The Proposer shall defend any suit or proceeding brought against the County so far as based on a claim on any equipment, or on any part thereof, furnished under this contract that constitutes any infringement of patent, trademark, copyright, or trade secret. County agrees to notify Proposer promptly in writing of any claim. Proposer shall pay all damages and costs awarded against the County. In case said equipment, or any part thereof, in such suit is held to constitute an infringement and the use of said equipment or part of it is enjoined, the Proposer shall, at its own expense, either procure for the County the right to continue using said equipment, or part thereof, or replace same with

acceptable non-infringing equipment, or modify same so that it becomes non-infringing. The foregoing places the entire liability upon the Proposer for patent infringements by the said equipment or any part thereof. 10.6.

Local Maintenance Support for Hardware

The successful Proposer shall have, or establish by the date of hardware delivery, a local factory service representative, and shall provide any warranty and follow any annual maintenance obligations under this Request for Proposal, and shall provide any other service support that may be required. 10.7.

Equipment of Current Production

Only new equipment of the latest design in current production will be considered. In no case will used, reconditioned, or obsolete parts be accepted. 10.8.

Service Life

The hardware shall have a minimum of five years total service life beginning on the date of final acceptance. 10.9.

Responsibility of Proposer

The successful Proposer shall assume full responsibility of all hardware and software, until final System acceptance tests are completed and the System is accepted by the County. 10.10.

Delivery Time and Milestone Dates

Delivery and installation dates and times shall be established by and coordinated with the Project Manager, Ken Wall, Ada County Solid Waste Management. The following Milestone Dates shall be incorporated into the Proposers Project Schedule and shall be made a part of the Contract: 10.10.1. 10.10.2. 10.10.3. 10.10.4. 10.10.5. 10.11.

Notice to Proceed – on or around March 11, 2015 Coverage Design Complete - March 18, 2015 Installation, Integration and Testing - March 19 thru April 8, 2015 Substantial Completion – April 8, 2015 Final Completion – April 15, 2015

Default and Liquidated Damages

Inasmuch as the actual loss, due to lost use of the facilities and inconveniences to the County and the public is difficult to ascertain, Proposer agrees, as a condition of the Contract, that Proposer and his surety shall be liable for and shall pay to the County the sum of Two Hundred-Fifty and 00/Dollars ($250.00) as fixed, agreed, and liquidated damages for each calendar day of delay until all work is substantially completed pursuant to contract. 10.12.

Safety

Proposer shall be familiar with and operate within the guidelines set forth by the Occupational Safety and Health Act.

10.13.

Clean Up

Proposer shall be responsible for the cleanup of any waste, extraneous or used material, packing material, shipping support structures, spillage, and byproduct resulting from the delivery, unloading, and/or installation of equipment. Proposer shall be liable and in all respects responsible for all costs of cleanup and remedial action required on account of the release of any hazardous substance or regulated substance that is brought on premises by Proposer to the extent that Proposer is the cause of any such release. Proposer shall be responsible for penalties, fines, costs, and expenses or claims that may be assessed against the County or for which the County may become liable as a direct result of personal injury or property damage resulting from any such release caused by Proposer. Proposer shall, from day to day, clean up and remove all waste materials and rubbish, leaving the areas used by Proposer clear of all obstruction. On a daily basis, Proposer shall remove from the site all tools and machinery owned or rented by Proposer and all rubbish and material. 10.14.

Insurance

Proposer shall procure and maintain the insurance policies and coverage as contained in Exhibit B of the Sample Contract, Exhibit B. 10.15.

One Year New System Warranty

For a period of one year from the date of final acceptance, the Proposer warrants that work performed under the contract conforms to the contract requirements and is free of any defects of hardware, material or workmanship performed by the Proposer or any of his subcontractors or suppliers. Under this warranty, the Proposer shall remedy at his own expense any such defect. 10.15.1. As an option for Ada County, the Proposer may include an extended hardware and software maintenance agreement for the proposed life-cycle of the system (five years). 11. TERMS AND CONDITIONS OF AWARD The terms and conditions for the Design/Build contract award imposed herein shall govern in all cases, and conflicting terms and conditions submitted by Proposer may constitute sufficient grounds for rejection of the proposal. It is anticipated that this RFP shall form the basis of the negotiated contract entered into by successful Proposer and the County. 11.1.

Contract Award

Only the contractor shall be responsible to the County for the work covered by this project. It shall encompass equipment and services specified by this RFP. This does not preclude subcontracting by the prime contractor.

11.2.

Reserved Right to Negotiate

The County may award a contract, based on proposals received, without further discussion of such proposals. Accordingly, each proposal should state the most favorable terms from a fee and technical standpoint Proposer can submit. The County reserves the right to accept or reject any or all proposals or portions thereof received as a result of the RFP. 11.3.

Reserved Right to Waive

The County reserves the right to waive informalities and minor irregularities in proposals received and to accept the most responsible offer. 11.4.

Contractual Obligation

The contents of the response of the successful Proposer shall be considered contractual obligations. Failure to meet these obligations may result in voidance of the Contract. 11.5.

Non Appropriation of Funds

Any award shall continue in full force and effect until such time that there shall be a termination or a non-appropriation of funds by Ada County. 12. EVALUATION OF PROPOSERS The following criteria will be used with the designated weightings to evaluate and rank all Proposals: 12.1. 12.2. 12.3. 12.4. 12.5.

Team Qualifications – 20% Design Approach – 10% References – 10% Cost – 40% Experience Installing Similar Systems – 20%

During the evaluation, validation, and selection process, Ada County may desire the presence of a Proposer's representative for answering specific questions, orally and/or in writing. Ada County shall not be liable for Proposer's costs incurred for preparation or presentation in this regard. The County also reserves the right to conduct a pre-award survey or to require other evidence of technical, production, managerial, financial, and/or other abilities prior to the award of the Contract. 12.6.

Demonstrations

Depending on the proposals submitted, and the scores / ranking of the initial evaluation. The top one (1) to three (3) Proposers will be invited to provide onsite demonstrations of the proposed Security/Transaction Cameras/System Upgrade. One (1) hour will be dedicated to each Proposer for them to showcase their proposed solution to Ada County representatives. Ada County anticipates these demonstrations will take place February 25, 2015.

12.7.

Reserved Right to Reject

Ada County reserves the right to reject all proposals or portions thereof. 13. DELIVERY, INSTALLATION, AND ACCEPTANCE PERFORMANCE STANDARDS This section covers construction documents, delivery, installation, acceptance, and performance requirements for all hardware, equipment, software, and services delivered by the successful Proposer. The successful Proposer shall be responsible for design of the final System and shall coordinate this design with the Project Manager. 13.1.

Responsibilities

The successful Proposer shall be responsible for all materials, equipment, and services provided by Proposer until the subject items have been delivered to, tested, and accepted by the County. 13.2.

Delivery/Installation Schedules

The successful Proposer shall submit with the proposal a schedule for delivery, installation, and checkout of all goods and services identified in the proposal. The schedule is to address a minimum of the following (if required): 13.2.1. Site Coverage Design 13.2.2. Equipment /System installation 13.2.3. Cabling 13.2.4. County responsibilities 13.2.5. Operational testing 13.2.6. Final Acceptance Proposer shall be responsible for all labor in loading or unloading of hardware at the installation sites. 13.3.

Installation Maintenance

Maintenance of all hardware and equipment provided by Proposer will be the responsibility of the Proposer until final acceptance. 13.4.

Acceptance Testing

Prior to acceptance testing, Ada County must be in receipt of all hardware, equipment, “USER” and operating manuals, hardware user and technical manuals, and any other hardware support items specified in the delivery order. The Proposer will have a representative locally and readily available for the system for the duration of acceptance testing and for post installation evaluation. The Proposer shall certify in writing to Ada County that the system is installed and ready for acceptance testing. If successful completion of the acceptance period is not attained within thirty (30) calendar days of the Proposer's certification date, Ada County shall have the option, at its sole discretion, of canceling the contract at no further cost to Ada County or continuing the acceptance test.

Immediately upon successful completion of the acceptance testing period, the County shall notify the Proposer in writing of acceptance of the system. 13.5.

Correction of Defects

If, for any reason, before final acceptance is made of the equipment, software, or data installed, or any other aspect or design requirement is not met or it is found to be defective or not as warranted and/or contracted for, the County may refuse to accept it and Proposer shall be so advised and shall be required to correct the defective equipment, software, deficient element or data within a reasonable time as defined by the County. All costs relating thereto, including freight, shall be at Proposer's own expense. In the event of such an occurrence, the initial or final performance test that is in progress shall be suspended for the defective component or the entire System, at the option of the County, until the faulty equipment or software or design deficiency has been corrected, at which time the test shall be restarted at the beginning or resumed at the point of suspension, depending upon the nature and seriousness of the defect, and at the discretion of the County. No invoice to the County should be issued until the payment milestone has been met and the Project Manager has issued the successful Proposer a letter authorizing invoicing of the County. 13.6.

Other Site Considerations

Proposer shall list all site preparations that are necessary to assure installation success. 13.7.

Documentation

All documentation required for the support of the system and its components shall be furnished. Complete technical, Configuration and Troubleshooting Manuals shall be provided at the on-set and updated as needed. 14. PERFORMANCE SPECIFICATIONS & SCOPE OF WORK Any damage to Ada County facilities as a result of installation or ongoing maintenance, service, or repairs shall be the sole responsibility of successful Proposer; and successful Proposer shall repair or replace such damage to the reasonable satisfaction of the County All cameras must meet the following specifications: NO ANALOG CAMERAS OR ENCODING TO DIGITAL. 14.1.

All cameras must be ‘EXTERIOR’ rated cameras with an operating temperature range between -20°F to 120°F. 14.2. Intelligent IP HD Video Cameras with resolution not less than 1 Megapixel (720p or greater) 14.3. Exterior (transaction) cameras must be able to export picture to Landfill POS software. 14.4. Exterior (load) cameras must be PTZ controlled by software (no joystick). 14.5. Exterior cameras shall have a wide dynamic range for lighting and NEMA type 3 rated weatherproof housings. 14.6. Interior (security) cameras must have high enough resolution to clearly see all aspects of cash drawer transactions and customer/cashier interaction.

The DVR/NVR must meet the following specifications: 14.7. 14.8.

Single server unit with separate log-ins and rights for transaction records and security. Must be integrated with Landfill’s existing transaction software. The Landfill uses custom-designed software written in C-Sharp. 14.9. Minimum data storage for: 14.9.1. 90 days of transaction data storage (ticket information with vehicle photo) 14.9.2. 180 days of security footage. 14.10. Expandable in the event more cameras are deemed necessary. 14.11. DVR/NVR Raid/Redundant Storage to prevent data loss. Video Display equipment must meet the following specifications: 14.12. Video Display (40” (1080p) or greater). Must be viewable from transaction workstations with product positioning approved by the project manager. 14.13. Installation will include all equipment, software, cabling and other miscellaneous products (brackets/mounting hardware, etc.) in order to provide a full and complete system to the County. 14.14.

Hilltop Camera (OPTIONAL)

The County is seeking the option of having a PTZ camera installed on a hilltop above the scale house. This optional camera must meet the following specifications. 14.14.1. PTZ Camera Intelligent IP HD Video Cameras with resolution not less than 2 Megapixel (720p or greater) 14.14.1.1. Remote access. 14.14.2. Data Antenna (remote site). 14.14.3. NEMA type 3 rated Weather-proof enclosure. 14.14.4. UPS. This item is an OPTION and the cost of this option shall not be used in the overall evaluation process. NOW, THEREFORE, in consideration of the mutual covenants and agreements contained herein the parties agree as follows: 1.

AGREEMENT DOCUMENTS: The Agreement Documents include this Purchase and

Delivery Agreement, the Seller’s Proposal Form, and all exhibits, addenda, and materials included with the foregoing documents.

In the event of any conflict, discrepancy, or

inconsistency among any of the Agreement Documents, the following shall govern, in this order: 1)

this Purchase and Delivery Agreement;

2)

the Product Specifications attached hereto as Exhibit A;

3)

the Seller’s Proposal Form, including all attachments and materials included therein.

2.

PURCHASE PRICE: Seller agrees to sell, deliver, and install, and Purchaser agrees to

buy, an HD Megapixel IP surveillance system, meeting and/or exceeding the Product Specifications as set forth in Exhibit A, for the all-inclusive price of __________________($ ) (“Purchase Price”). The Purchase Price includes payment of all applicable sales and use taxes, inspection fees, transportation and freight and delivery costs and permits, off-load costs, and any and all other costs incidental to and associated with the completion of this Purchase and Delivery Agreement. Seller shall also make a hill top CCTV_PTZ and wireless camera available for purchase by Purchaser at the prices indicated in Exhibit A ___ until termination of this Agreement. The parties agree that this Agreement shall terminate on September 30, 2015. 3.

DELIVERY:

Seller shall deliver Product directly to Purchaser at the Ada County

Landfill, located at 10300 N. Seaman’s Gulch Road, Boise, Idaho. Date of delivery shall be no later than April 15, 2015. Unless agreed otherwise between the parties, deliveries shall be made on regular business days between the hours of 8 am to 5 pm local time. Seller shall comply with all applicable federal, state, and local laws applicable to the purchase, transit, and delivery of the Product, including but not limited to acquiring any permits (if necessary). 4.

SELLER AS SOLE OBLIGOR. Seller shall assume full and sole responsibility for all

tasks related to the purchase and delivery of the Product, regardless of whether Seller is the actual manufacturer or provider of the delivery/freight services. Seller shall be the sole point of contact for all contractual matters. Purchaser shall bear no responsibility nor liability whatsoever, whether

financial or otherwise, arising out of the purchase, packaging, handling, transit, delivery, freight, and/or off-load of the Product, except for those obligations directly owed to Seller as specifically delineated in this Agreement. Purchaser shall have no responsibility or liability to any third parties, including but not limited to manufacturers, delivery/freight providers, and/or off-load service providers. 5.

RISK OF LOSS / TITLE: Risk of loss and responsibility and liability for loss or

damage will remain with Seller until final inspection and acceptance by Purchaser as described in Paragraph 6, “Acceptance,” below. Upon acceptance, full title to and responsibility for the Product will pass to Purchaser except as to latent defects, fraud, and any breach of Seller’s Warranty obligations as described in Paragraph 8, below. Any loss, injury, or destruction prior to acceptance shall not release Seller from its obligations to provide an acceptable Product pursuant to this Agreement. 6.

ACCEPTANCE: Upon Seller’s delivery of the Product, Purchaser shall have fourteen

(14) days to inspect the Product to ensure the delivered Product is acceptable. Purchaser’s acceptance will be conditioned upon satisfaction of the following criteria: a. verification that the Product meets all specifications and requirements as set forth in the Agreement Documents; b. verification that the Product is in proper working condition and is suitable for Purchaser’s purposes, as set forth in the Agreement Documents; c. verification that all liens, taxes, fees, costs, and other financial obligations have been satisfied, or assurances made to Purchaser’s satisfaction that said financial obligations will be satisfied;

d. verification that all paperwork and documents have been provided to Purchaser, including transfer of any manufacturer warranties and title to the Product in the name of Purchaser, as well as any invoices, packing slips, operating manuals, installation instructions, and other Product documentation; and e. verification that Seller has satisfied all of Seller’s Warranties as described in Paragraph 8, below. Acceptance of the Product by Purchaser shall not be deemed to have occurred until the later of 1) Purchaser’s notification, in writing, to Seller that the Product is acceptable, or 2) the expiration of the fourteen (14) day inspection period. In the event Purchaser identifies any defect or non-conformity with the acceptance criteria, Purchaser shall notify Seller prior to expiration of the fourteen (14) day inspection period, which shall have the effect of suspending the inspection and acceptance period. Upon receipt of such notice, Seller shall have ten (10) days to respond to Purchaser indicating the steps Seller anticipates taking to cure the defect or non-conformity. Seller shall take all action necessary to cure the defect or non-conformity within thirty (30) days of Purchaser’s notice. Seller shall bear full responsibility and liability for all costs and steps taken to cure the defect or non-conformity, including, if necessary, replacement of the Product. Upon Seller’s cure of the defect or non-conformity, Purchaser shall have an additional fourteen (14) days within which to inspect and verify the Product is acceptable. Purchaser is not obligated to make payment to Seller for Product that fails to meet acceptance criteria. Further, failure to meet the acceptance criteria will not toll the time for and may result in the imposition of liquidated damages as set forth in Paragraph 9 of this Agreement. If the failure to meet acceptance criteria is of a nature that can be remedied by Purchaser and does not render the Product non-operational for its intended use, Seller and Purchaser may, at

Purchaser’s sole option, agree on a monetary sum that will remedy the failure, and said sum shall be deducted from the Purchase Price. 7.

PAYMENT:

Upon delivery, installation, and final acceptance by the county, Seller

shall provide an invoice/payment request to Purchaser as follows: Ada County Operations 200 West Front Street Boise, ID 83702 Purchaser shall make payment to Seller for the full Purchase Price, less any deduction for liquidated damages and/or remedies for failure to meet acceptance criteria, within thirty (30) days of Purchaser’s acceptance of the Product. 8.

SELLER’S WARRANTIES: Seller warrants the Product offered shall be, and will be

upon final delivery and off-load, in new and in first class condition, and that all containers (if applicable) shall be new and suitable for storage or shipment. Demonstration, previously rented, refurbished, or reconditioned units will not be considered “new.” Seller warrants that the Product shall conform to all specifications and requirements as described in the Agreement Documents and to any descriptions published and/or provided by the manufacturer at the time of the sale. Seller warrants title to the Product shall transfer to Purchaser upon acceptance, including transfer of all applicable manufacturer warranties and guarantees. Seller warrants delivery free and clear of any liens, taxes, fees, costs, assessments, and encumbrances. Seller warrants that all items meet or exceed those requirements and guidelines established by the Occupational Safety and Health Act, Consumer Product Safety Council, Environmental Protection Agency, or other applicable regulatory agencies. Seller warrants it will comply with all applicable laws regarding the purchase, packaging, freight, delivery, and off-load of the Product, including any permits which may be

required. Seller warrants that the Product shall be purchased and delivered free of latent defects and/or fraud to the best of Seller’s knowledge. Without limitation upon any other remedy, Purchaser shall have no financial obligation in regard to any Product purchased and/or delivered in breach of the above warranties. The above warranties of Seller shall survive beyond the delivery and acceptance of the Product and/or termination of this Agreement. 9.

LIQUIDATED DAMAGES:

Seller understands Purchaser may incur additional

expenses, be forced to acquire substitute/temporary/replacement product(s), experience increased risk to infrastructure, and/or inconvenience or delay in daily operations if the delivery of an acceptable Product is delayed, whether due to delivery/freight delays or failure to meet acceptance criteria. The costs of such expenses are difficult to calculate and cannot be estimated with certainty, and therefore the parties agree that Seller shall pay to Purchaser liquidated damages of Two hundred-fifty and 00/100 dollars ($250.00) for each business day (Monday through Friday, excluding holidays) that an acceptable Product to Purchaser is delayed beyond [calculate 14 days after delivery date]. Any liquidated damages accrued will be deducted directly from the Purchase Price, and such liquidated damages shall not limit nor preclude any other remedies available to Purchaser in the event of Seller breach. 10.

ASSIGNMENT: Seller may not assign this Agreement to any other party or vendor

without the express written authorization of Purchaser. 11.

INDEMNITY: Seller shall hold harmless, defend, and indemnify Purchaser, its officers,

agents, and employees from and against all claims, losses, actions, damages, judgments, amounts owing, costs, expenses, and/or injury to persons or property arising out of or in connection with

any activities, acts, or omissions of Seller, Seller’s officers, agents, employees, or representatives under this Agreement. Seller shall indemnify, defend, and hold Purchaser harmless against any claims or actions asserted against Purchaser based upon a claim of infringement of a United States patent, copyright, trade secret, or trademark for items purchased under this Agreement. In the event Purchaser is alleged to be liable on account of any activities, acts, or omissions of Seller, its officers, agents, or employees, then Seller shall defend such allegations through counsel chosen by Purchaser, and Seller shall bear all costs, fees, and expenses of such defense, including but not limited to all attorney fees and expenses, court costs, and expert witness fees and expenses. The provisions of this paragraph shall survive beyond delivery and acceptance of the Product and/or termination of this Agreement. 12.

INSURANCE:

Seller shall obtain and maintain insurance coverage as detailed in

Exhibit B, attached hereto and incorporated by this reference. Seller’s failure to obtain and maintain insurance as detailed in Exhibit B shall constitute a material breach of this Agreement. 13.

MERGER AND INTEGRATION: This writing embodies the whole agreement of the

Parties. There are no promises, terms, conditions, or obligations other than those contained in this Agreement. All previous and contemporaneous communications, representations, or agreements, either verbal or written, between the Parties are superseded by this Agreement and the parties acknowledge they are not relying on the same. 14.

MODIFICATIONS: The Parties may amend this Agreement at any time provided that

such amendments make specific reference to this Agreement and are duly executed in writing by each Party.

15.

PUBLIC RECORDS:

The Parties herein understand and acknowledge that this

Agreement and its attachments are subject to the Idaho Public Records Act, I.C. §§ 9-337, et seq., the Idaho Open Meetings Act, I.C. §§ 67-2340, et seq., and other applicable federal and state laws, and might be public records. 16.

GOVERNING LAW, VENUE, ATTORNEY FEES: This Agreement and the rights

and obligations of both parties shall be governed by the laws of the State of Idaho, with venue for any such action to be in Ada County in the Fourth Judicial District, State of Idaho. In the event of any litigation arising out of or under this Agreement, the reasonable attorney fees and costs of suit of the prevailing party shall be paid by the other party. 17.

SEVERABILITY: In the event any provision or section of this Agreement conflicts with

applicable law, or is otherwise held to be unenforceable, the remaining provisions shall nevertheless be enforceable and shall be carried into effect. 18.

PERFORMANCE/WAIVER: The failure of the Purchaser to require strict performance

of any term or condition of this Agreement or to exercise any option herein conferred in any one or all instances shall not be construed to be a waiver or relinquishment of any such term or condition, but the same shall be and remain in full force and effect, unless such waiver is evidenced by the prior written consent of the Purchaser. 19.

CAPTIONS: The captions heading the various paragraphs of this Agreement are for

convenience and shall not be considered to limit, expand, or define the contents of the respective paragraphs. 20.

AUTHORITY TO EXECUTE: Each individual executing this Agreement on behalf of

a Party represents and warrants that he or she is duly authorized to execute and deliver this Agreement on behalf of said Party in accordance with duly adopted organizational documents or

agreements and, if appropriate, a resolution of the Party, and that this Agreement is binding upon said Party in accordance with its terms. 21.

FORCE MAJEURE: Except for default of subcontractors at any tier, neither party shall

be in default because of any failure to perform this Agreement under its terms if the failure arises from causes unforeseeable to and beyond the control and without the fault or negligence of that party.

Examples of these causes are: acts of God; acts of the public enemy; acts of the

Government in either its sovereign or contractual capacity; fires; floods; epidemics; quarantine restrictions; strikes; freight embargoes; earthquakes; and unusually severe weather.

If the Force

Majeure event is such that the purpose of this Agreement is undermined and the need for the Product is rendered moot, then Purchaser may, at its sole discretion, declare this Agreement terminated without liability to either Party. EXHIBIT “B” TO THE AGREEMENT INSURANCE A. The Seller at its sole expense, shall procure and maintain in full force and effect insurance written by an insurance company or companies with AM Best’s rating(s) of A VIII or better. All insurance companies must be authorized to do business in the state of Idaho. By requiring insurance herein, Ada County does not represent that coverage and limits are necessarily adequate to protect the Seller, and such coverage and limits shall not be deemed as a limitation on the Seller’s liability under the indemnities granted to Ada County in this contract. B. Certificates of Insurance evidencing the coverages required herein shall be provided to Ada County prior to the start date of the project. All certificates must be signed by an authorized representative of the Seller’s Insurance carrier. Renewal certificates or binders must be provided to Ada County a minimum of five (5) days prior to the effective date of the renewal. If binders are used, they must be replaced by appropriate insurance certificates no more than thirty (30) days after the effective date. C. Certificates shall be mailed to: Ada County Operations/Risk Management 200 W. Front Street, Room 2210 Boise, Idaho 83702-7300 D. Certificates must evidence the following minimum coverages: 1. WORKERS’ COMPENSATION insurance meeting the statutory requirements of the State of Idaho. 2. EMPLOYERS’ LIABILITY insurance providing limits of liability in the following amounts: Bodily Injury by Accident: $100,000 each accident Bodily Injury by Disease: $500,000 policy limit Bodily Injury by Disease: $100,000 each employee 3. COMMERCIAL GENERAL LIABILITY insurance providing limits of liability in the following amounts: General Aggregate: $2,000,000 Product/Completed Operations Aggregate: $2,000,000 Personal & Advertising Injury Liability: $1,000,000 Per Occurrence: $1,000,000 Fire Legal Liability: $ 50,000 The Commercial General Liability (“CGL”) insurance policy shall be written on an “Occurrence” form and shall cover liability arising from premises, operations, independent

contractors, products, completed operations, personal injury, advertising injury, and liability assumed under an insured contract (including tort liability of another assumed in a contract). Ada County and its elected officials, agents, employees, successors and assigns shall be included as Additional Insureds under the CGL using ISO endorsement CG 20 10. The Additional Insured endorsement CG 20 10, or its equivalent, must be provided with the certificate of insurance. 4. RIGGERS LIABILITY endorsement to include coverage: While at Any One Job Site: $50,000 Property In Transit: $50,000 All Covered Equipment In Any $50,000 One Occurrence 5. BUSINESS AUTOMOBILE LIABILITY insurance providing bodily injury and property damage liability coverage for not less than $1,000,000 each accident limit. Business Automobile Liability insurance shall be written on a standard ISO policy form, or an equivalent form, providing coverage for liability arising out of owned, hired, or non-owned vehicles in connection with this agreement. 6. MOTOR CARRIER CARGO LIABILITY insurance providing the following limits: Per-Vehicle Limit: $1,000,000 Catastrophe Limit: $1,000,000 The Motor Carrier Cargo Liability insurance shall be written on an “all risks” form and shall cover Ada County’s property while in the Seller’s custody as the carrier or in the custody of connecting carriers, until the property is delivered to its destination. 7. AUTO POLLUTION LIABILITY insurance providing broadened pollution liability coverage for covered autos used in connection with this contract. Coverage should be provided by ISO endorsement CA9948 or similar coverage modifying the commercial auto, motor carrier, or trucker’s coverage form as applicable. Coverage must be provided for bodily injury or property damage arising out of the actual, alleged or threatened discharge, dispersal, seepage, migration, release or escape of pollutants that are, or that are contained in any property that is being transported or towed by, handled or handled for movement into, onto or from, the covered auto; or otherwise in the course of transit by or on behalf of the insured; or being stored, disposed of, treated or processed in or upon the covered auto.
